No Offshoring. Except as may be expressly authorized in the Contract between FHKC and BA, BA and any of its subcontractors and agents are prohibited from (a) performing any services under the Contract or this Agreement outside of the continental U.S.; (b) sending, transmitting, or maintaining PHI or Individually Identifiable Health Information outside of the continental U.S.; or (c) allowing PHI or Individually Identifiable Health Information to be Accessed from or maintained outside the continental U.S.

CyncHealth acknowledges and agrees that the Services performed by XxxxXxxxxx for Participant pursuant to this Agreement shall be performed within the continental United States and shall not be outsourced to any offshore or foreign jurisdiction. CyncHealth shall not permit Participant’s Shared Information to be transmitted, electronically or otherwise, to any offshore or foreign jurisdiction without the prior written consent of Participant.
No Offshoring. Customer understands that as of the Effective Date, Xxxxxx’x licensors may engage subcontractors located outside of the United States for purposes of performing certain Accuracy Optimization Services (AOS). Customer understands and agrees that in the event Customer purchases AOS, such subcontractor will have access to Customer Data as necessary to perform the AOS.

Except as authorized in Section 6.3 (“SOF Production Data Access”) of this Contract, Service Provider and its Subcontractors and agents are prohibited from (i) performing any of the Services outside of the U.S., or (ii) sending, transmitting or accessing any SOF Production Data outside of the U.S. The Parties agree that a violation of this provision will:
(a) result in immediate and irreparable harm to the Department, entitling the Department to immediate injunctive relief provided; however, this shall not constitute an admission by the Service Provider to any liability for damages under subsection (c) below or any claims, liability or damages to a third party, and is without prejudice to the Service Provider in defending such claims.
(b) entitle the Department to a credit of $500,000 per violation. As to an Authorized SAP Entity, credits under this Section 6.4 will be capped at $1,000,000. This credit is intended only to cover the Department’s internal staffing and administrative costs of investigations and audits of the transmittal of SOF Production Data outside the U.S.
(c) entitle the Department to recover damages, if any, arising from a breach of this Section

No Offshoring. Unless otherwise agreed in writing, the Contractor and its subcontractors will not perform any of the Services from outside of the United States, and the Contractor will not allow any State of Florida Data to be sent by any medium, transmitted or accessed outside of the United States. The Contractor agrees that a violation of items listed above will result in immediate and irreparable harm to the Department and will entitle the Department to a credit of $50,000 per violation, with a total cap of $500,000 per event. This credit is intended only to cover the Department’s internal staffing and administrative costs as well as the diminished value of Services provided under the Contract and will not preclude the Department from recovering other damages it may suffer as a result of such violation. For purposes of determining the damages due hereunder, a group of violations relating to a common set of operative facts (e.g., same location, same time period, same off-shore entity) will be treated as a single event. A violation of this provision will also entitle the Department to recover damages, if any, arising from a breach of this section and constitutes an event of default. Notwithstanding any provision of this Contract to the contrary, the Contractor shall notify the Department as soon as possible and in all events within one business day in the event it discovers any Data is breached, any unauthorized access of State of Florida Data occurs (even by persons or companies with authorized access for other purposes), any unauthorized transmission of Data or any credible allegation or suspicion of a material violation of the above. This notification is required whether the event affects one employee/retiree or the entire population. The notification shall be clear and conspicuous and include a description of the following:
(a) The incident in general terms.
(b) The type of personal information that was subject to the unauthorized access and acquisition.
(c) The number of individuals who were, or potentially have been affected by the breach.
(d) The actions taken by the Contractor to protect the Data information from further unauthorized access. However, the description of those actions in the written notice may be general so as not to further increase the risk or severity of the breach. Notwithstanding any other term or condition of the Agreement to the contrary, GCI represents, warrants, and covenants that no Service performed by GCI pursuant to this Agreement shall be provided, directed, controlled, supervised, or managed from a site located outside of the United States, and that no Confidential Information or other data relating to any such Service shall be transmitted, stored, or accessed electronically, from, at, in, or through a site located outside of the United States.
