NOTICE OF NONRENEWAL OR TERMINATION, CONTENTS; REQUEST. FOR HEARING; HEARING OFFICERS, LIST, SELECTION, QUALIFICATIONS, ELIGIBILITY a. Whenever a teacher is given written notice by the Board to not renew or to terminate the contract of a teacher as provided in Section 2, the written notice of the proposed nonrenewal or termination shall include (1) a statement of the reasons for the proposed nonrenewal or termination, and (2) a statement that the teacher may have the matter heard by a hearing officer upon written request filed with the Clerk of the Board of Education within 15 calendar days from the date of such notice of nonrenewal or termination. b. Upon the filing of any written request of a teacher to be heard as provided in subsection (a) within ten (10) calendar days thereafter, the Board shall notify the Commission of Education that a list of qualified hearing officers is required. Such notice shall contain the mailing address of the teacher. Within ten (10) calendar days after receipt of notification from the Board, the Commissioner shall provide to the Board and to the teacher a list of nine randomly selected, qualified hearing officers. c. Within five (5) days after receiving the list from the Commissioner, each party shall eliminate four names from the list, and the remaining individual on the list shall serve as hearing officer. In the process of elimination, each party shall eliminate no more than one name at a time, the parties alternating after each name has been eliminated. The first name to be eliminated shall be chosen by the teacher within five (5) days after the teacher receives the list. The process of elimination shall be completed within five (5) days thereafter. d. Either party may request that one new list be provided within five (5) days after receiving the list. If such a request is made, the party making the request shall notify the Commissioner and the other party, and the Commissioner shall generate a new list and distribute it to the parties in the same manner as the original list. e. In lieu of using the process provided in subsections (b) and (c), if the parties agree they may make a request to the American Arbitration Association for an arbitrator to serve as a hearing officer. Any party desiring to use this alternative procedure shall so notify the other party in the notice required under subsection (a).   • Notice of Termination Events Neither any Purchaser Agent nor the Administrator shall be deemed to have knowledge or notice of the occurrence of any Termination Event or Unmatured Termination Event unless the Administrator and the Purchaser Agents have received notice from any Purchaser, the Servicer or the Seller stating that a Termination Event or an Unmatured Termination Event has occurred hereunder and describing such Termination Event or Unmatured Termination Event. In the event that the Administrator receives such a notice, it shall promptly give notice thereof to each Purchaser Agent whereupon each such Purchaser Agent shall promptly give notice thereof to its related Purchasers. In the event that a Purchaser Agent receives such a notice (other than from the Administrator), it shall promptly give notice thereof to the Administrator. The Administrator shall take such action concerning a Termination Event or an Unmatured Termination Event as may be directed by the Majority Purchaser Agents (unless such action otherwise requires the consent of all Purchasers, the LC Bank and/or the Required LC Participants), but until the Administrator receives such directions, the Administrator may (but shall not be obligated to) take such action, or refrain from taking such action, as the Administrator deems advisable and in the best interests of the Purchasers and the Purchaser Agents.

(b) The date of the Executive’s termination of employment with the Company (the “Date of Termination”) shall be determined as follows: (i) if the Executive’s Separation from Service is at the volition of the Company, then the Date of Termination shall be the date specified in the Notice of Termination (which, in the case of a termination by the Company other than for Cause, shall not be less than two (2) weeks from the date such Notice of Termination is given unless the Company elects to pay the Executive, in addition to any other amounts payable hereunder, an amount (the “Payment in Lieu of Notice”) equal to two (2) weeks of the Executive’s Annual Base Salary in effect on the Date of Termination), and (ii) if the Executive’s Separation from Service is by the Executive for Good Reason, the Date of Termination shall be determined by the Executive and specified in the Notice of Termination, but in no event be less than fifteen (15) days nor more than sixty (60) days after the date such Notice of Termination is given. The Payment in Lieu of Notice shall be paid on such date as is required by law, but no later than thirty (30) days after the date of the Executive’s Separation from Service.

  • Notice of Change in Control The Company will, within five Business Days after any Responsible Officer has knowledge of the occurrence of any Change in Control, give written notice of such Change in Control to each holder of Notes.
