Observer Status. In pursuit of the objectives of this Agreement, third actors, including regional and continental organisations, may be granted the status of observer in the institutions established by Part V of this Agreement by decision of the relevant joint institution.

Observer Status. 14.1 Any NEMO, power exchange or TSO, either within or outside the scope of application of CACM, can, upon written request to the MCSC, be granted the status of Observer for the purpose of acceding at a later stage to the Agreement, either by: i) a MCSC decision acknowledging the Observer status in case of a NEMO or TSO within the scope of application of CACM, provided the non-disclosure agreement mentioned in Article 14.2 is signed (such non-disclosure agreement being the only condition required); or ii) a decision of the MCSC, if the power exchange or TSO requesting the status of Observer has its registered office in a third party country outside the scope of application of CACM, in which case the MCSC can subject the status of Observer to further conditions to the extent compatible with applicable Legal Provisions or intergovernmental agreements in addition to the signing of the non-disclosure agreement mentioned in Article 14.2. 14.2 The granting of the status of Observer is subject to the signature of the Global NDA or of a confidentiality agreement with substantially similar terms and conditions as the Global NDA by the NEMO, power exchange or TSO requesting the status of Observer. 14.3 The NEMO, power exchange or TSO that has been granted the status of Observer may be granted access to certain documentation on the SDAC as decided from time to time by the MCSC and may be entitled to participate to certain meetings as decided by the MCSC. For the avoidance of doubt an Observer has no voting rights.
Observer Status. Each of the Parties agrees that, during the periods described below in this Section 2.7, to the extent not inconsistent with the requirements of the Virginia Stock Corporation Act and to the extent otherwise as permitted by Law, Crestview ERISA shall have the right to appoint one representative (the “Representative”) to attend each meeting of the Board as a non-voting observer, whether such meeting is conducted in person or by teleconference. The Representative shall have the right to present matters for consideration by the Board and to speak on matters presented by others. The Company shall cause the Representative to be provided with all communications and materials that are provided by the Company or its consultant to the members of the Board generally, at the same time and in the same manner that such communications and materials are provided to such members, including all notices, board packages, reports, presentations, minutes and consents. The Representative shall be entitled to meet and consult with the senior executive management team of the Company on a quarterly basis to discuss the quarterly and annual business plans of the Company and its Subsidiaries and to review the progress of the Company and its Subsidiaries in achieving their plans. In addition, upon request to the Chief Executive Officer of the Company, the members of the senior executive management team of the Company shall make themselves available during normal business hours to meet with the Representative on an interim basis, as the Representative may reasonably request from time to time. Upon reasonable request by the Representative to the Chief Executive Officer of the Company, the Representative shall be entitled, at the Representative’s cost and expense, to inspect the books and records and the facilities of the Company and its Subsidiaries during normal business hours and to request and receive reasonable information regarding the financial condition and operations of the Company and its Subsidiaries. The right of Crestview ERISA to appoint a Representative, and the rights of that Representative described above, shall exist (i) solely during the periods, if any, in which Crestview ERISA does not have the right to designate any member for nomination for election to the Board or no person designated for nomination by Crestview under Article 2 is serving as a member of the Board, and (ii) solely for so long Crestview ERISA is intended to qualify (and only as reasonably required ...

Observer Status. The Union shall have the right to attend and observe final, pre-employment meetings where a bona fide offer of employment is tendered to any prospective new-hire in the bargaining unit. The Union shall not retain any rights which shall prevent the Employer from offering employment to any prospective employee. Further, the Union retains the right to waive attendance at such meetings. Effective January 1, 2013 operators/signatures to this Agreement will be required to submit to the Union a comprehensive list including the names of employees, hire date, current rate of compensation and work location. The list must be provided to the Union no later than the 15th of the following month. In the event that an Employer does not provide this employment audit list to the Union in the timeframe noted the Employer shall pay a fine of $2500 for each month the list is not received. In addition, if additional employees are determined to be working for the Employer, but not included on the list, the Employer may pay up to $100.00 for each day the employee has been omitted from the Employer Audit List. The Union retains the right to waive the financial penalties outlined in this clause, at its discretion.
