OFF RAMP. To ensure success of the Alliant Program, each Alliant Contractor is expected to participate in the Alliant Ordering process by submitting proposals in response to task order requests (TORs) for which the Alliant Contractor has a reasonable chance for award, to successfully perform the terms of their Orders, and to promptly improve performance when it does not meet the terms of the Orders. If an Alliant Contractor does not meet these expectations, it is the Government’s intent to “off-ramp” the Contractor by:
(a) Permitting such Contractor’s Alliant Contract to expire instead of exercising the Option; or
(b) Implementing a termination for convenience (if applicable and only if such action is in the Government’s best interest); or
(c) Implementing a termination for default, if applicable; or
(d) Taking any other action which may be permitted under the Alliant Contract’s terms and conditions.
OFF RAMP. To ensure success of the Alliant SB Program, each Alliant SB Contractor is expected to participate in the Alliant SB Ordering process by submitting proposals in response to task order requests (TORs) for which the Alliant SB Contractor has a reasonable chance for award, to successfully perform the terms of their Orders, promptly improve performance when it does not meet the terms of the Orders, and comply with the terms of the basic contract, e.g., administrative reporting, CAF remittance, management of subcontracting limitations. Additionally, the contracting officer retains the discretion to off ramp those contractors that have re-represented themselves, in accordance with FAR clause 52.219-28 Post-Award Small Business Program Rerepresentation (Apr 2009), as an other than small business. The government may “off-ramp” the Contractor by:
(a) Permitting such Contractor’s Alliant SB Contract to expire instead of exercising the Option; or
(b) Implementing a termination for convenience (if applicable and only if such action is in the Government’s best interest); or
(c) Implementing a termination for default, if applicable; or
(d) Taking any other action which may be permitted under the Alliant SB Contract’s terms and conditions.
OFF RAMP. H.12.1 STARS III Contractors are expected to participate in the STARS III ordering process by submitting proposals in response to TORs for which the STARS III Contractor has a reasonable chance for award, to successfully perform the terms of their Orders, and to promptly improve performance should it ever not meet the terms of the Orders. If a STARS III Contractor does not meet these expectations, it is the Government’s intent to “off-ramp” the Contractor by:
(1) Permitting the Contractor’s STARS III Contract to expire instead of exercising the Option; or
(2) Implementing a termination for convenience (if applicable and only if such action is in the GSA’s interest); or
(3) Implementing a termination for default, if applicable; or
(4) Taking any other action which may be permitted under the STARS III Contract’s terms and conditions.
OFF RAMP. 16.1. To ensure success of the STARS II Program, each STARS II Contractor is expected to participate in the STARS II Ordering process by submitting proposals in response to task order solicitations for which the STARS II Contractor has a reasonable chance for award, to successfully perform the terms of their Orders, and to promptly improve performance should it ever not meet the terms of the Orders. If an STARS II Contractor does not meet these expectations, it is the Government’s intent to “off-ramp” the Contractor by:
(a) Permitting such Contractor’s STARS II Contract to expire instead of exercising the Option; or
(b) Implementing a termination for convenience (if applicable and only if such action is in the Government’s best interest); or
(c) Implementing a termination for cause, if applicable; or
(d) Taking any other action which may be permitted under the STARS II Contract’s terms and conditions.
16.2. Prior to exercising the option period, the Contractor will be required to re- represent business size status consistent with FAR 52.219-28 and the associated regulatory framework.
16.3. Constellation II awardees will be required to affirmatively demonstrate that they still maintain an active industry credential (one of those required for initial STARS II contract award) in order to be considered for the option period in Constellation II.
OFF RAMP. The Contract Price for Phase 2 Services will be set forth in Xxxxxxx 0, Xxxxx 0, xx Xxxxxxxxxx X, Compensation, when mutually agreed between the parties. Once the parties have agreed upon the Contract Price and Owner has issued a Notice to Proceed with Phase 2, Design- Builder shall perform the Phase 2 services, all as further described in Attachment A, Scope of Work, as it may be revised.
OFF RAMP. 1.4.1 The parties acknowledge that Owner’s ability to successfully complete the Project may be significantly impacted if Owner elects to terminate Design-Builder’s services at the end of Phase 1, rather than proceeding to Phase 2 under Section 1.3 (“Phase 2 Services”) and certain design subconsultants are not available to continue working on the Project. Consequently, Design- Builder hereby agrees that if Owner terminates Design-Builder for any reason, Owner shall have the right to contract directly with such design subconsultants for design-related services on this Project, and Design-Builder shall take such steps as are reasonably necessary to enable Owner to implement such relationship. Design-Builder shall provide in any design subconsultancy agreements that Owner shall have the right to negotiate directly with such design subconsultants for the continuation of their services with respect to the Project, and that any provisions with respect to copyright or the ownership of instruments of service confirm such right of Owner.
1.4.2 If the parties are unable to reach an agreement on Design-Builder’s proposed Contract Price for Phase 2 under Section 1.3 within the time limit for acceptance specified in the Proposal, as may be extended by the mutual agreement of the parties, then the proposed Contract Price shall be deemed withdrawn and of no effect. In such event, Owner and Design-Builder shall meet and confer as to how the Project will proceed, with Owner having the following options:
.1 Owner may declare Phase 1 Services completed and authorize Design-Builder to continue to advance the final design of the Project as an extension of Phase 1 or as an Additional Service, as applicable; or
.2 Owner may terminate the relationship with Design-Builder and proceed to exercise its available options to perform the final design and construction with parties other than Design-Builder.
1.4.3 If Owner fails to exercise either of its options under Section 1.4.2 in a reasonable period of time, Design-Builder may give written notice to Owner that it considers this Agreement completed. If Owner fails to exercise either of the options under Section 1.4.2 within ten (10) days of receipt of Design-Builder’s notice, then this Agreement shall be deemed completed.
1.4.4 If Owner terminates the relationship with Design-Builder under Section 1.4.2.2, or if this Agreement is deemed completed under Section 1.4.3, then Design-Builder shall have no further liability or obligations to...

1. A Contractor is rated with less than satisfactory performance as documented in the Contract Performance Assessment Reporting System (CPARS)/Past Performance Information Retrieval System (PPIRS).
2. A Contractor is placed on Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4.
3. A Contractor is experiencing excessive vacancies or is not maintaining the staffing requirements of an individual Order SOW.
