Office Assistance. The Company agrees to provide Executive with his current cell phone and will continue to pay the cell phone charges through September 30, 2007. Effective October 1, 2007, all billing associated with the phone number/cell phone shall become Executive’s responsibility. The Company also agrees to provide Executive with an office phone including voicemail access and an email address for the remainder of 2007. In addition, because of Executive’s continued responsibility as a Director of the Company, the Company agrees to provide Executive with reasonable access to his current executive assistant (or if she leaves the Company, another executive assistant designated by the Company) to assist with answering and returning telephone calls, faxing materials, forwarding personal mail, and other customary personal matters for the remainder of 2007.

Office Assistance. The Company will additionally provide Dr. Xxxxxx xxxh $24,000 (paid in six monthly installments of $4,000 per month from the effective date of this Agreement) to support the costs of maintaining an office and shall also provide Dr. Xxxxxx xxxh the computer equipment presently located in his office at the Company and used by him at the Company for use in such office.
Office Assistance. Standard agrees to make available without charge at its Westborn, Michigan offices one fully equipped office, plus secretarial assistance, for use by Nishikawa employees until offices are available at the Company's plant.
Office Assistance. Tyler will perform all clerical duties relating to the Assessor’s Office. The Client shall provide property owners and the general public with the correct number to contact Tyler for information requests regarding the assessments. The Client shall allow access and make available to Tyler, Client records such as, but not limited to, previous assessment rolls, sewer and water layouts, building permits, tax records, building plans, records of special assessments, plats, and any other maps currently in possession of the Client, at no cost. Office Assistance. Whenever, in the performance of his services, XX. XXXXX is required or requested to be available at the CITY offices, then XX. XXXXX shall have access to and the use of office space, facilities, staff, equipment and other assistance, furnished through Overland Park Fire Department, at no cost to XX. XXXXX.

  • Audit Assistance Each of the Parties and their respective Subsidiaries are or may be subject to regulation and audit by a Governmental Authority (including a Taxing Authority), standards organizations, customers or other parties to contracts with such Parties or their respective Subsidiaries under applicable Law, standards or contract provisions. If a Governmental Authority, standards organization, customer or other party to a contract with a Party or its Subsidiary exercises its right to examine or audit such Party’s or its Subsidiary’s books, records, documents or accounting practices and procedures pursuant to such applicable Law, standards or contract provisions, and such examination or audit relates to the Services, then the other Party shall provide, at the sole cost and expense of the requesting Party, all assistance reasonably requested by the Party that is subject to the examination or audit in responding to such examination or audits or requests for Information, to the extent that such assistance or Information is within the reasonable control of the cooperating Party and is related to the Services.

  • Relocation Assistance The Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970, (42 U.S.C. § 4601), prohibits unfair treatment of persons displaced or whose property has been acquired because of Federal or Federal-aid programs and projects.

  • Directory Assistance Service shall provide up to two listing requests per call, if available and if requested by Freedom's End User. BellSouth shall provide caller- optional directory assistance call completion service at rates set forth in BellSouth's General Subscriber Services Tariff to one of the provided listings.

  • Outplacement Assistance 14.1 Following a termination of employment, other than for Cause, the Executive shall be reimbursed by the Company for the costs of all outplacement services obtained by the Executive within the one-year period after the Effective Date of Termination; provided, however, that the total reimbursement shall be limited to an amount equal to $100,000. The provision of such outplacement services reimbursement shall be subject to the terms of Section 9(c).

  • Mutual Assistance Each party shall assist the other in complying with all applicable requirements of the Data Protection Legislation. In particular, each party shall:

  • Regulatory Assistance Provider will permit regulators with jurisdiction over BFA or any BFA Recipient to examine Provider’s activities relating to its performance under this Agreement and the Services.   • Reasonable Assistance Each Party (if it is not the Party enforcing or defending Licensor’s Patent Rights) shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees and consultants available, subject to the other Party’s reimbursement of any reasonable out-of-pocket expenses incurred on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.

  • Cooperation and Assistance (i) The Parties shall cooperate with each other in the filing of any Tax Returns and the conduct of any audit or other proceeding. They each shall execute and deliver such powers of attorney and make available such other documents as are reasonably necessary to carry out the intent of this Section 6.14.

  • Transition Assistance If this Contract is not renewed at the end of this term, if the Contract is otherwise terminated before project completion, or if particular work on a project is terminated for any reason, Contractor shall provide transition assistance for a reasonable, mutually agreed period of time after the expiration or termination of this Contract or particular work under this Contract. The purpose of this assistance is to allow for the expired or terminated portion of the services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such services to State or its designees. The parties agree that such transition assistance is governed by the terms and conditions of this Contract, except for those terms or conditions that do not reasonably apply to such transition assistance. State shall pay Contractor for any resources utilized in performing such transition assistance at the most current Contract rates. If State terminates a project or this Contract for cause, then State may offset the cost of paying Contractor for the additional resources Contractor utilized in providing transition assistance with any damages State may have sustained as a result of Contractor’s breach.
