Operating Committee and Operating Procedures. Company and Seller shall each appoint one representative and one alternate representative to act as the operating committee in matters relating to the Parties' performance obligations under this Agreement and to develop operating arrangements for the generation, delivery and receipt of renewable energy from the Facility. The operating committee may develop mutually agreeable written operating procedures consistent with the requirements of this Agreement, to address matters such as day‑to‑day communications; key personnel; operations-center interface; metering, telemetering, telecommunications, and data acquisition procedures; operations and maintenance scheduling and reporting; reports; operations log; testing procedures; and such other matters as may be mutually agreed upon by the operating committee. The operating committee shall review the requirements for Active Power Control, the data collection and telemetry, and control system parameters from time to time after the date hereof and may agree on modifications thereto to the extent necessary or convenient for operation of the Facility in accordance with this Agreement. The operating committee shall have authority to act in all technical and day-to-day operational matters relating to performance of this Agreement and to attempt to resolve potential disputes, provided, however, that except as explicitly provided herein, the operating committee shall have no authority to amend or waive any provision of this Agreement. EXHIBIT B-1 MODELING REQUIREMENTS Steady State and Dynamic Model Requirements and As-built Data to be provided by Seller. The expected steady state power flow and dynamic models will be provided by the Seller during the interconnection study process in the format compatible with the analytical tools used by the Company. Depending upon Facility design, different representations may be required for steady state and dynamic simulations. Seller will work with Company to derive a complex equivalent model if it is required to meet interconnection study needs. The as-built data and models will be provided by Seller immediately upon commissioning with sufficient information to demonstrate that the as-built parameters match the model. Any changes to plant settings that affect its response and impact to the Company System are required to be studied prior to those changes taking effect. The Parties may agree to append such Operating Procedures to this PPA on Exhibit G. (C) The Operating Committee shall review the requirements for AGC from time to time after the date hereof and may agree on modifications thereto to the extent necessary or convenient for operation of the Facility in accordance with this PPA. (D) The Operating Committee shall have authority to act in all technical and day-to-day operational matters relating to performance of this PPA and to attempt to resolve disputes or potential disputes, provided, however, that such representatives and the Operating Committee shall be advisory only and shall have no authority to amend or modify any terms or conditions of this PPA.

The agreed upon Operating Procedures shall be provided and distributed within ninety (90) days following the Completion Date.

Such representatives shall constitute the “Operating Committee.” The Parties shall notify each other in writing of such appointments and any changes thereto. The Parties’ representatives designated above shall have authority to act for their respective principals in all technical matters relating to performance of this Agreement and to attempt to resolve disputes or potential disputes. The Operating Committee shall have no authority to modify the terms or conditions of this Agreement. (B) Prior to the Commercial Operation Date, the Operating Committee shall develop mutually agreeable written operating procedures (“Operating Procedures”) that shall include, but not be limited to: (i) a key personnel list for applicable EPE and Seller operating centers; (ii) the method of day-to-day communications; (iii) metering, telemetering, telecommunications, data acquisition, and Facility status reporting procedures; (iv) procedures for the development and communication of weekly and daily forecasts of the hourly net generation from the Facility; (v) maintenance scheduling and reporting procedures; (vi) procedures as defined in Sections 13.3, 13.4, 13.5, 13.6, 13.7, 13.8, 13.9, 13.10, 13.11, 13.12, and 13.13 of this Agreement; and (v) such ****=Confidential treatment has been requested for the redacted portions of this exhibit. The copy filed herewith omits the information subject to the confidentiality request. Omissions are designated as ****. A complete version of this exhibit has been filed separately with the Securities and Exchange Commission. other matters as may be mutually agreed upon by the Parties. If any such procedures are not developed, Seller will operate the Facility using other procedures that comply with Section 13.1 of this Agreement until agreed procedures are developed.

Operating Committee and Operating Procedures. (A) Southwestern and Seller shall each appoint one representative and one alternate representative to act in matters relating to the operation of Seller's Facility and Southwestern's system under this Agreement and detailed operating arrangements for delivery of Capacity and Energy from the Facility to Southwestern. Such representatives shall constitute the Operating Committee. The Parties shall notify each other in writing of such appointments and any changes thereto. The Operating Committee shall have no authority to modify the terms or conditions of this Agreement other than Attachment H. (B) The Operating Committee shall develop mutually agreeable written operating procedures no later than ninety (90) days prior to the Combustion Turbine Commercial Operation Date. The operating procedures shall be a guide on how to integrate the Facility and its electrical output into Southwestern's system and shall be consistent with the provisions of this Agreement. Operating procedures shall include, but not be limited to, the method of day-to-day communications; metering, telemetering, telecommunications, and data acquisition procedures; key personnel list for applicable Southwestern and Seller control centers; clearances and switching practices; operating and maintenance scheduling and reporting; daily capacity and energy reports; unit operations log; reactive power support; and such other matters as may be mutually agreed upon by the Parties. (C) The Operating Procedures will constitute Attachment H of this Agreement.

Such delegates shall constitute the Operating Committee which will be headed by a delegate from Seller’s side. The obligations and responsibilities of the Operating Committee and the rules governing meetings of the Operating Committee shall be as set forth in Exhibit F. Operating Procedures shall include, but not be limited to: method of day-to- day communications; metering, telemetering, telecommunications, and data acquisition procedures; operating and maintenance scheduling and reporting; operations log; and such other matters as may be mutually agreed upon by the Parties. The agreed upon Operating Procedures shall be provided and distributed within three (3) months following the Effective Completion Date. (c) Three (3) months prior to the Scheduled Completion Date, The Operating Committee shall develop plans for operating the Facility during an Emergency affecting Seller or Purchaser. Such plans shall include, without limitation, recovery from a local or widespread electrical blackout and voltage reduction to effect load curtailment. The plans will also address the event if the Facility would have a Scheduled Outage or a Forced Outage and such outage occurs coincident with an Emergency.
