Operating Representatives. Individual(s) appointed by each Party for the purpose of securing effective cooperation and interchange of information between the Parties in connection with administration and technical matters related to this Contract.

Operating Representatives. The responsibilities assigned to the Operating Representatives appointed pursuant to Section 3 of Attachment B to the Tariff shall extend to the activities required under this Agreement.
Operating Representatives. Prior to the Delivery Period, each Party shall designate a representative for purposes of administering this Transaction (each such representative, an “Operating Representative”), by notice to the other Party specifying the designee’s name, telephone and fax numbers and e-mail address. A Party may change its Operating Representative upon similar notice to the other Party. The duties and responsibilities of the Operating Representatives shall include serving as the primary contacts for the administration of the Transaction and for establishing and maintaining procedures for such administration and for coordinating the schedule for Planned Maintenance. The Operating Representatives shall have no authority to amend or otherwise modify this Transaction or bind their respective Parties.
Operating Representatives. 18.1 Within thirty days after execution of this Agreement, each Party shall appoint an Operating Representative for the purpose of securing effective cooperation and interchange of information and providing consultation and coordination on a prompt and orderly basis between the Parties in connection with various administrative, technical and operating matters which may arise from time to time under this Agreement, including the performance of the functions and duties of said representative under this Agreement. 18.2 Each Party shall bear the cost of its designated Representative. 18.3 Each Party shall notify the other Party promptly of any change in the designation of its Operating Representative. 18.4 The Operating Representative shall have no authority to modify any of the terms, covenants or conditions of this Agreement.

Operating Representatives. By letter dated as of even date herewith, GSOC and OPC have each appointed operating representatives to act for the respective Parties in matters pertaining to service under this Agreement. Operating Representatives. 9.6.1 Not later than ten (10) Days after the Contract Date, each Party shall appoint a member and an alternate member as operating representatives and provide written notice of such appointments to the other Party ("Operating Representatives"). Such appointments may be changed at any time by similar written notice. The respective Operating Representatives shall meet as necessary at a mutually agreeable time and place upon prior written notice. Each Operating Representative and alternate shall be a responsible person working with the day-to-day operations of, in the case of PPUC, PPUC’s Electric System and, in the case of Seller, the Facility. 9.6.2 The duties of the Operating Representatives shall include those specifically identified elsewhere in this Agreement, and such other duties as may be delegated to them by mutual agreement of the Parties; provided, that such Operating Representatives shall not have the authority to amend this Agreement. 9.6.3 Each Party shall cooperate in providing to the Operating Representatives all information required in the performance of their duties. If the Operating Representatives are unable to agree on any matter that may be delegated to them in accordance with this Agreement, such matter shall be referred by the Operating Representatives to their principals for decision. All decisions made by the Operating Representatives or principals shall be evidenced in writing.
Operating Representatives. 19.1 In order to provide for the exchange of information and preparation of any necessary operating procedures or revisions to operating procedures regarding the activities required under this Agreement, each Party will appoint an Operating Representative in accordance with Section 3 of Attachment C to the WDAT, as specified in Section 6 of the Service Agreement. 19.2 The Operating Representatives are authorized to act on behalf of the Party they represent in the implementation of this Agreement. Any action taken or determination made by the Operating Representatives in the implementation of this Agreement will be in writing. 19.3 The Operating Representatives shall have no authority or power to modify, add, waive or eliminate any terms or conditions of this Agreement. 19.4 Either Party may at any time change the designation of its Operating Representative by written notice to the other Party pursuant to Section 6 of the Service Agreement.
Operating Representatives. The Parties hereby establish an operating committee consisting of one representative from each Party authorized to act on its behalf (“Operating Representative”) to secure effective coordination and to deal on a prompt and orderly basis with the various operating and technical issues which arise in conjunction with the obligations of the Parties hereunder, including the development of operating procedures or practices. The establishment of any procedure or practice and any other action or determination by the Operating Representatives shall be effective when signed by the Operating Representative of each of the Parties.
