Operator Responsibilities. (a) The Operator is responsible to become aware of, and be compliant with, all changes affecting its obligations under Section 7.1(a) through (f) of this Agreement.
(b) In respect of Section 7.1(g) of this Agreement, the Operator is responsible to become aware of the requirements of the Applicable Policies and shall obtain such Applicable Policies as they are made available.
Operator Responsibilities. Operator agrees to maintain its RF Plants and facilities in the Committed Systems in conformity with industry standards and the System Data Requirements set forth in EXHIBIT B for the carriage of HSAC Services throughout the Committed Systems.
Operator Responsibilities. In the event of termination of this Agreement, the Operator will relinquish control of (i) all Bank Accounts and (ii) all funds in or accounts in Operator’s control which relate to the Business, subject to the Operator’ rights set forth under Section 9.02.
Operator Responsibilities. (a) The Operator shall conduct and direct and have full control of all operations as permitted and required by this Agreement. Operator shall, in addition to its other obligations hereunder:
(i) determine at all times when any well shall be completed, plugged and abandoned or remedial work performed and which sands to complete (whether upon completion of drilling operations or thereafter);
(ii) manage and conduct all field operations in connection with drilling, testing, completing, recompleting, equipping, operating and producing of the xxxxx;
(iii) maintain all xxxxx, equipment, pipelines and facilities in good working order during the useful life thereof; and
(iv) perform the necessary administrative and accounting functions.
(b) The decision of Operator shall be final and conclusive, and shall be binding upon all parties. Operator shall conduct all such operations in a good and workmanlike manner, but it shall have no liabilities as Operator to any party for losses sustained, or liabilities incurred, except such as may result from Operator’s gross negligence or willful misconduct.

Operator shall conduct all such operations in a good and workmanlike manner, but it shall have no liabilities as Operator to any party for losses sustained, or liabilities incurred, except such as may result from Operator's gross negligence or willful misconduct. Operator shall, in addition to its other obligations hereunder:
(a) determine at all times when any well shall be completed, plugged and abandoned or remedial work performed and which sands to complete (whether upon completion of drilling operations or thereafter);
(b) manage and conduct all field operations in connection with drilling, testing, completing, recompleting, equipping, operating and producing of the wxxxx;
(c) maintain all wxxxx, equipment, pipelines and facilities in good working order during the useful life thereof;
(d) perform the necessary administrative and accounting functions;
(e) hire, terminate and compensate employees; and
(f) give the drilling and operating of the wxxxx equal priority with the other business activities conducted by Operator.
Operator Responsibilities. Operator shall manage, operate and maintain the Premises as a live entertainment venue in a manner consistent with the level of service and quality at comparable live entertainment venues it operates, including booking and producing events, booking artists, ticketing, marketing, staffing, security, sponsorships, merchandise, food and beverage, general facility operations such as communications, day-to-day maintenance, cleaning, and upkeep not involving capital improvements or capital acquisitions, contracting, hiring service providers including the Concessionaire, accounting, human resources and any other services typically performed by a venue operator and bxxxxx in the live entertainment industry. All costs and expenses related to such obligations shall be Venue Expenses. Operator shall be responsible for collecting all Adjusted Gross Revenues and paying all Venue Expenses in a in a timely manner so as to ensure that there is no material and adverse impact on the operation of the Premises. In the event that Owner is contacted directly with regards to booking an Event, it shall refer such party to Operator and acknowledges and agrees that Operator shall be the sole party to negotiate and contract with artists for Events.

All costs and expenses related to such obligations (except those that are non-Event related) shall be Event Expenses. Operator shall be responsible for collecting all Adjusted Gross Revenues and paying all Event Expenses in a in a timely manner so as to ensure that there is no material and adverse impact on the operation of the Premises. In the event that Owner is contacted directly with regards to booking an Event, it shall refer such party to Operator and acknowledges and agrees that Operator shall be the sole party to negotiate and contract with artists for Events. Notwithstanding anything contained herein to the contrary, Operator shall make all operational decisions concerning the Venue (e.g., staffing, ticket scaling, employee uniforms (subject to sponsorship commitments of Owner, as set forth in this Agreement), etc.).
Operator Responsibilities. A. The name of the person who is seeking to establish the Charter Schools.
B. The name of the person who will be in charge of the Charter Schools and the manner in which administrative services will be provided.
Operator Responsibilities. (a) Each Operator agrees to notify TTL in writing as soon as reasonably practicable of any event of which it becomes aware which will or may lead to a claim under Clause 16.1, and in any event it shall be a condition of an Operator’s entitlement to any indemnity from TTL under Clause 16.1 that such notification shall be given within 3 months from when the Operator knew, or ought reasonably to have known of any such event.
(b) Each Operator shall take all reasonable steps to avoid any costs, losses and /or claims (including those which may arise as a consequence of contracts entered into by the Operator with third parties)and mitigate the same when arising..
(c) TTL shall not be liable for and shall not indemnify each Operator for any loss or claim to the extent such loss or claim is caused, or contributed to, by:-
(i) any breach of or negligent performance by the Operator (or its employees or agents) of its obligations under this Agreement (or any other agreement between TTL and the Operator); or
(ii) any other tortious (including negligent) act or omission or breach of statutory duty by the Operator or its employees or agents (including for the avoidance of doubt where such act or omission or breach of statutory duty is in relation to the Operator’s passengers or any other party) as such is relevant to TTL’s liability under this Agreement (or any other agreement between TTL and the Operator).
Operator Responsibilities. Operator shall perform all maintenance on the Leased Equipment, all Minor Leased Equipment Repairs and all repairs or replacement of Boilers 5 and 6. Subject to Section 6.8, Operator shall coordinate with Millennium and Owner the scheduling of all other repairs on the Leased Equipment, which repairs are the responsibility of Owner.
