Event Expenses definition

Event Expenses is defined in Section 4.4.
Event Expenses means any of the following costs and expenses that are related directly and exclusively to an Event Holder’s use of an Event Area: (i) wages, benefits and incidentals paid to all Event staff, including ushers, ticket-takers, ticket-sellers and fan assistance personnel; (ii) Event security; (iii) on-site first aid and ambulance service; (iv) Event publicity and marketing; (v) concession services; (vi) any licenses and permits required for such Event;
Event Expenses means the aggregate amount of all fees, costs, expenses, liabilities, obligations and other amounts (including, without limitation, investment banking fees, advisory or consultant fees, accountant’s or attorney’s fees, transfer or similar taxes or other taxes imposed by any jurisdiction, reimbursement of expenses and indemnity payments) incurred or payable (or estimated in good faith to be incurred or payable) by Parent or its subsidiaries in connection with any Event.

Examples of Event Expenses in a sentence

  • Following the satisfactory completion of the events, ASM Global shall make a deposit into the appropriate operating account established pursuant to Section 5.6 above of the amount in such separate interest-bearing account and shall pay from such operating account Event Expenses and provide the County with a full event settlement report.


More Definitions of Event Expenses

Event Expenses or “Show Expenses” shall mean all Event Expenses incurred by Operator directly incurred for an Event, subject to the Owner Obligations (defined below), including, without limitation, those incurred by Owner as set forth in this definition below for the day-to-day operation of the Premises and booking and production of Events as set forth under Operator Responsibilities below, including Base Fee, amounts specifically set forth elsewhere in this Agreement, all costs of talent acquisition (including artist fees); staffing; production; required EMT costs; any costs/charges related to cancelled or postponed Events; marketing and advertising; “insurance charges (or Event-related insurance charges); accounting and legal fees; fines and penalties incurred as a result of an Event; cleaning and janitorial fees; operating supplies; computer software and hardware; internet, telephone and communications equipment rental; alterations within Operator’s scope of responsibilities; travel and entertainment expense related to Events only; security; service agreements; ticketing; and all other non-capital expenses incurred in opening, operating and managing the Premises. The Parties acknowledge and agree that certain Operator tours will have expenses associated with them beyond artist’s costs, commonly referred to as touring supply overhead (“TSO”), which are costs allocated to cover tour reps and such other costs required to acquire and operate the applicable tour. TSO, when applicable, will be included in Event Expenses, but subject to a maximum of $[***] per show. Notwithstanding anything contained herein to the contrary, Venue or Show Expenses shall not include, and Owner alone shall be responsible for: Property Taxes, utilities, insurance for the building structure and the coverages set forth in Section 23(b),Venue branding marketing/advertising expense (non-show specific), repair and maintenance expense or other Owner’s expenses, alterations, capital costs, Common Area maintenance costs or any of Owner’s other obligations set forth herein (collectively, the “Owner Obligations”). Outside of Show Expenses, Operator alone shall be responsible for certain fixed costs such as non-Event labor, supplies, insurance for events that are not co-promoted by the Parties (e.g., an Event where Owner opts out) and bank fees.
Event Expenses means incremental Operating Expenses directly attributable to an Event. “Event Expenses” excludes GOA Expenses.
Event Expenses means, collectively: a reasonable number of ushers, ticket takers, operations staffing, event crew and crowd management staff, housekeeping, janitors/matrons, box office staff, medical and fire personnel as determined by Licensor in its sole discretion, cleaning of the building before and after each performance, conversion, standard Los Angeles Sheriff’s Department (“LASD”) deployment as determined by Licensor and LASD, power and miscellaneous expenses such as available house staging, risers, barricades, spotlights, forklifts, chairs and bath towels, all phone lines and internet, catering, additional security or police in excess of the number determined by Licensor in the Event Expenses or outside the areas/locations designated in the Event Expenses (including without limitation bus and truck security or locker room/load- in area security), staffing overtime, additional staff for private parties and/or functions used in conjunction with the Event, advertising, group sales, e-mail campaigns, sound and lighting equipment, stagehands, loaders, wardrobe, broadcast fees or staffing (including costs of platform construction, if applicable, and the Origination Fee and the Buyout Fee, if applicable), equipment rentals, videoboard use or staffing, ASCAP/BMI/SESAC or similar music royalties, the Admissions Fee or other applicable taxes or fees imposed by governmental authorities, expenses for items requested by Licensee, EMTs/ambulance, press conference costs (including catering and staffing associated therewith), and any other related expense including but not limited to, any and all box office credit card fees or expenses. Any and all Event Expenses shall be paid by Licensee pursuant to the terms and in accordance with Section 39 herein. Credit card fees shall be added to Licensor’s ticketing agent’s standard service charge for purchases by phone, outlets, or internet. Licensee will be billed for credit card fees as an Event Expense for all DHSP box office purchases. Notwithstanding anything to the contrary above, the Event Expenses shall not include (i) staffing costs associated with the sale of food and beverage concessions, parking or merchandise (which staffing costs shall be the responsibility of Licensor or its designated concessionaires or subcontractors; provided that Licensee shall be solely responsible for food and beverage concessions staffing costs if the Event is cancelled for reasons other than a breach by Licensor of its obligations hereunder less t...
Event Expenses any and all expenses incurred or payments made by ASM Global in connection with the occurrence of events at the Facility, including but not limited to costs for event staffing including ushers, ticket takers, security and other event staff, and costs relating to setup and cleanup.
Event Expenses means any and all direct or incremental expenses incurred or payments made by the Manager in connection with Events at the Stadium, including but not limited to incremental utility costs, certain broadband communication services, ticketing, costs relating to setup and cleanup, security and crowd control, ushers, ticket takers, other Event related staff, and other Event related expenses. With respect to the Team, Event Expenses shall be interpreted consistently with the Use Agreement.
