Other Prohibited Conduct. 18.1 (Pets and infestations) The Licensee is not permitted to have pet animals, birds, insects, fish or reptiles in or around the Unit or the Residence (excluding assistance dogs). The Licensee will be responsible for the costs of extermination of any infestations attributable to the Licensee. 18.2 (DRS insurance) The Licensee must not do or omit to do anything that may render any DRS insurance policy void or voidable, either in full or in part, or that may increase the premium payable in respect of any DRS insurance policy.
Other Prohibited Conduct. You may not: (i) use the Services to infringe the rights of HTC, its affiliates, or any third-party; (ii) sell, resell, rent, lease, lend, or sublicense the Services; (iii) send or store code that can harm or result in damage to the Services; (iv) interfere with or disrupt the integrity of the Services or the data contained therein; (v) attempt to gain unauthorized access to the Services or its related systems or networks; (vi) use the Services in order to cause harm or disrupt the operations of a third-party; (vii) perform or disclose any benchmark or performance tests on the Services; (viii) perform or disclose the results of any of the following tests: network discovery, port and service identification, vulnerability scanning, password cracking, remote access testing, penetration testing or any other test or procedure not authorized in the Documentation; or (ix) make use of the Services in any manner not permitted by this Agreement.
Other Prohibited Conduct. A supervisor shall not engage in a sexual relationship with a subordinate employee (any employee whom the supervisor supervises or evaluates). A supervisor will be subject to disciplinary action for engaging in any such conduct, regardless of whether the conduct was welcomed or consensual.
Other Prohibited Conduct. 7.1. No participant shall solicit, offer, induce, entice, instruct, persuade, encourage, pay for and/or facilitate the breach of this Appendix. 7.2. Any attempt by a participant, or any agreement by a participant with a party outside of the sport, to act in a manner that would be a breach of this Appendix, shall be treated as a breach whether or not such attempt or agreement was in fact successful. 7.3. A participant who authorizes, causes, knowingly assists, encourages, aids, abets, covers up or is otherwise complicit in any acts or omissions of the type described in this Appendix committed by their coach, trainer, manager, agent, family member, guest or other affiliate or associate, shall be treated as having committed such acts or omissions him/herself and shall be liable accordingly.
Other Prohibited ConductCustomer must not commit or permit any reverse engineering, reverse assembling, disassembling, reverse compiling, or decompiling, or any attempt to derive source code from, any prototypes, hardware, software, or other tangible objects provided to Customer by the Company.
Other Prohibited ConductThe TENANT shall not at any time without first obtaining the written consent of the LANDLORD: a. Change, whether by alteration, replacement, rebuilding, or otherwise, the exterior color or architectural treatment of the leased property or of the building in which the same is located, or any part thereof. b. Use the plumbing facilities for any purposes other than that for which they were constructed, or dispose of any garbage or other foreign substance therein whether through the utilization of so-called disposal or similar units, or otherwise. c. Subject any fixtures, furnishings, or equipment in or on the leased property which are affixed to the realty to any mortgages, liens, conditional sales agreements, security interest, or encumbrances. d. Perform any act or carry on any practice which may damage, mar, or deface the leased property or the building in which such property is located. e. Install, operate, or maintain in the leased property any electrical equipment which will overload the electrical system therein, or any part thereof, beyond its reasonable capacity for proper and safe operation as determined by the LANDLORD. f. Suffer, allow or permit any offensive or obnoxious vibration, noise, odor, or other undesirable effect to emanate from the leased property, or any machine or other installation therein, or otherwise suffer, allow or permit the same to constitute a nuisance or otherwise unreasonably interfere with the safety, comfort, or conveniences of the LANDLORD or any of the other occupants of the building in which the leased property is located or their customers, agents or invitees or any others lawfully in or upon such building. g. Allow the accumulation of any debris or trash abnormal in character or volume, in the sole discretion of the LANDLORD. Any and all trash placed at the exterior of the leased property by the TENANT or persons employed by the TENANT, shall be placed only in authorized dumpsters provided by the LANDLORD and scheduled for regularly assigned pickup. If any trash or material are found outside of the dumpsters or in trash enclosure, TENANT will be charged a minimum. of $50.00 for the removal of such trash. All trash must be placed in proper dumpsters only. The following items are not permitted in dumpsters: 1. Other Prohibited Conduct a) Betting The Player will refrain from placing bets or attempting to place bets himself or using third parties, e. g. close family members, neither on his own account nor on that of a third party, on any basketball game or competition anywhere in the world, nor on any games and/or competitions in which teams of the Club are directly or indirectly involved, neither will the Player be allowed to engage or support any third parties to place such bets. He will refrain from disclosing to any third party any betting-related information that is not in the public domain or to which only he as a Player has access.

  • Prohibited Conduct In providing the services described in this agreement, the Sub-Advisor will not consult with any other investment advisory firm that provides investment advisory services to any investment company sponsored by Principal Life Insurance Company regarding transactions for the Fund in securities or other assets.

  • Right to Conduct Activities The Company hereby agrees and acknowledges that Xxxxxxxxx, ARCH, Omega, Xxxxxx Capital Partners L.P., Samsara BioCapital, L.P. and their respective Affiliates are professional venture capital or similar investment funds (collectively, the “Funds”), and as such invest in numerous portfolio companies, some of which may be deemed competitive with the Company’s business (as currently conducted or as may be conducted in the future). The parties agree that no Fund or any Fund Affiliate investment fund or any of their Affiliates, or any of their or their Affiliates’ partners, officers or representatives, in his, her or its capacity as such, which manage or advise any such investment funds, shall be considered a Competitor of the Company solely as a result of such investment, management or advisory activities for purposes of this Agreement, and the Company agrees that, to the extent permitted under applicable law, neither the Funds nor their Affiliates shall be liable to the Company for any claim arising out of, or based upon, (i) the investment by a Fund or any of their Affiliates in any entity competitive with the Company, or (ii) actions taken by any partner, officer or other representative of a Fund or Fund Affiliate to assist any such competitive company, whether or not such action was taken as a member of the board of directors of such competitive company or otherwise, and whether or not such action has a detrimental effect on the Company; provided, however, that the foregoing shall not relieve (x) any of the Funds from liability associated with the unauthorized use or disclosure of the Company’s confidential information obtained pursuant to this Agreement, or (y) any director or officer of the Company from any liability associated with his or her fiduciary duties to the Company.

  • Prohibited Actions The Company agrees that it will not take any action which would entitle the Warrantholder to an adjustment of the Exercise Price if the total number of shares of Common Stock issuable after such action upon exercise of this Warrant, together with all shares of Common Stock then outstanding and all shares of Common Stock then issuable upon the exercise of all outstanding options, warrants, conversion and other rights, would exceed the total number of shares of Common Stock then authorized by its Charter.

  • Prohibited Transactions and Activities None of the Depositor, the Servicer or the Trustee shall sell, dispose of or substitute for any of the Mortgage Loans (except in connection with (i) the foreclosure of a Mortgage Loan, including but not limited to, the acquisition or sale of a Mortgaged Property acquired by deed in lieu of foreclosure, (ii) the bankruptcy of the Trust Fund, (iii) the termination of the Trust Fund pursuant to Article IX of this Agreement, (iv) a substitution pursuant to Article II of this Agreement or (v) a purchase of Mortgage Loans pursuant to Article II or III of this Agreement), nor acquire any assets for any REMIC created hereunder (other than REO Property acquired in respect of a defaulted Mortgage Loan), nor sell or dispose of any investments in the Collection Account or the Distribution Account for gain, nor accept any contributions to any REMIC created hereunder after the Closing Date (other than a Qualified Substitute Mortgage Loan delivered in accordance with Section 2.03), unless it has received an Opinion of Counsel, addressed to the Trustee (at the expense of the party seeking to cause such sale, disposition, substitution, acquisition or contribution but in no event at the expense of the Trustee) that such sale, disposition, substitution, acquisition or contribution will not (a) affect adversely the status of any of any REMIC Regular Interest created hereunder as a REMIC or (b) cause any REMIC Regular Interest created hereunder to be subject to a tax on “prohibited transactions” or “contributions” pursuant to the REMIC Provisions.

  • Actions Prohibited by Applicable Law, Etc In no event shall the Custodian incur liability hereunder if the Custodian or any Subcustodian or Securities System, or any Subcustodian, Eligible Securities Depository utilized by any such Subcustodian, or any nominee of the Custodian or any Subcustodian (individually, a “Person”) is prevented, forbidden or delayed from performing, or omits to perform, any act or thing which this Agreement provides shall be performed or omitted to be performed, by reason of: (i) any provision of any present or future law or regulation or order of the United States of America, or any state thereof, or of any foreign country, or political subdivision thereof or of any court of competent jurisdiction (and neither the Custodian nor any other Person shall be obligated to take any action contrary thereto); or (ii) any “Force Majeure,” which for purposes of this Agreement, shall mean any circumstance or event which is beyond the reasonable control of the Custodian, a Subcustodian or any agent of the Custodian or a Subcustodian and which adversely affects the performance by the Custodian of its obligations hereunder, by the Subcustodian of its obligations under its subcustodian agreement or by any other agent of the Custodian or the Subcustodian, unless in each case, such delay or nonperformance is caused by the negligence or willful misconduct of the Custodian. Such Force Majeure events may include any event caused by, arising out of or involving (a) an act of God, (b) accident, fire, water damage or explosion, (c) any computer, system outage or downtime or other equipment failure or malfunction caused by any computer virus or any other reason or the malfunction or failure of any communications medium, (d) any interruption of the power supply or other utility service, (e) any strike or other work stoppage, whether partial or total, (f) any delay or disruption resulting from or reflecting the occurrence of any Sovereign Risk (as defined below), (g) any disruption of, or suspension of trading in, the securities, commodities or foreign exchange markets, whether or not resulting from or reflecting the occurrence of any Sovereign Risk, (h) any encumbrance on the transferability of cash, currency or a currency position on the actual settlement date of a foreign exchange transaction, whether or not resulting from or reflecting the occurrence of any Sovereign Risk, or (i) any other cause similarly beyond the reasonable control of the Custodian. Subject to the Custodian’s general standard of care set forth in Subsection 6(a) hereof and the requirements of Section 17(f) of the 1940 Act and Rules 17f-5 and 17f-7 thereunder, the Custodian shall not incur liability hereunder if any Person is prevented, forbidden or delayed from performing, or omits to perform, any act or thing which this Agreement provides shall be performed or omitted to be performed by reason of any (i) “Sovereign Risk,” which for the purpose of this Agreement shall mean, in respect of any jurisdiction, including but not limited to the United States of America, where investments are acquired or held under this Agreement, (a) any act of war, terrorism, riot, insurrection or civil commotion, (b) the imposition of any investment, repatriation or exchange control restrictions by any governmental authority, (c) the confiscation, expropriation or nationalization of any investments by any governmental authority, whether de facto or de jure, (d) any devaluation or revaluation of the currency, (e) the imposition of taxes, levies or other charges affecting investments, (f) any change in the applicable law, or (g) any other economic, systemic or political risk incurred or experienced that is not directly related to the economic or financial conditions of the Eligible Foreign Custodian, except as otherwise provided in this Agreement or the Delegation Agreement, or (ii) “Country Risk,” which for the purpose of this Agreement shall mean, with respect to the acquisition, ownership, settlement or custody of investments in a jurisdiction, all risks relating to, or arising in consequence of, systemic and markets factors affecting the acquisition, payment for or ownership of investments, including (a) the prevalence of crime and corruption in such jurisdiction, (b) the inaccuracy or unreliability of business and financial information (unrelated to the Approved Foreign Custody Manager’s duties imposed by Rule 17f-5(c) under the 1940 Act or to the duties imposed on the Custodian by Rule 17f-7 under the 1940 Act), (c) the instability or volatility of banking and financial systems, or the absence or inadequacy of an infrastructure to support such systems, (d) custody and settlement infrastructure of the market in which such investments are transacted and held, (e) the acts, omissions and operation of any Eligible Securities Depository, it being understood that this provision shall not excuse the Custodian’s performance under the express terms of this Agreement, (f) the risk of the bankruptcy or insolvency of banking agents, counterparties to cash and securities transactions, registrars or transfer agents, (g) the existence of market conditions which prevent the orderly execution or settlement of transactions or which affect the value of assets, and (h) the laws relating to the safekeeping and recovery of a Fund’s Foreign Assets held in custody pursuant to the terms of this Agreement; provided, however, that, in compliance with Rule 17f-5, neither Sovereign Risk nor Country Risk shall include the custody risk of a particular Eligible Foreign Custodian of a Fund’s Foreign Assets.
