OTHER SERVICES AND CHARGES. The following rates shall apply for all other services, and remain in effect throughout the term of the contract for both the Consultant and all levels of sub consultants.
OTHER SERVICES AND CHARGES. (a) Other services rendered in the interest of XXXXXX or the GOODS are chargeable to XXXXXX. Such services may include, but are not limited to, the following; furnishing of special warehouse space or material, repairing, sampling, weighing, inspecting, and handling shipments.
(b) All ADVANCES are due and payable immediately. All charges are due and payable upon the date of invoice. All charges and ADVANCES not paid within 30 days from the due date are subject to an interest charge, from the date said charge or ADVANCE became due until paid, at the lesser of three (3) % per month or the maximum amount allowed by law.
(c) XXXXXX may, subject to insurance regulations and reasonable limitations, inspect the GOODS when accompanied by an employee of COMPANY whose time is chargeable to XXXXXX.
(d) In the event of damage or threatened damage to the GOODS, XXXXXX shall pay all reasonable and necessary costs of protecting and preserving the GOODS. When the costs of protecting and preserving stored property are attributable to more than one XXXXXX, said costs shall be apportioned among all affected STORERS on a pro rata basis to be determined by the COMPANY.
(e) COMPANY shall supply dunnage bracing and fastenings where it deems it appropriate on outbound shipments and the cost thereof is chargeable to XXXXXX.
(f) Any additional costs incurred by COMPANY in unloading cars or trucks containing damaged GOODS are chargeable to XXXXXX.
(g) COMPANY shall not be responsible for demurrage charges or delays in loading or unloading unless such demurrage charge or delay was caused solely by COMPANY'S negligence.
(h) A charge in addition to regular storage and handling rates will be made for bonded storage.
(i) All storage, handling and other services may be subject to minimum charges.
(j) XXXXXX agrees to pay COMPANY all costs and ADVANCES including reasonable attorney's fees incurred by COMPANY in connection with the storage, handling and/or disposition of the GOODS, including without limitations; ADVANCES, and/or fees relating to lawsuits (including Bankruptcy proceedings) involving in any way said GOODS and/or XXXXXX'x performance under this agreement. All such costs, ADVANCES, and fees, for purposes of SECTION 12 below, shall constitute "charges present or future with respect to such GOODS".

Prior Agent Out-of-Proof Conditions: If an out-of-proof condition exists on the Effective Date, and such condition is not resolved within 90 calendar days thereafter, Investment Company agrees to provide BNYM with funds or shares sufficient to resolve the out-of-proof condition promptly upon the expiration of such 90 day period.

OTHER SERVICES AND CHARGES. Medical records. Upon request we will send to you a copy of your medical records in our file. If you would like us to send a copy of your medical records to a third party, you will need to sign a letter of release. You may be charged for additional copies of your medical records at rates within Illinois state statutes. Missed appointments. A missed appointment incurs a cost to us and to other patients who could have been seen in the time set aside for the missed appointment. If you need to cancel or reschedule your appointment, please inform us at least 48 hours in advance. We reserve the right to charge $50 for appointments that are missed or cancelled by with a notice of less than 48 hours by a return patient and $100 by a new patient. A recurrent pattern of missed or canceled appointments may result in discharge from the practice. We will waive the fee upon written proof of hospitalization or other extenuating circumstance. Other charges for extra services. Services beyond standard appointments may incur extra charges. These charges, if not covered by your insurance, may be billed directly to you. Extra services include: PAYMENT Payment of balance due. If a balance due is $90 or greater, or if a balance of any amount remains unpaid for 60 days or more, you will be notified that all of your future appointments will be canceled. Those appointments can be re-scheduled after the balance is paid. We realize that financial difficulty is a reality. In such circumstances, we may advise you to seek medical care through other means. Alternatively, you may choose to make prepayment on by the day of the service.

Shareholder Plan Enrollment: If Client has appointed Mellon to administer a direct stock purchase and/or dividend reinvestment plan, Mellon shall accept requests by Client’s shareholders to enroll Shares in such plan via paper enrollment form, in the case of certificated securities, and via paper enrollment form, Internet enrollment and telephonic enrollment, in the case of book-entry (i.e., Direct Registration System) securities. If Client has not appointed Mellon to administer a direct stock purchase or dividend reinvestment plan, then Client hereby appoints and directs Mellon to implement and administer a share selling program (“Program”) pursuant to which shareholders may enroll book-entry Shares in the Program in order to liquidate them under the following terms and conditions. The Program transaction fee for each such sale shall be $15.00 plus $0.12 per Share. Under the Program, upon receipt of a sell request by a registered shareholder, Mellon will process the request through Mellon Securities LLC (“MS”), a registered broker/dealer and member of NASD/SIPC and an affiliate of Mellon. Proceeds of each sale under the Program will be sent to the shareholder in the form of a check (less the transaction fee). Sale requests under the Program will typically be combined with other sale requests received from Client shareholders and Shares will be submitted in bulk to MS for sale. Shares will be sold under the Program generally within one business day of Mellon’s receipt of the sale request, but in no event more than five business days (except where deferral is necessary under state or federal regulations). The price per Share received by the selling shareholder under the Program will equal the market price Mellon receives for the Shares (or, if more than one bulk trade is executed on the day the Shares are sold, then the price per Share shall equal the weighted average market price received for all Shares sold that day).
