Partner Assistance. If Partner (either itself or through its Affiliate) elects to serve as the Territory Sponsor or regulatory agent in the Territory for, and enroll and treat patients in, any such Global Clinical Trials for a New Development, then such Partner activities will be added to the Global Development Plan and submitted to the JSC for approval in accordance with Section 5.3 (Global Development Plan).

Partner Assistance. Crafter will provide support to Partner, for non-End User related technical issues only, at a level similar to Crafter’s Silver level support for End Users.
Partner Assistance. 3.1 At the request of Ellucian, the Partner shall provide Ellucian with all technical and operational assistance that Ellucian reasonably requires in connection with the hosting of the Partner Solution(s), at the cost of the Partner. Such assistance may include the following: (a) providing Ellucian with reasonable and sufficient training on the Partner Solution(s), which may involve the deployment of a ‘train the trainer’ method to train and educate an agreed number of Ellucian staff members on the Partner Solution(s) (and may involve the provision of repeat training on either an annual basis or following any major release), (b) agreeing the monitoring points and measurement methodology that is applicable to the Partner Solution(s) with Ellucian and supporting Ellucian’s integration of the Partner Solution(s) into Ellucian’s monitoring program and applications; (c) providing Ellucian with an instance of the Partner Solution(s) to be hosted in a training environment by Ellucian and providing Ellucian with all reasonable assistance in connection with the set up and operation of the training environment (which may be charged for by Ellucian if the training environment is a dedicated training environment, subject to the agreement of the Parties); (d) providing Ellucian with implementation support in respect of each installation of the Partner Solution(s); (e) working with Ellucian to automate key processes, where possible, relating to the implementation, maintenance and support of the Partner Solution(s); (f) providing Ellucian with any information and guidance that is reasonably required by Ellucian which may include but not be limited to: best practice guidance, installation guidance, training materials, product and metrics information, common support processes such as alert thresholds, escalation paths, contact information, troubleshooting guidance and details of common corrective action that may be deployed in relation to the Partner Solution(s), data source information and configuration settings; and (g) promptly answering any functional, technical or other questions that Ellucian may have in relation to the Partner Solution(s). Further operational and technical guidance may be contained in the EPN Guide and/or included in Ellucian resources that are provided to the Partner as part of its access to Ellucian Object(s).

Partner Assistance. Partner will identify Customers who may benefit from the SmartBiz Services and introduce such Customers to SmartBiz (the “Services”). Partner understands that SmartBiz Lenders, and not SmartBiz itself, retain sole discretion over which Applicants receive a loan. Partner shall not negotiate or enter into any agreement with any Customer on behalf of SmartBiz. Partner will not advise or otherwise imply to any Customer that Customer has been or will be approved for a financing product offered through SmartBiz.

  • Other Assistance Assist SBEs in their efforts to obtain bonds, lines of credit and insurance. (Note that the Agency has a Surety Bond Program that may assist SBEs in obtaining necessary bonding.) The Agency-Assisted Contractor or Contractor(s) shall require no more stringent bond or insurance standards of SBEs than required of other business enterprises.

  • Turnover Assistance Grantee will provide any assistance and actions reasonably necessary to enable System Agency or its designee to effectively close out the Grant Agreement and transfer the performance and obligations of the Grant Agreement to another Grantee or to System Agency if necessary. Grantee agrees that this obligation survives the termination, regardless of whether for cause or convenience, or the expiration of the Grant Agreement and remains in effect until completed to the satisfaction of System Agency.

  • Directory Assistance 72.1 The Parties acknowledge that CenturyLink is not a Directory Assistance (DA) provider. CenturyLink provides directory listings information for its subscribers to third party DA providers to be included in the national and local databases used by such third party providers. The Parties agree that to the extent the DA provider contracted by CLEC for DA services to CLEC’s subscribers also populates the national DA database, then CLEC’s DA listings have been made available to CenturyLink’s subscribers and no further effort is needed by either Party. If for any reason, CLEC desires that CenturyLink act as a middleman conduit for the placement of CLEC’s DA listings in the DA database(s), then CenturyLink shall provide such compensable DA listings service pursuant to separate written terms and conditions between CenturyLink and CLEC which will be attached to this Agreement as an Amendment.

  • Peer Assistance and Review (PAR) Consulting Teachers (CT) will be assigned to all new teachers with no prior teaching experience and tenured teachers rated ineffective on the qualitative measures at the end of the previous school year and recommended by the PAR Panel. Evaluations for Probationary and Ineffective Teachers:

  • Emergency Assistance Both Parties shall exercise due diligence to avoid or mitigate an Emergency to the extent practical in accordance with applicable requirements imposed by the Standards Authority or contained in the PJM Tariffs and NYISO Tariffs. In avoiding or mitigating an Emergency, both Parties shall strive to allow for commercial remedies, but if commercial remedies are not successful or practical, the Parties agree to be the suppliers of last resort to maintain reliability on the system. For each hour during which Emergency conditions exist in a Party’s Balancing Authority Area, that Party (while still ensuring operations within applicable Reliability Standards) shall determine what commercial remedies are available and make use of those that are practical and needed to avoid or mitigate the Emergency before any Emergency Energy is scheduled in that hour.

  • Further Assistance Award Recipient will provide assistance reasonably requested by the Company in connection with actions taken by Award Recipient while employed by the Company, including but not limited to assistance in connection with any lawsuits or other claims against the Company arising from events during the period in which Award Recipient was employed by the Company.

  • Tuition Assistance Bargaining unit employees can enroll in university or college, vocational technical school or extension courses. The course may be by correspondence or attendance at classes during non-working hours or during working hours with approval of the Agency Head and/or his/her Designee. Where practicable, in relation to work requirements, the Employer shall be liberal with the approval of requests for accrued/unused vacation leave, flex-time scheduling, compensatory time, or leave without pay for the purpose of enabling employees to attend classes conducted during an employee's regularly scheduled work hours.

  • Regulatory Assistance Provider will permit regulators with jurisdiction over BFA or any BFA Recipient to examine Provider’s activities relating to its performance under this Agreement and the Services. Subject to Section 17.6, Provider will cooperate and provide all information reasonably requested by the regulator in connection with any such examination and provide reasonable assistance and access to all equipment, records, and systems requested by the regulator relating to the Services.

  • Audit Assistance Each of the Parties and their respective Subsidiaries are or may be subject to regulation and audit by a Governmental Authority (including a Taxing Authority), standards organizations, customers or other parties to contracts with such Parties or their respective Subsidiaries under applicable Law, standards or contract provisions. If a Governmental Authority, standards organization, customer or other party to a contract with a Party or its Subsidiary exercises its right to examine or audit such Party’s or its Subsidiary’s books, records, documents or accounting practices and procedures pursuant to such applicable Law, standards or contract provisions, and such examination or audit relates to the Services, then the other Party shall provide, at the sole cost and expense of the requesting Party, all assistance reasonably requested by the Party that is subject to the examination or audit in responding to such examination or audits or requests for Information, to the extent that such assistance or Information is within the reasonable control of the cooperating Party and is related to the Services.
