PARTS OF CONTRACT. Whenever possible, the parts of the Contract will be interpreted to be consistent with each other. The parts of this Contract are complementary, and what is required by one will be as binding as if required by all. In the event of a conflict, the parts of the Contract will be given preference in the following order: Specifications as amended by the most current Change Order will be given first priority, Specifications will be given second priority, and General Conditions will be given third priority.
PARTS OF CONTRACT. This Renewal Contract utilizes the PACE Purchasing Cooperative Contract #P00218, for Building Cleaning Services from January 01, 2024, through December 31, 2025. This contract, Pace Purchasing Cooperative Contract #P00218 attached are all made a part of this Contract and collectively evidence and constitute the entire contract for services as outlined in the solicitation documents.
PARTS OF CONTRACT. This Contract, Xxxx Equipment Quotations #21044, #21045, #21046, #21047 and #21048 for Flygt Pumps at Lift stations 2, 5, 6, 8, 29 and 37 are all made a part of this Contract and collectively evidence and constitute the entire contract for services for pumping equipment. In the case of any conflict between the terms and conditions of this Contract and Xxxx Equipment Co., Inc, the terms and conditions of this Contract shall prevail.

PARTS OF CONTRACT. The Location Map; Notice to Contractors; Bid Instructions; Documents to be Submitted with Bid; Contract Documents; Documents to be Submitted During the Course of the Contract; Wage Rate Determinations; Notice of Preconstruction Requirements and Pre-Construction Conference Questionnaire; Affirmative Action Requirements; General Provisions; Supplementary General Terms and Conditions; Technical Specifications; Supplementary Technical Specifications; and Correspondence and Supportive Documentation shall each form a part of the Contract. THE CONTRACT SUM. The City shall pay the Contractor for the performance of the Contract, subject to additions and deductions provided therein, in current funds as follows: Where the quantities originally contemplated are so changed that application of the agreed unit price to the quantity of work performed is shown to create a hardship to the Owner or the Contractor, there shall be an equitable adjustment of the Contract to prevent such hardship. TIME & MANNER OF DOING WORK. The party of the second part agrees to commence the construction of the work to be done under this contract, immediately upon receiving written notice from the Director of Public Works, or other applicable Director, so to do and to complete the entire work not later than DATE OR TIME PERIOD FROM ISSUANCE OF NOTICE TO PROCEED, it being expressly agreed and understood that the time of beginning, rates of progress and time of completion of the work are essential under this contract. Time is to be considered to be the essence of this contract.

  • Status of Contracts Except as set forth in Schedule 5.17, each of the Seller Agreements constitutes a valid and binding obligation of the parties thereto and is in full force and effect and (except for those Seller Agreements which by their terms will expire prior to the Closing Date or are otherwise terminated prior to the Closing Date in accordance with the provisions hereof) may be transferred to Buyer pursuant to this Agreement and will continue in full force and effect thereafter, in each case without breaching the terms thereof or resulting in the forfeiture or impairment of any rights thereunder and without the consent, approval or act of, or the making of any filing with, any other party. Each Seller Party has fulfilled and performed in all material respects its obligations under each of the Seller Agreements, and each Seller Party is not in, or alleged to be in, material breach or default under, nor to the Knowledge of Seller is there or is there alleged to be any basis for termination of, any of the Seller Agreements. To the Knowledge of Seller, (i) no other party to any of the Seller Agreements has materially breached or defaulted thereunder, and (ii) no event has occurred and no condition or state of facts exists which, with the passage of time or the giving of notice or both, would constitute such a default or breach by any Seller Party or by any such other party. No Seller Party is currently renegotiating any of the Seller Agreements or paying liquidated damages in lieu of performance thereunder. Complete and correct copies of each of the Seller Agreements have heretofore been made available to Buyer by Seller.

The contractor shall indemnify and save harmless the agency and all its officers, representatives, agents, and employees against any claim or liability arising from or based upon the violation of any such law, ordinance, regulation, order or decree by an employee, representative, or subcontractor of the contractor.
