Payment of Other Expenses. Owner shall pay (i) the ongoing fees and expenses of Mortgagee, and (ii) all reasonable out-of-pocket costs and expenses (including the reasonable fees and disbursements of counsel) incurred by Mortgagee or any Note Holder attributable to any waiver, amendment or modification of any Operative Agreement to the extent requested by Owner.
Payment of Other Expenses. In the event that the transaction contemplated by this Participation Agreement fails to close as a result of the Owner Participant's failure to negotiate in good faith or to comply with the terms and conditions upon which its participation in the transaction was predicated, the Owner Participant will be responsible for all of its fees and expenses, including but not limited to the fees, expenses and disbursements of its special counsel.
Payment of Other Expenses. Lessee shall pay (i) the ongoing fees and expenses of Owner Trustee and Mortgagee, and (ii) all reasonable out-of-pocket costs and expenses (including the reasonable fees and disbursements of counsel) incurred by any Participant attributable to (A) any transfer of title to the Aircraft or any Engine contemplated by Section 4.5 of the Lease or (B) any waiver, amendment or modification of any Operative Agreement to the extent requested by Lessee.
Payment of Other Expenses. The Borrower undertakes to pay forthwith on demand to the Lender all costs and expenses (including legal costs between legal counsel and clients) on a full indemnity basis incurred and or to be incurred by the Lender for investigation of title to any Property offered as security and for the preparation, execution, preservation, performance, enforcement and realization of the outstanding Loan amount, security documents and other instruments creating and/or evidencing the creation of any security for the Loan as also any other instruments required in connection with the Loan.
Payment of Other Expenses. Owner shall pay (i) the ongoing fees and expenses of Indenture Trustee and Securities Intermediary, and (ii) all reasonable out-of-pocket costs and expenses (including the reasonable fees and disbursements of counsel) incurred by Indenture Trustee, Securities Intermediary or any Note Holder attributable to any waiver, amendment or modification of any Operative Agreement to the extent requested by Owner.
Payment of Other Expenses. Lessee will be responsible for the fees and charges of its counsel incurred in connection with the preparation, execution and delivery of the Operating Agreements. All out-of-pocket costs and expenses of Lessee (including, without limitation, reasonable attorney's fees and charges) incurred in performance of Sections 7.1.3(a), (b) and (c) (other than with respect to the first parenthetical of Section 7.1.3(c)) to the extent constituting Transaction Expenses, shall be paid pursuant to Section 9.2.1 and, otherwise, shall be paid by Airframe Manufacturer. Existing Lessor and Airframe Manufacturer shall each pay all costs and expenses incurred by it in connection with the Operative Agreements.
Payment of Other Expenses. In the event that the leasing transaction contemplated by this Participation Agreement fails to close as a result of the Owner Participant's failure to negotiate in good faith or to satisfy on or prior to February 13, 1998 any of the conditions to closing specified in Section 5 which are required to be satisfied by the Owner Participant on or prior to the Delivery Date, the Owner Participant will be responsible for all of its fees and expenses, including but not limited to the fees, expenses and disbursements of its special counsel. In the event that the leasing transaction contemplated by this Participation Agreement fails to close for any other reason Lessee will be responsible for such fees and expenses.
Payment of Other Expenses. A. The Borrower undertakes to pay forthwith on demand to the Lender and in no case later than 30 (Thirty) calendar days from the date on which demand being made all costs and expenses (including legal and technical appraisal costs and loan processing charges as may be applicable, including and not limited to the Taxes on all such costs and expenses) on a full indemnity basis incurred and or to be incurred by the Lender for investigation of title to any Property offered as Security and for the preparation, execution, preservation, performance, enforcement and realization of the Borrower's Dues, Security Documents and other instruments creating and/or evidencing the creation of any Security for the Loan as also any other instruments required in connection with the Loan.
Payment of Other Expenses. Party B shall implement meter-reading and billing for electricity consumption in the leased premises; water consumption shall be paid to the property management company according to the property management service agreement signed between the property management company and Party B by area apportionment; communication expenses shall be paid by Party B to the relevant departments, and Party B shall negotiate with the property management company on behalf of Party B for the payment of the expenses. Party B shall pay to the property management company the property management fees, water charges, electricity charges and other related fees according to the property management contract signed with the property management company.
Payment of Other Expenses. The Borrower undertakes to pay forthwith on demand to ICF all costs, charges and expenses (including legal costs between legal counsel and clients) on a full indemnity basis, incurred and/or to be incurred by ICF for investigation of title to and valuation of the Property or any other asset over which Security Interest is created or proposed to be created in favour of ICF and/or for preparation, negotiation, execution, preservation, performance and/or enforcement of the Finance Documents, perfection of Security Interest and realisation of the Outstanding Amounts.
