Payment of Property Taxes. (a) Except as otherwise provided in Section 9.1(b), so long as the Premises, Assets and Improvements are taxed as a separate parcel from the Refinery, Lessee will pay and discharge, as and when the same shall become due and payable without penalty, the Property Taxes with respect to any period during the Term in which they shall be or become due and payable and which:
(i) shall be levied, assessed or imposed on or against the Premises, Assets or Improvements or any interest of Lessor or Lessee in the Premises, Assets or Improvements; or
(ii) shall be or become liens on or against the Premises, Assets or Improvements or any interest of Lessor or Lessee in the Premises, Assets or Improvements;
(b) Nothing in this Lease shall require Lessee to pay any estate, inheritance, succession or transfer tax of Lessor or any income, excess profits or revenue tax on the rent payable by Lessee under this Lease; provided, however, that if at any time during the Term the methods of taxation prevailing at the Effective Date shall be altered so that in lieu of, as a supplement to, or a substitute for the whole or part of any Property Tax which Lessee has agreed to pay pursuant to this Section 9.1, there shall be levied, assessed or imposed (i) a tax, assessment, levy imposition or charge, wholly or partially as a capital levy or otherwise, on the rents received under this Lease or (ii) a license fee measured by the rent payable by Lessee under this Lease, then Lessee shall pay the same.
(c) Upon written request from Lessor, Lessee shall promptly furnish Lessor with satisfactory evidence that such Property Taxes have been paid. If any Property Taxes paid by Lessee shall cover any period of time prior to or after the expiration of the Term hereof, Lessee’s share of such Property Taxes shall be equitably pro-rated to cover only the period of time within the tax fiscal year during which this Lease shall be in effect, and Lessor shall reimburse Lessee to the extent required. If Lessee shall fail to pay any such Property Taxes by their due date, Lessor shall have the right to pay the same, in which case Lessee shall repay such amount to Lessor on demand, together with any interest charge actually incurred by Lessor as to such Property Taxes.
Payment of Property Taxes. The Tenant shall pay to the Landlord as Additional Rent the Property Taxes.
Payment of Property Taxes a. Tenant shall promptly pay when due all real property taxes and special assessments lawfully levied against the premises.
b. Tenant shall respectively pay promptly all personal property taxes lawfully levied against personal property of any kind owned by Tenant and located on the premises.
Payment of Property Taxes. Tenant shall pay, as Additional Rent, ------------------------- Tenant's Percentage Share of all Property Taxes payable by Landlord and levied or assessed with respect to the Building and parking area attributable to the Building, which accrue and become due during the Lease Term; provided, however, that if the Premises do not constitute a separate parcel for purposes of assessing Property Taxes, Tenant shall only pay that portion of the Property Taxes for the tax parcel of which the Building is a part that is reasonably and equitably allocable to the Building and attributable parking. Tenant shall pay such Property Taxes to Landlord not later than (i) twenty (20) days after receipt of billing; or (ii) ten (10) days prior to the delinquency date of such Property Taxes, whichever is later. If Tenant fails to do so, Tenant shall reimburse Landlord, on demand, for all interest, late fees and penalties that the taxing authority charges the Landlord as a result of such late payment by Tenant. In the event the Lender holding a first deed of trust encumbering the Premises requires an impound for Property Taxes, then Tenant shall pay on the first day of each calendar month one twelfth (1/12) of its annual share of such Property Taxes, so long as Tenant receives all interest earned thereon received by Landlord until paid to the taxing authority. Tenant's liability hereunder shall be prorated to reflect the commencement and termination dates of the Lease Term, and any overpayment of taxes by Tenant shall be credited against sums otherwise due hereunder or shall be paid by Landlord to Tenant in cash if attributable to any period after the termination date of this Lease; provided, however, that if there exists an uncured Event of Tenant's Default at any time that Landlord is obligated to reimburse overpayments to Tenant pursuant to this sentence, Landlord may apply the amount so held by it to cure such uncured default. Upon written request, Landlord shall supply to Tenant all tax bills and other correspondence from any governmental agency relating to any Property Tax that Tenant is obligated to pay, and Tenant shall have the right to inspect and copy Landlord's books and records at Tenant's expense upon reasonable notice to the extent such books and records relate to a determination of the amount of Property Taxes due or being contested by Landlord or Tenant.
Payment of Property Taxes. Provided Landlord delivers the Property Tax xxxx to Tenant (if delivered to Landlord) promptly upon receipt thereof, but no later than twenty (20) days prior to the day on which any fine, penalty, interest or cost may be added thereto for the non- payment thereof, Tenant covenants and agrees to pay during the Term of this Lease, as Additional Rent, before any fine, penalty, interest or cost may be added thereto for the nonpayment thereof, all Property Taxes (as defined in Section 3.2 below), which become due and payable during the Term of this Lease. Within ten (10) days of written request from Landlord, Tenant shall furnish Landlord with satisfactory evidence that the Property Taxes have been paid. If any Property Taxes shall cover any period of time prior to or after the term of this Lease, Tenant's share of such Property Taxes shall be equitably prorated to cover only the period of time within the tax fiscal year during which this Lease shall be in effect.
Payment of Property Taxes a. The Lessor and Tenant acknowledge that the Leased Premises is owned by the Lessor and Xxxxxx is responsible for property taxes.
Payment of Property Taxes. Lessor shall promptly pay, when due, all real property taxes, personal property taxes on items owned by Lessor and special assessments lawfully levied against the premises. Lessee shall promptly pay all personal property taxes lawfully levied against personal property of any kind owned by Lessee upon or about the premises and any special assessments levied against obligations assumed by Lessee in this Lease. Furthermore, Lessee further agrees to pay, on demand from Lessor, real estate taxes of $2,000.00 per year, for five years, and agrees to pay the appropriate increase with each Option Period, as delineated on Page 4, Item #4, RENT, Paragraph B.
Payment of Property Taxes. TRG Project Tax Allocation Increment and resulting Annual City TAD Payments due to TRG are calculated on the basis of applicable property taxes levied and collected on all real property located within the boundaries of the Crow Property Multi-Family Project Site and the Old Town Phase 1 Project Site, together, and whether owned by TRG or other parties. TRG agrees to promptly pay all annual property taxes owed by TRG, and upon the City’s request, to provide copies of property tax bills received and receipts for tax payments made, no later than seven (7) days prior to the scheduled Payment Date upon which the City’s Annual TAD Payment is due. Should TRG fail to pay property taxes owed during the applicable tax year or fail to provide applicable payment records requested by the City, the City may delay the Payment Date until such time as this information is provided. Upon receipt of copies of the property tax bills and paid receipts, the City shall promptly process the Annual TAD Payment generated from applicable property tax payments received in accordance with this Agreement. This provision shall only apply to annual property taxes owed by TRG, its successors or assigns. The terms of this Agreement shall not obligate the City to take any action beyond usual and customary enforcement measures to collect unpaid taxes owed by other parties.
Payment of Property Taxes a. The Lessor and City acknowledge that the leased premises is owned by the Lessor and Lessor is responsible for property taxes.
Payment of Property Taxes. During the Term of this Agreement, the Foundation shall pay when due any real estate taxes and assessments applicable to any portion of the Museum. Notwithstanding the foregoing, nothing contained in this Agreement shall prohibit the Foundation from contesting the assessed value of the property, improvements or the taxes thereon in good faith by appropriate proceedings; provided however that the Foundation shall pay any and all amounts that are contested under protest while any such proceedings are pending. The Foundation shall promptly notify the City in writing of a protest of real estate taxes or valuation of the Museum.
