Plan Participation. Employee shall be entitled to participate in or to receive benefits under all of Company's employee benefit plans made available by Company or in the future to similarly situated employees, subject to the terms, conditions and overall administration of such plans, including but not limited to 401(k) plans, IRA plans, E.R.I.
Plan Participation. The Employee shall be entitled to participate in any and all stock option, stock bonus, pension, profit sharing, retirement or other similar plans adopted by the Company.
Plan Participation. Except as otherwise expressly provided in this Agreement, effective as of immediately prior to the applicable Benefits Commencement Date, (a) (i) all Lithium Participants shall cease any participation in, and benefit accrual under, Parent Plans and (ii) all members of the Lithium Group shall cease to be participating employers under the Parent Plans and, (b) to the extent applicable, (i) all Parent Participants shall cease any participation in, and benefit accrual under, Lithium Plans and (ii) all members of the Parent Group shall cease to be participating employers under the Lithium Plans. Prior to the Separation Date, Parent and the Company shall take all actions necessary to effectuate the actions contemplated by this Section 4.01 and to cause (A) the applicable Lithium Group member to assume or retain all Liabilities with respect to each Lithium Plan and the applicable Parent Group member to assume or retain all Liabilities with respect to each Parent Plan, in each case, effective as of the Separation Effective Time and (B) all Assets of any Lithium Plan to be transferred to or retained by the applicable Lithium Group member in the applicable jurisdiction and all Assets of any Parent Plan to be transferred to or retained by the applicable Parent Group member in the applicable jurisdiction, in each case, effective as of the Separation Effective Time.
Plan Participation. The Company shall facilitate the participation by the Executive and his family in any group medical, health, vision, dental, hospitalization, and accident insurance, retirement, pension, disability, or similar welfare or pension plan or program of the Company now existing or hereafter established in accordance with the terms and conditions of such plans or programs. The Executive acknowledges that the current insurance plans are offered through the Company and are subject to reasonable changes at the business discretion of the Company.
Plan Participation. Where both a husband and wife are University faculty, a family health insurance plan will be granted to only one spouse. If a family health insurance plan is granted to one spouse, the other spouse will not be entitled to separate coverage.
Plan Participation. The Company shall facilitate Executive's and his family's participation in any group medical, health, vision, dental, hospitalization, and accident insurance, retirement, pension, disability, or similar welfare or pension plan or program of the Company now existing or hereafter established. Executive acknowledges that the current insurance plans are offered through Eclat and are subject to reasonable changes at the business discretion of the Company and/or Eclat.
Plan Participation. The Employee shall be entitled to participate tin any and all stock option, stock bonus, pension, profit sharing, retirement or other similar plans adopted by the Company or its parent company.
Plan Participation. (a) Except as otherwise expressly provided for in this Agreement or as otherwise expressly agreed to in writing between the Parties, (i) effective as of the Distribution Date, each of Post and each other member of the Post Group shall cease to be a Participating Employer in the Ralcorp Benefit Plans, and (ii) each (A) Post Employee and former Post Employee as of the Distribution Date, and (B) Delayed Transfer Employee who transfers from the Ralcorp Group to the Post Group, effective as of such Delayed Transfer Employee’s Transfer Date, shall cease to participate in, be covered by, accrue benefits under, be eligible to contribute to or have any other rights under any Ralcorp Benefit Plan, and Ralcorp and Post shall take all necessary action to effectuate each such cessation.
(b) Except as otherwise expressly provided for in this Agreement or as otherwise expressly agreed to in writing between the Parties, (i) neither Ralcorp nor any other member of the Ralcorp Group shall be a Participating Employer in Post Benefit Plans, and (ii) (A) no Ralcorp Employee as of the Distribution Date, and (B) no Delayed Transfer Employee who transfers from Post Group to Ralcorp Group, effective as of such Delayed Transfer Employee’s Transfer Date, shall participate in, be covered by, accrue benefits under, be eligible to contribute to or have any other rights under any Post Benefit Plan, and Post and Ralcorp shall take all necessary action to effectuate the foregoing.
Plan Participation. Where both a husband and wife are University employees, a family contract will be granted to only one spouse. An employee returning from layoff, (recall) and/or military service shall be reinstated effective the first of the month following the employee's return. An employee must apply by the 15th of the month if the employee wishes to:
a. Drop or add members
b. Change from single to family and vice-versa All such changes will occur effective the first month following the change request. If an employee is on an authorized non-medical leave without pay, the employee may continue health insurance coverage at the employee's own expense for a period of one year. The employee must request continuation of health insurance benefits through the Benefits office upon granting such leaves. Failure to pay or discontinued payment of premiums will result in termination of coverage. Employees whose coverage is terminated and who pay any premium coverage may renew membership on the first of the month following return to work and completion of a new enrollment form. The Employer will continue health care coverage for employees who are on medical/disability leave without pay for one year, provided the probation period is completed and he/she is enrolled in the health group plan at the start of such leave.
Plan Participation. As soon as administratively practicable after the Effective Time, MCSC shall take all reasonable action so that employees of the Surviving Corporation shall be entitled to participate in the MCSC employee benefit plans of general applicability, and until such time the employee plans of TBS shall remain in effect. For purposes of determining eligibility to participate in and the vesting of benefits (but not for purposes of benefit accrual) under the MCSC employee plans, MCSC shall recognize years of service with TBS prior to the Effective Time.
