Powers, Roles and Functions. The Administrative Board shall adopt, and when necessary amend, the definitional, operational, and procedural parameters and functions of Cowlitz 911. The functions of the Administrative Board shall be as follows: Establish and adopt administrative policies for Cowlitz 911; Establish and adopt personnel policies for Cowlitz 911; Establish and adopt policies for expenditures of budget items for Cowlitz 911; Establish a fund, special fund or funds as authorized by RCW 39.34.030 for the operation of Cowlitz 911; Review and approve budget expenditures for Cowlitz 911; Conduct regular and special Administrative Board meetings consistent with the state Open Public Meetings Act (Ch. 42.30 RCW); Maintain and manage records in accordance with the state Public Records Act (Ch. 42.56 RCW) and other applicable laws and regulations; Determine what services shall be offered and under what terms they shall be offered; Hire, supervise, evaluate and terminate the Executive Director; Review the activities of the Technical Advisory Committees (TACs); Create committees to review and make recommendations; Make and alter bylaws for the administration and regulation of its affairs; Approve strategic plans; Approve the addition of new Parties, contract agencies or subscriber customers and the terms of their participating in Cowlitz 911 and receipt of Cowlitz 911 services; Recommend action to the legislative bodies of the Parties to this Agreement; Enter into agreements with third parties for goods and services necessary to fully implement the purposes of this Agreement; Establish user fees, assessments and/or other charges for services provided to the Parties, contract agencies or subscriber customers; Make purchases or contract for services necessary to fully implement the purposes of this agreement; Enter into agreements with, and receive and distribute funds, from any federal, state or local agencies; Receive all funds allocated to Cowlitz 911 by the Parties, contract agencies or subscriber customers; Purchase, take, receive, lease, take by gift, or otherwise acquire, own, hold, improve, use and otherwise deal in and with real or personal property, or any interest therein, in the name of Cowlitz 911; Sell, convey, lease, exchange, transfer, and otherwise dispose of all of its property and assets; Xxx and be sued, complain and defend, in all courts of competent jurisdiction in Cowlitz 911’s name; Hold radio frequency licenses to enable Cowlitz 911 to operate radio communication...

  • Duties and functions 23.2.1 The Independent Engineer shall discharge its duties and functions substantially in accordance with the terms of reference set forth in Schedule 16. 23.2.2 The Independent Engineer shall submit regular periodic reports (at least once every month) to the Authority in respect of its duties and functions set forth in Schedule 16.

  • Operations Support Systems Functions 9.1 Effective as of February 8, 2021, notwithstanding any other term or condition of the Amended Agreement or a Verizon tariff or SGAT, and subject to the transitional provisions set forth in Subsection 9.2 below, unbundled access to Operations Support Systems Functions will not be available from Verizon on or after February 8, 2021, except when such functions are used to manage other UNEs that remain available from Verizon, local interconnection, or local number portability. 9.2 Any unbundled access to Operations Support System Functions eliminated pursuant to Section 9.1 above will continue to be provisioned for the period in which unbundled access is available to the UNE managed through the use of such functions, but not after such period.

  • MANAGEMENT FUNCTIONS B.1 The Association recognizes that the management of the Hospital and the direction of working forces are fixed exclusively in the Hospital and shall remain solely with the Hospital except as specifically limited by the provisions of this Agreement and, without restricting the generality of the foregoing, the Association acknowledges that it is the exclusive function of the Hospital to: (a) maintain order, discipline and efficiency; (b) hire, assign, retire, discharge, direct, promote, demote, classify, transfer, lay- off, recall, and suspend or otherwise discipline nurses, provided that a claim of discharge or discipline without just cause may be the subject of a grievance and dealt with as hereinafter provided; (c) determine, in the interest of efficient operation and high standards of service, job rating and classification, the hours of work, work assignments, methods of doing the work, and the working establishment for the service; (d) generally to manage the operation that the Hospital is engaged in and, without restricting the generality of the foregoing, to determine the number of personnel required, methods, procedures, and equipment in connection therewith; (e) make, enforce, and alter from time to time reasonable rules and regulations to be observed by the nurses which are not inconsistent with the provisions of this Agreement. B.2 These rights shall not be exercised in a manner inconsistent with the provisions of this Agreement.

  • CUSTOMER SERVICE FUNCTIONS The Servicer shall handle all Customer inquiries and other Customer service matters according to the same procedures it uses to service Customers with respect to its own charges.

  • Responsibilities of the Contractor The Contractor shall provide all technical and professional expertise, knowledge, management, and other resources required for accomplishing all aspects of the tasks and associated activities identified in the Scope of Work. In the event that the need arises for the Contractor to perform services beyond those stated in the Scope of Work, the Contractor and the City shall negotiate mutually agreeable terms and compensation for completing the additional services.

  • Responsibilities of Contractor A. The Contractor shall perform all work on the described project as required by the Contract documents. The work to be performed includes the labor and services necessary to produce such replacement, and all materials, supplies, tools, transportation, equipment, and machinery required for replacement. B. This project bid includes all materials, labor and equipment to complete the reconstruction and resurfacing of streets as outlined in the Project Manual for WWREYN - XXXXXXXX SANITARY SEWER - PHASE 1 dated March 25th, 2021 as outlined in Attachment A.

  • Responsibilities of Both Parties 6.1 The CLEC providing the circuit between CLEC’s office and SBC-12STATE’s office shall make such circuits available for use in connection with the DA services covered herein. When the total traffic exceeds the capability of the existing circuits, additional circuits will be provided by the CLEC. 6.2 Where applicable, if additional ADAX cards and ASN Routers (with sync and token ring cards) are necessary, they will be provided by SBC-12STATE, and CLEC will reimburse SBC-12STATE for the cost, plus Engineering, Furnish and Installation.

  • Contractor’s Responsibilities Unless stated specifically to the contrary in the tender with full supporting explanations, the contractor will be deemed to have concurred as a practical manufacturer with the design and layout of the works as being sufficient to ensure reliability and safety in operation, freedom from undue stresses and satisfactory performance in all other essentials as a working material.

  • Supervision of Contractor Personnel The Contractor must supply all necessary and sufficient supervision over the work that is being performed and will be held solely responsible for the conduct and performance of his employees or agents involved in work under the Agreement.

  • Additional Functions Upon receipt of Proper Instructions, the Custodian shall take all such other actions as specified in such Proper Instructions and as shall be reasonable or necessary with respect to Repurchase Agreement transactions and the Securities and funds transferred and received pursuant to such transactions, including, without limitation, all such actions as shall be prescribed in the event of a default under a Repurchase Agreement.
