5.1 The Contractor must comply with the Privacy Protection Schedule attached as Schedule E. Security
5.2 The Contractor must:
(a) make reasonable security arrangements to protect the Material from unauthorized access, collection, use, disclosure, alteration or disposal; and
(b) comply with the Security Schedule attached as Schedule G.

The Vendor agrees that it will not disclose to anyone, directly or indirectly, any such personally identifiable information or other confidential information gained from the Agency, unless the individual who is the subject of the information consents to the disclosure in writing or the disclosure is made pursuant to the Agency’s policies, procedures, and rules. Vendor further agrees to comply with the Confidentiality Policies and Information Security Accountability Requirements, set forth in xxx.xxxxx.xx.xx/xxxxx/xxxxxxxx/xxxxxxx.
PRIVACY, SECURITY AND CONFIDENTIALITY. 7.01 You must comply with the Privacy Protection Schedule if attached to this Agreement.
7.02 You must make reasonable security arrangements to protect the Material from unauthorized access, collection, use, disclosure, alteration, or disposal and comply with the Security Schedule, if attached.
7.03 You must treat as confidential all information in the Material and all other information accessed or obtained by you or a Subcontractor (whether verbally, electronically or otherwise) as a result of this Agreement, and not permit its disclosure or use without our prior written consent except:
(a) as required to perform your obligations under this Agreement or to comply with applicable laws;
(b) if it is information that is generally known to the public other than as a result of a breach of this Agreement; or
(c) if it is information in any Incorporated Material.
7.04 Any public announcement relating to this Agreement will be arranged by us and, if such consultation is reasonably practicable, after consultation with you.
7.05 You must not, without our prior written approval, refer for promotional purposes to the Province being your customer or the Province having entered into this Agreement.

5.2 As contemplated by sections 4 and 5 of the Privacy Protection Schedule, it is specified that in performing the Services:
(a) the Contractor may collect personal information from a person other than the individual the information is about; and
(b) the Contractor is not required to tell an individual from whom the Contractor collects personal information about any of the matters described in section 27(2)(a) to (c) of the Freedom of Information and Protection of Privacy Act. In this section, “personal information” has the same meaning as in the Privacy Protection Schedule. Security

(a) as required to perform the Contractor’s obligations under this Agreement or to comply with applicable laws;
(b) if it is information that is generally known to the public other than as result of a breach of this Agreement; or

5.5 The Contractor must not, without the prior written approval of the Province, refer for promotional purposes to the Province being a customer of the Contractor or the Province having entered into this Agreement.

Downstream Entity shall comply with all Applicable Laws regarding health care privacy and security, including without limitation the confidentiality and security provisions stated in the HIPAA regulations and the regulations at 42 CFR 422.118, for any Medicare Subscriber medical records or other health and enrollment information Downstream Entity maintains or has access to with respect to Medicare Subscribers. Downstream Entity shall comply with the confidentiality and enrollee record accuracy requirements of the MA Program, including (1) abiding by all Federal and State laws regarding confidentiality and disclosure of medical records, or other health and enrollment in formation, (2) ensuring that medical information is released only in accordance with applicable Federal and State law, or pursuant to court orders or subpoenas, (3) maintaining the records and information in an accurate and timely manner, and (4) ensuring timely access by enrollees to the records and information that pertain to them.

5.1 The Contractor must comply with the Privacy Protection Schedule attached as Schedule 2, and in addition, ensure that the following statement is included in any intake form used by the Contractor to collect personal information from a Recipient and is conveyed to the Recipient:

10.2 The Contractor must make reasonable security arrangements to protect any information or material received by the Province from unauthorized access, collection, use, disclosure, alteration, or disposal and comply with the terms of any Security Schedule that the Province may ask the Contractor to enter into from time to time.
10.3 The Contractor must treat as confidential all information received by the Province and all other information accessed or obtained (whether verbally, electronically or otherwise), and not permit its disclosure or use without the Province’s prior written consent except:
(a) As required to perform the obligations under this Framework Agreement or to comply with applicable laws; or
(b) If it is information that is generally known to the public other than as a result of a breach of this Framework Agreement or any similar obligation that a third party may owe to the Province.
10.4 Any public announcement relating to this Framework Agreement will be arranged by the Province and the Province has no obligation to consult with or seek approval from the Contractor in advance of such public announcement.
10.5 The Contractor must not, without the Province’s prior written approval, refer for promotional purposes to the Province as customer or the Province having entered into this Framework Agreement.
PRIVACY, SECURITY AND CONFIDENTIALITY. A. PRACTICE shall obtain, analyze, store, transmit and report Protected Health Information, as defined under Laws, in accordance with all Laws. As applicable, PRACTICE shall abide by all Laws and HMO procedures regarding privacy, confidentiality, and accuracy of Members’ medical and prescription records and other health and enrollment information.
