PRODUCT AND SOFTWARE WARRANTY. Each Charging Station is warranted by NOODOE against manufacturing defects in materials or workmanship for the limited warranty period of: Two (2) years, parts only. This limited warranty is valid only on Charging Stations that have been installed, operated, and maintained according to the instructions furnished with the product. Replacement parts are warranted for the remaining portion of the original warranty or ninety (90) days, whichever is longer. All replaced parts are the property of NOODOE and must be returned to NOODOE. This limited warranty covers manufacturing defects in materials or workmanship encountered in normal use of this product and shall not cover the following:  Damage that occurs in uses for which this product was not intended.  Damage caused by unauthorized modification or alteration of the product.  Product where the original station ID has been removed, defaced, changed in any way, cosmetic damage including dents, chips, and other damage to the product's finishes.  Damage caused by abuse, misuse, accident, fire, floods, or other acts of nature or God.  Damage caused by the use of equipment, utilities, services, parts, supplies, accessories, applications, installations, repairs, external wiring or connectors not supplied or authorized by NOODOE.  Damage caused by incorrect electrical line current, voltage, fluctuations and surges.  Damage caused by failure to operate and maintain the product according to instructions. The cost of parts replacement under the above excluded circumstances shall be the customer's responsibility. The Cloud EV OS and APPs are warranted by NOODOE to be upgraded as required in order to keep up with iOS and Android upgrades and updates. NOODOE also warrantees that the uptime of EV OS and APPs is maintained at or above the industry standard to ensure uninterrupted functionality of the NOODOE network. NOODOE may make the Cloud EV OS inaccessible for periods of scheduled maintenance. NOODOE warrants that the Cloud EV OS Platform shall not experience regular limited outages or inaccessibility and shall not experience occasional longer outages or periods of inaccessibility. Similarly, NOODOE warrants that the white label mobile applications shall be generally available for download and shall not be unavailable or otherwise inaccessible for any regular limited periods and shall not be unavailable or otherwise inaccessible for occasional longer outages other than for updates or transitions to new versions. PRODUCT AND SOFTWARE WARRANTY. Wesco is a reseller of Products and Software and shall transfer and assign to Customer any and all transferable warranties made to Wesco by the manufacturer of the Products and Software. See attached Exhibit A, incorporated by reference, for additional information, if any, on warranties provided by the applicable manufacturer(s) of the Products and Software. Unless otherwise specified in a writing signed by Wesco, Wesco provides no independent warranty for any Products and Software. Customer’s sole and exclusive remedy for any alleged non-conforming part, defect, failure, inadequacy, or breach of any warranty related to Products and Software (collectively, “Defects”) shall be limited to those warranties and remedies provided by the manufacturers or licensor thereof, if any. Wesco is not responsible for obtaining or paying for access to the Products, uninstalling installed Products, delivering replacement Products to the installation site, or installing replacement Products. Wesco’s obligations under this section 11.1 will be void unless Customer provides Wesco with notice of the Defect within thirty (30) calendar days of the date Customer discovered or should have discovered the Defect. Customer shall contact Wesco prior to contacting the manufacturer or licensor. In the event Customer provides notice of a Defect to the manufacturer or licensor, Customer shall immediately notify and engage Wesco on any and all discussions and actions to be taken with such manufacturer. Wesco DOES NOT WARRANT that the Services and Software will be free from errors or defects, free from cyber threats or events, impenetrable, or compatible with other software or system that may be sold by Wesco, or will meet Customer’s needs or operate without interruption. Wesco DOES NOT WARRANT that the Services and Software will provide fail-safe performance when used in hazardous environments, including any application in which the failure of the Services and Software could lead directly to death, personal injury, or severe physical or property damage. If Wesco supplies any Products and Software which include open source software, Wesco is not liable for defects in title or quality of the information, software, or documentation, or for ensuring that it is correct, accurate, free of third-party property rights and copyrights, complete and/or usable.   • Software Warranty We warrant that the Tyler Software will perform without Defects during the term of this Agreement. If the Tyler Software does not perform as warranted, we will use all reasonable efforts, consistent with industry standards, to cure the Defect in accordance with the maintenance and support process set forth in Section C(9), below, the SLA and our then current Support Call Process.

  • Limited Software Warranty MyECheck represents, warrants, and covenants that: MyECheck warrants to the original end user (“Customer”), and not to subsequent end users, of the Extreme Networks software product (“Software”) that for ninety (90) days from the date of installation of the Software from MyECheck, the Software shall substantially conform with the specification for the Software at the (“Documentation”). MyECheck does not warrant (i) that the Software is error free, (ii) that Customer will be able to operate the Software without problems or interruptions or (iii) that the Software will be free of vulnerability to intrusion or attack. Except for the limited warranty set forth in this section, the Software is provided “AS IS.”

  • Software Warranties In addition to, and without limiting the warranties set forth in Section 5 (Warranties) herein, Seller represents and warrants that: (a) all Software shall conform in all respects to all applicable documentation; and

  • Hardware Warranty A. RISK OF LOSS If you purchase any of the hardware Products directly from us, risk of loss or damage to hardware, will pass to you and acceptance will occur upon delivery to your “ship to” address or, if special shipping arrangements are agreed to, upon delivery to your carrier or designee. Title to hardware Products will pass from HPE to you upon full payment for or delivery of the Products, whichever is later. You agree to properly insure the Products for the benefit of HPE between the time risk of loss and damage pass and the time title passes.

  • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.

  • Third Party Software 1. The Software may contain third party software that requires and/or additional terms and conditions. By accepting this XXXX, You are also accepting the additional terms and conditions, if any, set forth therein.

  • Product Warranty for Software Deliverables During the Project warranty period, defects in the materials or workmanship of the Software Deliverables specified and furnished by or through Contractor shall be repaired or replaced by Contractor at no cost or expense to the Authorized User. Contractor shall extend the Project warranty period by the cumulative period(s) of time, after notification, during which the Software Deliverables require servicing or replacement (down time) or is in the possession of the Contractor, its agents, officers, Subcontractors, distributors, resellers or employees . The Commissioner agrees that Contractor is not responsible for any modification of the Software Deliverables made by an Authorized User without Contractor’s approval.
