Project A. All of the conditions necessary for the Acquisition to be consummated shall have been satisfied and the Company and the parties to the Target SPA are proceeding to closing thereunder subject to the provision of the Debt Financing and the purchase of the Shares under this Agreement.

Project A. Santa Xxx Freeway (Interstate 5) Improvements between Costa Mesa Freeway (State Route 55) and “Orange Crush” Area (State Route 57) The objective of Project A is to increase freeway capacity and reduce congestion on the Santa Xxx Freeway (I-5). Project A would affect two segments: Segment 1, extending from SR-55 to SR-57, and Segment 2, located at the I-5/SR-55 interchange. These Improvements would add capacity on I-5 between SR-55 and SR-57 and relieve congestion at the I- 5/SR-57 interchange, an area known as the “Orange Crush.” Construction would take place within the existing right-of-way. Interchange improvements would occur between the Xxxxxx Xxxxxx xxx Xxxxxxx Xxxxxxxxx ramps on I-5, between Fourth Street and Xxxxxxx Avenue on SR 55 as it crosses SR-55 and SR-57. Project-specific improvements are subject to approved plans developed in coordination with local jurisdictions and affected communities.
Project A. E and its consultants shall assist Owner in checking Record Documents during the course of the Work in association with certifying Applications for Payments and shall review Record Drawings and Specifications for completeness and compliance with Construction Contract requirements at Substantial Completion and at Final Completion of the Project.
Project A. E shall participate in the development and review of the Construction Manager’s Guaranteed Maximum Price (“GMP”) Proposal. This GMP Proposal will include the qualifications, assumptions, exclusions, value engineering and all other requirements identified within Attachment 1 To Exhibit D (Guidelines for the Preparation of the GMP) of the CM Agreement.
Project A. E shall participate in a final review of the Schematic Design Documents with Owner and Construction Manager at the Project location or other location specified by Owner in the State of Texas. Prior to Owner’s approval of the Schematic Design Documents, Project A/E shall incorporate such changes as are necessary to satisfy Owner’s review comments, any of which may be appealed for good cause.
Project A. Bayer represents to Purchaser that the Project was planned and designed with the intention of meeting, to Bayer's knowledge, cGMP standards existing as of June 30, 1998 for the manufacture of tissue culture media components for use in the manufacture of pharmaceutical components and that all work relating to the Project as of the date hereof and as of the Closing Date has been performed in accordance with such intent and in accordance with such standards and procedures as Bayer customarily requires for its own activities.

  • Project 3.01. The Recipient declares its commitment to the objectives of the Project. To this end, the Recipient shall carry out the Project in accordance with the provisions of Article IV of the General Conditions.

  • Project Plan Development of Project Plan Upon the Authorized User’s request, the Contractor must develop a Project Plan. This Project Plan may include Implementation personnel, installation timeframes, escalation procedures and an acceptance plan as appropriate for the Services requested. Specific requirements of the plan will be defined in the RFQ. In response to the RFQ, the Contractor must agree to furnish all labor and supervision necessary to successfully perform Services procured from this Lot. Project Plan Document The Contractor will provide to the Authorized User, a Project Plan that may contain the following items: • Name of the Project Manager, Contact Phone Numbers and E-Mail Address; • Names of the Project Team Members, Contact Phone Numbers and E-Mail Address; • A list of Implementation milestones based on the Authorized User’s desired installation date; • A list of responsibilities of the Authorized User during system Implementation; • A list of designated Contractor Authorized Personnel; • Escalation procedures including management personnel contact numbers; • Full and complete documentation of all Implementation work; • Samples of knowledge transfer documentation; and • When applicable, a list of all materials and supplies required to complete the Implementation described in the RFQ. Materials and Supplies Required to Complete Implementation In the event that there are items required to complete an Implementation, the Contractor may request the items be added to its Contract if the items meet the scope of the Contract. Negotiation of Final Project Plan If the Authorized User chooses to require a full Project Plan, the State further reserves the right for Authorized Users to negotiate the final Project Plan with the apparent RFQ awardee. Such negotiation must not substantively change the scope of the RFQ plan, but can alter timeframes or other incidental factors of the final Project Plan. The Authorized User will provide the Contractor a minimum of five (5) business days’ notice of the final negotiation date. The Authorized User reserves the right to move to the next responsible and responsive bidder if Contractor negotiations are unsuccessful.

  • Project Completion Part 1 – Material Completion

  • Production Work The Company may use Outside Entities to perform production work outside the plant and its environs provided the Company demonstrates that it is utilizing plant equipment to the maximum extent consistent with equipment capability and customer requirements and the Company is making necessary capital investments to remain competitive in the steel business and is in compliance with Article Eleven, Section B (Investment Commitment).

  • Projects The Annexes attached hereto describe the specific projects and the policy reforms and other activities related thereto (each, a “Project”) that the Government will carry out, or cause to be carried out, in furtherance of this Compact to achieve the Objectives and the Compact Goal.

  • Project Scope The physical scope of the Project shall be limited to only those capital improvements as described in Appendix A of this Agreement. In the event that circumstances require a change in such physical scope, the change must be approved by the District Committee, recorded in the District Committee's official meeting minutes, and provided to the OPWC Director for the execution of an amendment to this Agreement.

  • The Project The Project is the total construction of which the Work performed under the Contract Documents may be the whole or a part.

  • Project Budget A Project Budget shall be prepared and maintained by Grantee. The Project Budget shall detail all costs for which the Grant will be used during each calendar month of the Term. The Project Budget must be approved in writing by the Project Monitor. Grantee shall carry out the Project and shall incur costs and make disbursements of funds provided hereunder by the Sponsor only in conformity with the Project Budget. The current approved Project Budget is contained in Attachment B. Said Project Budget may be revised from time to time, but no Project Budget or revision thereof shall be effective unless and until the same is approved in writing by Project Monitor. The funds granted under this Grant Contract cannot be used to supplant (replace) other existing funds.

  • Development Work The Support Standards do not include development work either (i) on software not licensed from CentralSquare or (ii) development work for enhancements or features that are outside the documented functionality of the Solutions, except such work as may be specifically purchased and outlined in Exhibit 1. CentralSquare retains all Intellectual Property Rights in development work performed and Customer may request consulting and development work from CentralSquare as a separate billable service.

  • Development of the Project 4.1 TSP's obligations in development of the Project: Subject to the terms and conditions of this Agreement, the TSP at its own cost and expense shall observe, comply with, perform, undertake and be responsible:
