Project Materials. FRISCO shall make available data related to the Project, including design specifications, drawings and other necessary information. Data so furnished to CONTRACTOR shall be furnished at no cost, and shall be returned to FRISCO at the earliest possible time.

Project Materials. 6.4.1 [insert name of counter-party] shall maintain a comprehensive inventory of the equipment, software and materials purchased for the Project (“Project Materials”) and ensure the Project Materials are kept in a good and serviceable condition, fair wear and tear excepted. 6.4.2 [insert name of counter-party] shall also bear the risk and cost of all repairs in relation to the Project Materials and ensure that the [insert name of counter-party] PIs and their Project team use the Project Materials with proper care during the Term. 6.4.3 [insert name of counter-party] shall not sell, dispose of, mortgage, pledge, encumber, hire-out, sub-let, part with possession of or otherwise deal in any way with the Project Materials or any part thereof, subject to Clause 6.4.
Project Materials. 9.1 The Consultant shall afford the Council access to the Services or the Project Materials or any part thereof including all preparatory matters and work in progress and to all documents, (including, in particular, documents, recordings, methodology and results, field observations and analysis of data produced in connection with the Services. 9.2 The Council as commissioner of the Services shall be deemed to be the copyright owner of and shall be entitled to all Project Materials produced as a result of or in connection with this Contract and title to the same shall vest in the Council. 9.3 The Council may use any aspect of the Services and/or the Project Materials and may publish any aspect of the Services and/or the Project Materials and/or exploit commercially the same. 9.4 The Consultant shall waive all moral rights it may have to the Project Materials and/or the Services and shall at its own expense do all such things and sign or execute all such documents or instruments and/or take all steps required to ensure that any copyright or other intellectual property rights (including the right to defend or enforce the same), in relation to the Services, shall vest exclusively in the Council. 9.5 Upon the request of the Council and in any event upon the termination of this Contract for whatever reason, the Consultant shall at its own expense promptly deliver to the Council all property original documentation and copies of all Project Materials then in the Consultants custody, control or possession. 9.6 The provisions of this Clause 9 [Project Materials] shall survive the expiration or termination of this Contract.
Project Materials. All cell lines, viral seed stock, compounds, materials, supplies or other substances necessary to perform the Project and deliver the finished Product. Those Project Materials that are specified in the Scope of Work as to be supplied by SPONSOR, or that SPONSOR requires MOLECULAR MEDICINE to obtain for the Project pursuant to Section 3.1.1, are referred to as “Sponsor Materials.”
Project Materials. Upon reasonable advance notice to PII, Customer shall be permitted to send certain of its employees to PII’s facilities to consult with PII’s employees and consultants engaged in the Project, to observe PII in the performance of its duties hereunder, and to inspect (and take copies of) any of the Project Materials, provided that such consultation, inspection and copying does not unreasonably interfere with PII’s operations or standard operating procedures. PII shall make PII’s employees and consultants and the Project Materials reasonably available to Customer for such purposes. PII shall provide Customer with summary data describing the interim results of each Project, and copies of all Project Materials generated in connection with the Project, from time to time upon Customer’s request, and at no extra charge to Customer, unless previously agreed to by Customer and included in the Service Contract.
Project Materials. Each Party grants to the other Party a non-exclusive, sublicensable (as provided for herein) right during the term of each Project Agreement to use the Project Materials associated with such Project Agreement solely for purposes of performing the Services relating to such Project, each Party acknowledges and agrees that the Project Materials of the other Party shall at all times remain the property of such other Party, or such Third Party entrusting such Project Materials to such other Party, as the case may be, and no rights are granted with respect to such Project Materials except as expressly provided herein.
Project Materials. Grantee will attribute credit to the Federal Transit Administration and Metro on all appropriate project materials, such as reports, booklets, brochures, and web pages. Attribution on materials must read “Made possible with support from Metro and the Federal Transit Administration.” If marketing is done with audio only, spoken attribution language must be “This project is made possible by a partnership with Metro, with support by the Federal Transit Administration.” Grantee will include the Metro logo on all print ads, banners, flyers, posters, signage, and videos. Grantee will include the Metro logo on all marketing and advertising materials, both print and online (size permitting). Grantees will seek Metro approval through the grant manager of any materials where the Metro logo is included to ensure proper logo design and placement. Metro logos and usage guidelines can be found in the RTO Grantee Guide. Grantee will mention support provided by Metro and the Federal Transit Administration in press releases. Grantee will contact RTO Program staff as soon as possible if a reporter or media outlet inquires about efforts related to this grant project in order to consider partnership highlights. Grantee will contact RTO Program staff as soon as possible for any events or ceremonies in order to discuss if a Metro official should attend an event. Grantee will communicate, monitor and track progress, demonstrate impact, document lessons learned, and be accountable and transparent to Metro, partners and the benefiting communities. Grantee will abide by the Evaluation Plan included in the Scope of Work (Exhibit A). If collecting automated data (for example, bike/ped counters), grantee will add the data to the PSU Bike- Ped Data Archive, linked on the RTO Program Basecamp. If the project includes conducting a survey, grantee will contact RTO Program staff for assistance and provide a draft to RTO Program staff The grantee must update RTO Program staff with details confirming that the groundwork is set for this grant project to deliver measured results. Grantee will thoroughly, consistently, and accurately complete and submit quarterly reports by the required due date via ZoomGrants. If reports will be late, grantee will contact RTO Program staff to discuss an extension. Grantee will submit a final grant report, consistent with the Scope of Work, summarizing the grant activity for the entire cycle, via ZoomGrants by the date set forth in the grant agreement. . Project Materials. Optionee acknowledges its obligations in connection with the Loan Agreement to deliver and/or otherwise assign to MOHCD it rights to any and all copies of studies, applications, reports, permits, plans, architectural drawings, test results, and similar work product regarding the physical condition of the Property, and any existing Construction Documents (“Project Materials”) should the Project not be completed. Optionee agrees that Port has the same rights as MOHCD to such documents and that Port may enforce its rights to the same extent and subject to the same conditions as MOHCD, but Port will request the Project Materials only if MOHCD does not request them. Neither Optionee nor any other party providing the Project materials to Port makes any representation or warranty, express or implied, as to the accuracy or completeness of any information contained in the Project Materials, and none of such parties shall have any responsibility or liability for the content and accuracy of such documents or disclosures. The provisions of this Section 10 will survive the expiration or earlier termination of this Agreement.
Project Materials. 9.1 It is agreed and understood that the Consultant shall prepare specifications that clearly establish the type and quality of materials and the type of construction of each item in the Project, without writing a closed specification, and shall prepare them in a manner which encourages competitive bidding, except where specifically authorized in writing by the University Project Manager. The Consultant shall, to the extent practicable incorporate in the specifications materials, goods, supplies and equipment which meet the requirements for recycled materials as adopted pursuant to KRS45A.520. 9.2 The Consultant represents and warrants that neither the Consultant nor any person or entity associated with the Consultant shall receive any money, commission or other thing of value by virtue of the University's purchase or acquisition of any item (furnishings, equipment, construction materials, etc.) for the Project or any portion thereof.
Project Materials. All compounds, materials, or other substances necessary to perform the PROJECT and deliver the finished PRODUCT described in Exhibit A including sufficient and comprehensive data as may be required by MOLECULAR MEDICINE concerning stability, storage and safety requirements.
