Places of employment. Except as herein modified, the provisions of the Xxxxxxxxx and Harbor Workers’ Compensa- tion Act, approved March 4, 1927 (44 Stat. 1424), as amended [33 U.S.C. 901 et seq.], shall apply in respect to the injury or death of any employee engaged in any employment— (1) at any military, air, or naval base ac- quired after January 1, 1940, by the United States from any foreign government; or (2) upon any lands occupied or used by the United States for military or naval purposes in any Territory or possession outside the con- tinental United States (including the United States Naval Operating Base, Guantanamo Bay, Cuba; and the Canal Zone); or (3) upon any public work in any Territory or possession outside the continental United States (including the United States Naval Op- erating Base, Guantanamo Bay, Cuba; and the Canal Zone), if such employee is engaged in employment at such place under the contract of a contractor (or any subcontractor or subor- dinate subcontractor with respect to the con- tract of such contractor) with the United States; but nothing in this paragraph shall be construed to apply to any employee of such a contractor or subcontractor who is engaged exclusively in furnishing materials or supplies under his contract; (4) under a contract entered into with the United States or any executive department, independent establishment, or agency thereof (including any corporate instrumentality of the United States), or any subcontract, or sub- ordinate contract with respect to such con- tract, where such contract is to be performed outside the continental United States and at places not within the areas described in sub- paragraphs (1)–(3) of this subdivision, for the purpose of engaging in public work, and every such contract shall contain provisions requir- ing that the contractor (and subcontractor or subordinate contractor with respect to such contract) (1) shall, before commencing per- formance of such contract, provide for secur- ing to or on behalf of employees engaged in such public work under such contract the pay- ment of compensation and other benefits under the provisions of this chapter, and (2) shall maintain in full force and effect during the term of such contract, subcontract, or sub- ordinate contract, or while employees are en- gaged in work performed thereunder, the said security for the payment of such compensa- tion and benefits, but nothing in this para- graph shall be construed to apply to any em- ployee of such contractor or ...

Places of employment. During the Term, Employee's principal places of employment shall be at the offices of the Company in the Los Angeles, CA area and in New York City, NY.
Places of employment. (A) Residents shall perform services as assigned at the Hospital, Xxxxxx Xxxxxxxxxx University Hospital, and Holy Cross Hospital. The Hospital may change the locations at which Residents shall perform services as it deems appropriate. Unless due to the termination of an existing relationship on less than sixty (60) days’ notice, the Hospital shall notify CIR’s staff representative and one elected representative by e-mail, provided CIR notifies the Hospital in writing of the names and contact information for both individuals, of any change to the places of assignment/employment at least sixty (60) days in advance of the change and will discuss with CIR’s staff representative and CIR’s designated representatives the effects of the change(s) on the employment and education of Residents. The Hospital will consider CIR’s input in formulating and implementing the change(s). (B) The Hospital will make reasonable efforts to see that applicable Accreditation Council for Graduate Medical Education (“ACGME”) requirements are followed at all locations where Residents are regularly assigned to work. (C) While the parties recognize that the Hospital does not control the work environment at other rotation sites, the parties also recognize the importance of Residents being prepared at the start of each rotation to perform patient care duties. To this end, the Hospital will use reasonable, good faith efforts to see that no Resident will be required to take call at a rotation site without undergoing an appropriate orientation to all areas and systems that are related to patient care prior to the shift. Orientation will be performed by a Chief Resident, a supervisor for the rotation or electronically. Further, should a Resident have a good faith belief that such orientation has not been provided, the Resident will notify the Training Program Director (“TPD”) in writing.

Notwithstanding the foregoing, the Period of Employment is subject to earlier termination as provided below in this Agreement.

(d) If Employee's employment is terminated by the Company prior to the Change in Control Date but on or after a Potential Change in Control Date, then the Company will provide to Employee the payments and benefits as provided in Sections 3 and 4 unless the Company reasonably demonstrates that Employee's termination of employment neither (i) was at the request of a third party who has taken steps reasonably calculated to effect a Change in Control nor (ii) arose in connection with or in anticipation of a Change in Control. Solely for purposes of determining the timing of payments and the provision of benefits in Sections 3 and 4 under the circumstances described in this Section 2(d), Employee's date of termination shall be deemed to be the Change in Control Date.

  • Offer of Employment To the extent a Designated Employee is not party to an employment agreement with a Transferor that is a Transferred Contract, the Transferor Parties shall cooperate with the Acquiring Parties and shall use commercially reasonable efforts to seek to obtain on behalf of the Acquiring Parties the acceptance of an offer of employment by any Designated Employees that the Acquiring Parties may hereafter elect to employ, and the Transferor Parties consent to the Acquiring Parties or any of their respective Affiliates communicating directly with such Designated Employees about offers of employment commencing ten (10) days prior to the Closing Date or such earlier date as the Transferors may agree to in their sole discretion. The Acquiring Parties shall make offers of employment to the Designated Employees on terms and conditions to be determined by the Acquiring Parties, provided that each offer of employment is on terms and conditions substantially similar to, and, considered on an overall basis, no less favorable than the Designated Employee’s terms and conditions of employment with the Transferor Parties. The Acquiring Parties shall recognize each Designated Employee’s service with the Transferring Parties for the purposes of calculating all statutory entitlements and the Acquiring Parties shall assume liability for each Designated Employee’s accrued entitlement to annual leave, long service leave and personal leave. The Transferor Parties agree to release each Designated Employee from his or her employment effective from the date on which the Designated Employee will commence employment with the Acquiring Parties. Each Principal has agreed by his execution of this Agreement to execute and deliver at Closing an employment agreement, substantially in the form attached hereto as Exhibit B (the “Employment Agreement”), to Parent or, if directed by Parent, one of Parent’s Affiliates. Except for obligations to the Transferors, to the Knowledge of the Transferors, the Principals are not obligated under or bound by any agreement or instrument, or any judgment, decree, or order of any court of administrative agency, that (a) conflicts or may conflict with their agreements and obligations to use their commercially reasonable efforts to promote the interests of the Acquiring Parties, (b) conflicts or may conflict with the business or operations of the Acquiring Parties, or (c) restricts or may restrict the use or disclosure of any information that may be useful to the Acquiring Parties. Without regard to whether the Acquiror employs the Principals or the Designated Employees, the Transferors shall be solely responsible for all outstanding payments due to the Principals and the Designated Employees under their existing terms of employment with the Transferors (including but not limited to salary, severance obligations or any other payment, except as otherwise provided for in this Section 5.4) through the Closing Date and the Transferor Parties acknowledge and agree that none of the Acquiring Parties shall assume or in any fashion be bound by any employment Contract between a Transferor and the Principals or a Designated Employee.
