PSA. This Assignment is made subject to the PSA. Nothing in this Assignment shall supersede, enlarge, diminish, waive or modify any term of the PSA or of the other documents contemplated therein. Should there be any conflict between the terms and provisions of this Assignment and the PSA, the terms and provisions of the PSA shall prevail.
PSA. Except as expressly set forth herein, all terms and conditions of the PSA remain in full force and effect.
PSA. In addition, after the Note A-1-1 Securitization Date, the Note A-1-1 Holder shall send a copy of the Note A-1-1 PSA to each of the parties to the Note A-1-2 PSA, Note A-1-3 PSA, Note A-2 PSA and the Note A-3 PSA.
PSA. The PSA shall be in full force and effect and shall not have been terminated in accordance with its terms, and there shall not exist any default thereunder by any party.
PSA. The PSA shall be in full force and effect and shall have not been terminated by any Party thereto, the representations and warranties of the Sellers in the PSA shall be true and correct in all material respects, all of the conditions to the closing of the transactions contemplated by the PSA (other than such conditions which may only be satisfied as of the PSA Closing) shall have been satisfied without waiver thereof by Toshiba and there shall have occurred no event or events reasonably likely to have a Material Adverse Effect on the Westinghouse Group.
PSA. Subject to other applicable terms set forth in this PSA, upon any termination or expiration of this PSA:
i. all SOWs and Professional Services rendered by AppDirect under this PSA shall immediately terminate;
ii. Company shall pay to AppDirect all outstanding Fees and other amounts incurred in relation to this PSA and any SOW within thirty (30) days of the termination or expiration date.

(“Customer’’) and First Data Resources, LLC (“FDR”). For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Customer and FDR agree as follows:
PSA. There is no breach by the Company, nor to Seller’s or Company’s knowledge, by Southwest, under the PSA, and no facts or circumstances exist which now or with the passage of time would give a party under the PSA the right to terminate the PSA or require the release of the Xxxxxxx Money (as defined in the PSA) to Southwest.
PSA. An employee may volunteer for an on-call assignment.
PSA. An employee in the Transit Supervisor classification will be provided METRO-issued rain gear and suitable rubber boots. An employee in the classification of Supervisor of Parts and Materials and Fleet Maintenance Supervisor shall be provided rain gear and suitable safety rubber boots. The employee is required to wear safety toe footwear at work that meets American National Standards Institute, Z41, I-75, C-75 and OSHA standards.
