Quantity of Supply a) Subject to the terms of this Agreement, the Council will use reasonable endeavours to ensure that Recycled Water is available for collection at the Access Points during Business Hours. b) The Customer acknowledges that the quantity of Recycled Water available to the Customer at the Access Point may be influenced by, and may at times be interrupted by, variable factors including (but not limited to): (i) population fluctuations; (ii) fluctuations in the number of other Water Carriers or other customers of the Council drawing Recycled Water from the Wastewater Treatment Plant; (iii) changes in legislative provisions; (iv) the occurrence of any accident, strike, civil commotion, natural disaster or other such incident beyond the control of the Council; (v) the capacity of the Wastewater Treatment Plant; (vi) the failure of any plant or equipment; (vii) cessation of supply due to failure to partially or wholly comply with the Quality Standards; and (viii) any inappropriate use of Recycled Water, in terms of Council’s Environmental Authority by any person.

Quantity of Supply. 3.3.1 For purposes of this Addendum and the Agreement, Banded Cigarette Papers will be treated as a new Group within the Category of Cigarette Papers. 3.3.2 From time to time, Pxxxxx Mxxxxx shall propose the specifications for Grades of Banded Cigarette Papers to be delivered through Direct Purchases and Indirect Purchases. The Grades of Banded Cigarette Papers to which the Addendum shall be applicable shall be limited to those Grades for which SWM has accepted the applicable Specifications proposed by Pxxxxx Mxxxxx. Each such Specification for a new Grade will specify the tolerance limits, if any, to be applicable to such Grade. SWM will review such proposed Specifications [*****] 3.3.3 Unless otherwise agreed by the Parties, at the same time as Pxxxxx Mxxxxx proposes the Specifications for any new Grade of Banded Cigarette Papers it shall also propose criteria defining the rates of rejection for nonconformity with such Specifications that will constitute an Event of Default for purposes of Article XXIII of the Agreement. Such criteria shall be applicable with respect to the first [*****] that SWM delivers such Grade of Banded Cigarette Papers in lieu of the criteria otherwise applicable under Article XXIII.A.1.a of the Agreement for such period. After the end of such [*****] period, the criteria otherwise applicable under Article XXIII.A.1.a of the Agreement shall apply to the new Grade. If the criteria proposed by Pxxxxx Mxxxxx are unacceptable to SWM, SWM shall so notify Pxxxxx Mxxxxx promptly and in writing. If the Parties are thereafter unable to agree upon the criteria defining the rates of rejection for nonconformity with such Specifications that shall constitute an Event of Default within[*****] after the criteria were first proposed by Pxxxxx Mxxxxx, then for the first [*****] of delivery of such new Grade it shall be an Event of Default if the rejection rate for the new Grade of Banded Cigarette Papers shall exceed[*****] . After such [*****], the permissible rejection rate for such new Grade shall be as specified in Article XXIII.A.1.a of the Agreement. 3.3.4 The quantity of Banded Cigarette Papers to be purchased and sold hereunder each Year shall be as provided in Article IV of the Agreement except that: 3.3.4.1 Notwithstanding Article IV.B and Article IV.C of the Agreement, Pxxxxx Mxxxxx covenants that prior to the end of the Guaranteed Sales Period Pxxxxx Mxxxxx will not purchase Banded Cigarette Papers for use in the manufacture of Cigaret...

  • ESTIMATED / SPECIFIC QUANTITY CONTRACTS Estimated quantity contracts, also referred to as indefinite delivery / indefinite quantity contracts, are expressly agreed and understood to be made for only the quantities, if any, actually ordered during the Contract term. No guarantee of any quantity is implied or given. With respect to any specific quantity stated in the contract, the Commissioner reserves the right after award to order up to 20% more or less (rounded to the next highest whole number) than the specific quantities called for in the Contract. Notwithstanding the foregoing, the Commissioner may purchase greater or lesser percentages of Contract quantities should the Commissioner and Contractor so agree. Such agreement may include an equitable price adjustment.

  • Scope of Supply 12.1 The Goods and Related Services to be supplied shall be as specified in the Schedule of Requirements.

  • Bidder Supplied Samples The Commissioner reserves the right to request from the Bidder/Contractor a representative sample(s) of the Product offered at any time prior to or after award of a contract. Unless otherwise instructed, samples shall be furnished within the time specified in the request. Untimely submission of a sample may constitute grounds for rejection of Bid or cancellation of the Contract. Samples must be submitted free of charge and be accompanied by the Bidder’s name and address, any descriptive literature relating to the Product and a statement indicating how and where the sample is to be returned. Where applicable, samples must be properly labeled with the appropriate Bid or Contract reference. A sample may be held by the Commissioner during the entire term of the Contract and for a reasonable period thereafter for comparison with deliveries. At the conclusion of the holding period the sample, where feasible, will be returned as instructed by the Bidder, at the Bidder’s expense and risk. Where the Bidder has failed to fully instruct the Commissioner as to the return of the sample (i.e., mode and place of return, etc.) or refuses to bear the cost of its return, the sample shall become the sole property of the receiving entity at the conclusion of the holding period.

  • Quantity If Seller delivers more than the quantity of Goods ordered, Buyer may reject all or any excess Goods. Any such rejected Goods shall be returned to Seller at Seller's risk and expense. If Buyer does not reject the Goods and instead accepts the delivery of Goods at the increased or reduced quantity, the Price for the Goods shall be adjusted on a pro-rata basis.

  • Quantities The estimated quantities provided by the City are not guaranteed. These quantities are listed for informational purposes only. Quantities vary depending on the demands of the City. All products, materials, supplies, replacement parts, and equipment offered and furnished must be new, of current manufacturer production, and must have been formally announced by the manufacturer as being commercially available, unless otherwise stated in this Contract.

  • ODUF Packing Specifications 6.3.1 A pack will contain a minimum of one message record or a maximum of 99,999 message records plus a pack header record and a pack trailer record. One transmission can contain a maximum of 99 packs and a minimum of one pack.

  • REPAIRED OR REPLACED PARTS / COMPONENTS Where the Contractor is required to repair, replace or substitute Product or parts or components of the Product under the Contract, the repaired, replaced or substituted Products shall be subject to all terms and conditions for new parts and components set forth in the Contract including Warranties, as set forth in the Additional Warranties Clause herein. Replaced or repaired Product or parts and components of such Product shall be new and shall, if available, be replaced by the original manufacturer’s component or part. Remanufactured parts or components meeting new Product standards may be permitted by the Commissioner or Authorized User. Before installation, all proposed substitutes for the original manufacturer’s installed parts or components must be approved by the Authorized User. The part or component shall be equal to or of better quality than the original part or component being replaced.
