REDUNDANCY COSTS. 6.1 The Constituent Authorities shall indemnify and keep indemnified on a joint and several basis the Host Council (for itself and any Sub-Contractor) against all and any Redundancy Costs arising out of or in connection with any claim, demand, action or proceeding which is made or brought against the Host Council (or Sub-Contractor) arising out of or in connection with the termination or alleged termination of employment of any Host Council Personnel by reason of redundancy within 6 months of the Subsequent Transfer Date, where the employment such Host Council Personnel does not transfer to a Future Host Council (under TUPE or otherwise) on the cessation of the provision of any or all of the Host Council Services, provided that the Host Council shall, or shall procure that any Sub- Contractor shall, use reasonable endeavours to: (a) mitigate the amount of any such Redundancy Costs; (b) search for and, if available, offer alternative employment within the Host Council's or the Constituent Authorities’ (or, as the case may be, the Sub-Contractor's) organisation to any Host Council Personnel at risk of redundancy and shall give that Host Council Personnel a reasonable opportunity to accept any such offer of alternative employment before terminating that Host Council Personnel's employment; and (c) comply with any applicable statutory obligations.

REDUNDANCY COSTS statutory redundancy payments, contractual redundancy payments and contractual notice pay payable by the Lead Authority to the Redundant Transferring Employees, but excluding any payments or liabilities arising from any claim as to the fairness of the dismissal and/or unlawful discrimination.
REDUNDANCY COSTS. The Authority shall not be liable under this Schedule for any costs associated with Supplier Personnel (whether relating to redundancy, redeployment or otherwise) other than the Redundancy Costs. Where the Supplier can demonstrate that a member of Supplier Personnel will be made redundant following termination of this Agreement, but redeployment of such person is possible and would offer value for money to the Authority when compared with redundancy, then the Authority shall pay the Supplier the actual direct costs incurred by the Supplier or its Sub-contractor arising out of the redeployment of such person (including retraining and relocation costs) subject to a maximum amount of £30,000 per relevant member of the Supplier Personnel.

REDUNDANCY COSTS. If at any time during the term of the Services Agreement any one or more of the services thereunder (the "Services") is discontinued or terminated at the request of Novelis Technology, ATM shall have the right to collect from, and Novelis shall be obligated to pay, an amount equal to (x) 100% of the actual and direct Liability (however arising or evidenced, whether by contract, custom, practice, procedure, employee benefit plan, social plan, applicable Law, or otherwise) incurred by ATM in terminating any employees who provided the discontinued or terminated Services to Novelis, including without limitation payments of severance compensation, and/or other similar obligations resulting from, or payable at or after, the termination of any affected employee's employment, plus (y) 100% of the actual and direct costs of canceling or terminating contracts with third-parties, plus (z) 100% of the actual and direct costs, expenses, write-downs, write-offs, or charges relating to the discontinued use of any assets, if any, used in connection with the provision of the discontinued or terminated Services.
REDUNDANCY COSTS. The principles relating to the payment or recover of redundancy costs relating to Transferring Employees and Inscope Employees shall be agreed and set out in Schedule 7 (Human Resources). Any supporting information should be capable of verification by the Authority and its external auditors and such information may need to be warranted by an officer of the Contractor. here appropriate, redundancy payments may be apportioned to take account of the length of time spent on the Authority agreement when compared with the total length of employed service of the Contractor's or Sub-contractor's employee.
