Renewal of Registration. The Licensor warrants and represents that as of the date hereof the Name is validly registered with the United States Patent and Trademark Office and that such registration is currently in effect. Licensor further agrees, at his own expense and without notice from Licensee, to timely renew such registration from time to time as such renewal is required; provided, that in the event Licensor intends not to obtain such renewal, Licensor shall notify Licensee at least one hundred twenty (120) days prior to such required renewal of its intention not to renew and shall, without additional consideration other than the mutual covenants and consideration contained herein, assign, transfer and convey all its rights, titles and interests in the Name to Licensee, and Licensee shall be entitled to seek such renewal.
Renewal of Registration. Renew and keep renewing the registration and filing of financing statements registered or filed with respect to the Security Documents, no later than 180 days before the expiry date stipulated for the preservation of the Lien created under the terms of such documents and the perfection of the security interest created thereby and execute and deliver all other documents and do all other things which the Agent may require with respect to the Security Documents in order to maintain in full force and effect the validity and perfection of the security created thereunder.
Renewal of Registration. Such statement must give satisfactory evidence that the individual is physically fit to provide child day care, has no diagnosed psychiatric or emotional disorder which would preclude such individual from providing child day care, and is free from communicable disease. The medical statement also must include the results of a Mantoux tuberculin test on the provider or alternate provider which has been performed within the 12 months preceding the date of the application. 417.11

If (i) immediately prior to the third anniversary of the effectiveness of the Registration Statement, any of the Shares remain unsold hereunder or (ii) at any time, the Company receives a notice from the Commission pursuant to Rule 401(g)(2) under the Securities Act or otherwise ceases to be eligible to use the automatic shelf registration statement form, the Company will, upon its determination to take the action referred to below (which in any event shall be a reasonable time prior to such third anniversary) or upon receipt of such notice, as the case may be, promptly (A) advise the Manager Parties, confirming such advice in writing, of such determination or notice, as the case may be, (B) prepare and file, in accordance with the Securities Act, a new registration statement or a post-effective amendment to the Registration Statement, as applicable, on the proper form relating to such Shares, in form and substance satisfactory to the Manager Parties, to permit the offering and sale of such Shares to continue as contemplated by this Agreement, (C) use its best efforts to cause such new registration statement or post-effective amendment to become effective as soon as practicable, (D) notify the Manager Parties of such effectiveness and (E) take all other reasonable actions necessary or appropriate to permit the offering and sale of such Shares to continue as contemplated by this Agreement, including to promptly prepare and file a new final supplement to the prospectus filed as part of such new registration statement or post-effective amendment relating to such Shares pursuant to the applicable paragraph of Rule 424(b) under the Securities Act. Upon the filing of such new supplement, except where the context otherwise requires, references herein references herein to the “Registration Statement” shall be deemed to refer to such new registration statement or post-effective amendment, as the case may be, and references to the “Base Prospectus” and the “Prospectus Supplement” shall be deemed to refer to such new supplement and such prospectus, respectively.
Renewal of Registration. It will renew and keep renewing the registration, publication and filing of financing statements or other documents registered, published or filed with respect to the Security Documents, the whole by no later than 180 days before the expiry of the delays stipulated for the preservation of the rights created under the terms of such documents and, from time to time, upon any demand from the Agent to that effect, execute and deliver all other documents and do all other things which the Lenders or any one thereof may require with respect to the Security Documents in order to maintain the validity and the rank of the security created thereunder.
Renewal of Registration. If by the third anniversary (the “Renewal Deadline”) of the initial effective date of the Registration Statement, any of the Securities remain unsold, the Company will file, if it has not already done so and is eligible to do so, a new automatic shelf registration statement relating to the Securities, in a form satisfactory to you. If at the Renewal Deadline the Company is no longer eligible to file an automatic shelf registration statement, the Company will, if it has not already done so, file a new shelf registration statement relating to the Securities, in a form satisfactory to you and will use its best efforts to cause such registration statement to be declared effective within 180 days after the Renewal Deadline. The Company will take all other action necessary or appropriate to permit the public offering and sale of the Securities to continue as contemplated in the expired registration statement relating to the Securities. References herein to the Registration Statement shall include such new automatic shelf registration statement or such new shelf registration statement, as the case may be.
