Request for Disclosure. Both parties acknowledge the competitive value and confidential nature of the Confidential Information. In the event that the receiving party becomes legally compelled to disclose any of the disclosing party's Confidential Information, the receiving party shall provide the disclosing parts with prompt notice so that the disclosing party may seek a protective order or other appropriate remedy and the receiving party agrees to cooperate in seeking reasonable protective arrangements requested by the disclosing party. In the event that a protective order or other remedy to prevent disclosure is not obtained, the receiving party shall furnish only that portion of the Confidential Information which is legally required and the receiving party shall exercise its reasonable best efforts to obtain reasonable assurance that confidential treatment will be accorded the Confidential Information.
Request for Disclosure. No Receiving Party shall disclose any Confidential Information of the Disclosing Party. In the event any Receiving Party receives any valid request (by oral questions, interrogatories, requests for information or documents, subpoena, civil investigative demand or similar process) to disclose (i) any Confidential Information of the Disclosing Party or (ii) any information relating to Receiving Party’s opinion, judgment or recommendations concerning the Disclosing Party, the Receiving Party shall provide the Disclosing Party with prompt written notice of such request so that the Disclosing Party may seek an appropriate protective order and/or waive Receiving Party’s compliance with the provisions of this Agreement.
Request for Disclosure. If I am requested to or required (by oral questions, interrogatories, requests for information or documents, subpoena, civil investigative demand, other process, or an order issued by a court or by a local, state or federal regulatory or administrative body) to disclose Proprietary Information, I agree to immediately notify the Company of the existence, terms and circumstances surrounding such request or order; consult with Company on the availability and advisability of the Company taking steps to resist or narrow such request or order; and refrain from opposing any action by Company to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded the Proprietary Information.
Request for Disclosure. In the event that the Receiving Party is requested or required in a court or administrative proceeding or subpoena to disclose the Disclosing Party’s Confidential Information, the Receiving Party will give the Disclosing Party prompt notice of such request or requirement and the opportunity to seek confidential treatment, a protective order or similar remedies or relief prior to disclosure.
Request for Disclosure. If a party is requested to disclose any of the information provided by another party (by oral questions, interrogatories, requests for information, subpoena, civil investigative demand or other similar process), that party shall promptly notify, in writing, the party which provided the information, stating the information requested and the circumstances of the request, so that the party which provided the information may seek an appropriate protective order or, in its sole discretion, waive this Agreement in connection with compliance with such request. The party receiving the request shall consult with the party that provided the requested information on the advisability of taking additional steps to resist or to narrow such request. If, in the opinion of the counsel to the party receiving the request, the party receiving the request may be liable for contempt or other censure or penalty for a failure to disclose the requested information, that party may disclose any requested information, but shall use its best efforts to obtain an order or other reliable assurance of the confidentiality of that requested Information to be disclosed and shall disclose only such Information as is required to be disclosed in the opinion of counsel.
Request for Disclosure. During the Term, in the event that the Receiving Party receives a request to disclose all or any part of the Confidential Information under an order or inquiry issued by a court of competent jurisdiction or by a judicial or administrative agency or legislative body, the Receiving Party shall immediately notify the other Party of the existence, terms and circumstances surrounding such request and if disclosure of the Confidential Information is required or deemed advisable, exercise its best efforts to obtain from such court, agency or body an order, stipulation or other reliable assurance acceptable to the Disclosing Party that confidential treatment will be accorded to such portion of the Confidential Information to be disclosed. The Disclosing Party shall indemnify and keep indemnified the Receiving Party in full on demand from and against any and all legal fees, costs and expenses incurred in the Receiving Party's effort to comply with this provision.

Request for Disclosure. In the event a Party receives a request, or is legally compelled (by deposition, interrogatory, request for documents, subpoena, civil investigative demand or similar process), to disclose any Confidential Information, the Party subject to the request or requirement shall: (i) promptly notify the other Party(ies) and upon request, if permitted, shall provide the other Party(ies) with a copy of the request or written notice of the requirement; and (ii) cooperate with the other Party(ies) on seeking a protective order or other appropriate remedy to prevent the disclosure. In the event that a protective order or other remedy is not obtained, the Party subject to the request or requirement shall only disclose that portion of the Confidential Information that such Party is advised to disclose in a written opinion issued by such Party's legal counsel, and such Party shall exercise reasonable efforts to obtain assurance that the recipient of the disclosed Confidential Information shall not further disclose such Confidential Information to others, except as required by law, following such disclosure. In any event, none of the Parties shall oppose any action taken or instituted by another Party to obtain a protective order or other appropriate remedies to insure that confidential treatment will be accorded the Confidential Information. Any expenses incurred in connection with this Section 8.8 shall be the responsibility of the Party seeking the protective order or other remedies.
Request for Disclosure. In the event that a patient or patient representative requests access to, or a copy of, patient’s Health Information obtained by Physician Office pursuant to this Agreement, Physician Office shall refer the requester to the IHP Privacy Officer. Physician Office shall not release copies of the Health Information unless such Health Information is maintained in a record set by Physician Office as a Covered Entity, as those terms are defined in HIPAA.
Request for Disclosure. In the event that we are requested or required to disclose any confidential information by law, a subpoena or order issued by a court of competent jurisdiction, other governmental or regulatory authority, or professional standards (each, an “Order”) or are requested or required to disclose any of the confidential information by a non‐governmental third party (“Third‐Party Demand”), we shall, where legally permissible and reasonably practicable, give you reasonable notice of the Order or Third‐Party Demand so that you may seek a protective order or other appropriate remedy at your sole expense, or waive our compliance with the applicable confidentiality provisions of this MSA. In the event you direct us not to make the disclosure, you agree to defend, reimburse, and hold us harmless from any costs or expenses incurred in defending the privilege, including, by way of illustration only, our attorney’s fees, court costs, outside adviser’s costs, out‐of‐pocket expenses of any kind, or penalties or fines imposed as a result of your asserting the privilege or your direction to us to assert the privilege; provided, however, we retain the sole discretion, after consultation with our legal counsel, to determine whether or not, and to what extent, to comply with or otherwise address any Order or Third‐Party Demand.
