RESIDENT’S COVENANTS. The Resident represents and warrants to CUE that throughout the entire Term they will maintain full- time student status at CUE (i.e., at least 9.0 credits unless an accommodation is granted by Learning Accommodations Services). The Resident has read and will abide by the Residence Community Standards and Policies, which CUE may modify from time to time. Failure by the Resident or their Guests to abide by the standards set out in the Residence Community Standards and Policies is a breach of this Agreement and may result in the termination of this Agreement. Without limiting anything else in this Agreement or in the Residence Community Standards and Policies, the Resident shall: (a) keep the Resident’s Room in a reasonably clean and sanitary condition; (b) permit CUE or its agents to inspect and search the Resident’s Room for any of the reasons set out in the Residence Community Standards and Policies; (c) be solely liable or liable jointly and severally with other residents of the Residence for any loss or damage to the Residence including any furniture, fixtures and property belonging to CUE contained therein; (d) be liable for the conduct of the Resident’s Guests anywhere in the Residence; (e) give Student Housing immediate written notice of any breakage or damage in or to the Residence, and cooperate with Student Housing to help identify the cause including any person or persons responsible; (f) report any open or vacant rooms to Student Housing; and (g) be responsible for obtaining personal contents insurance.
RESIDENT’S COVENANTS. The Resident covenants with the Owner and the Manager to perform and observe the covenants imposed on the Resident under this Contract, including those specified in Schedule Two.
RESIDENT’S COVENANTS. 6.9.1 The Resident covenants, undertakes and agrees with the Scheme Operator and Manager, as follows: (a) Not to take any boarders or lodgers; (b) To use the Residential Unit as a place of residence only provided that the Resident may use the Residential Unit for a home occupation in the event that all necessary consents and approvals are obtained from the local council and other relevant authorities, and provided that the consent of the Scheme Operator is first obtained; (c) Not to carry on or permit to be carried on or suffered upon the Residential Unit any noxious or noisome or offensive art, trade, business, occupation or calling nor to suffer or permit anything to be done in the Residential Unit or any part or portion thereof or adjoining or abutting thereto which shall or may be an annoyance or nuisance to any other persons lawfully entitled to the enjoyment of any part of the Retirement Village; (d) Not to use the gardens, grounds, carports, car parks and private roads at the Retirement Village or permit the same to be used in such a manner as may unreasonably interfere with the use and enjoyment thereof by another or other residents or their invitees; (e) To keep the Residential Unit (and all the glass in the windows therein) and the Curtilage of the Residential Unit in the same state of repair and condition as the same shall be as the date hereof (fair wear and tear and damage by fire, earthquake, storm and tempest excepted); (f) Not to make or permit to be made any alteration in or to the interior or exterior of the Residential Unit without the consent in writing of the Scheme Operator; (g) Not to do or knowingly to suffer to be done any act or thing whereby any policy or policies of insurance in relation to any improvements on the Retirement Village against fire or other risks may become void or voidable or whereby the rate of premiums thereof may be increased; (h) To pay all telephone, electricity, gas and excess water and other taxes or charges separately rated, taxed, charged, assessed or imposed on the Residential Unit; (i) To pay to the Scheme Operator, at such reasonable rate as may be from time to time imposed by the Scheme Operator, for any services or goods (including any meals and including any cleaning or housekeeping services in respect of the Residential Unit), as are not expressly required to be provided by the Scheme Operator to the Resident pursuant to the terms of this Residence Contract; (j) To pay to the Manager, at the rate o...
RESIDENT’S COVENANTS. The Resident represents and warrants to Concordia that throughout the entire Term they will maintain full-time student status at Concordia. The Resident has read and will abide by the Residence Guide, which Concordia may modify from time to time. Failure by the Resident or their Guests to abide by the standards set out in the Residence Guide is a breach of this Agreement and may result in the termination of this Agreement. Without limiting anything else in this Agreement or in the Residence Guide, the Resident shall: (a) keep the Resident’s Room in a reasonably clean and sanitary condition; (b) permit Concordia or its agents to inspect and search the Resident’s Room for any of the reasons set out in the Residence Guide; (c) be solely liable or liable jointly and severally with other residents of the Residence for any loss or damage to the Residence including any furniture, fixtures and property belonging to Concordia contained therein; (d) be liable for the conduct of the Resident’s Guests anywhere in the Residence; (e) give the Housing Services Coordinator immediate written notice of any breakage or damage in or to the Residence, and cooperate with the Housing Services Coordinator to help identify the cause including any person or persons responsible; (f) report any open or vacant rooms to the Housing Services Coordinator; and (g) be responsible for obtaining personal contents insurance.

  • Agreements, Conditions and Covenants The Purchaser shall have performed or complied with all agreements, conditions and covenants required by this Agreement to be performed or complied with by it on or before the Closing.

  • Accounts Covenants (a) Each Borrower and Guarantor shall notify Agent promptly of the assertion of any material claims, offsets, defenses or counterclaims by any account debtor, Credit Card Issuer or Credit Card Processor or any material disputes with any of such persons or any settlement, adjustment or compromise thereof and all material adverse information relating to the financial condition of any account debtor, Credit Card Issuer or Credit Card Processor. No credit, discount, allowance or extension or agreement for any of the foregoing shall be granted to any account debtor, Credit Card Issuer or Credit Card Processor except in the ordinary course of such Borrower’s or Guarantor’s business in accordance with the current practices of such Borrower or Guarantor as in effect on the date hereof. So long as an Event of Default exists or has occurred and is continuing, no Borrower or Guarantor shall, without the prior consent of Agent, settle, adjust or compromise any material claim, offset, counterclaim or dispute with any account debtor, Credit Card Issuer, Credit Card Processor. At any time that an Event of Default exists or has occurred and is continuing, Agent shall, at its option, have the exclusive right to settle, adjust or compromise any claim, offset, counterclaim or dispute with account debtors, Credit Card Issuers or Credit Card Processors or grant any credits, discounts or allowances. (b) With respect to each Account: no payments shall be made thereon except payments delivered to Agent pursuant to the terms of this Agreement, there shall be no material setoffs, deductions, contras, defenses, counterclaims or disputes existing or asserted with respect thereto except as reported to Agent in accordance with the terms of this Agreement and none of the transactions giving rise thereto will violate any applicable State or Federal Laws or regulations, all documentation relating thereto will be legally sufficient under such laws and regulations and all such documentation will be legally enforceable in accordance with its terms. (c) Each Borrower and Guarantor shall notify Agent promptly of: any notice of a material default by such Borrower or Guarantor under any of the Credit Card Agreements or of any default which has a reasonable likelihood of resulting in the Credit Card Issuer or Credit Card Processor ceasing to make payments or suspending payments to such Borrower or Guarantor, any notice from any Credit Card Issuer or Credit Card Processor that such person is ceasing or suspending, or will cease or suspend, any present or future payments due or to become due to such Borrower or Guarantor from such person, or that such person is terminating or will terminate any of the Credit Card Agreements, and the failure of such Borrower or Guarantor to comply with any material terms of the Credit Card Agreements or any terms thereof which has a reasonable likelihood of resulting in the Credit Card Issuer or Credit Card Processor ceasing or suspending payments to such Borrower or Guarantor. (d) Upon an Event of Default, Agent shall have the right at any time or times, in Agent’s name or in the name of a nominee of Agent, to verify the validity, amount or any other matter relating to any Receivables or other Collateral, by mail, telephone, facsimile transmission or otherwise.

  • TERMS, CONDITIONS AND COVENANTS In consideration of the Purchase Price, each of the Seller and the Interim Eligible Lender Trustee for the benefit of the Seller hereby sells to each of the Purchaser and the Eligible Lender Trustee for the benefit of the Purchaser the entire right, title and interest of the Seller and the Interim Eligible Lender Trustee in the Loans accepted for purchase, subject to all the terms and conditions of the Sale Agreement Master Securitization Terms Number 1000, dated August 14, 2014 (the “Master Sale Terms”), and any amendments thereto permitted by its terms, incorporated herein by reference, among the Seller, the Purchaser, the Interim Eligible Lender Trustee and the Eligible Lender Trustee. The applicable Additional Loans Purchase Price shall be $[_____]. This document shall constitute an Additional Sale Agreement as referred to in the Master Sale Terms and, except as modified herein, each term used herein shall have the same meaning as in the Master Sale Terms. All references in the Master Sale Terms to Loans or Additional Loans or to Purchased Loans, as applicable, shall be deemed to refer to the Additional Loans governed by this Additional Sale Agreement. The Seller hereby makes the representations and warranties set forth in Sections 5(A) and (B) of the Master Sale Terms regarding the Additional Loans described in the related Additional Bxxx of Sale and the related Loan Transmittal Summary Form, as of the related Purchase Date. Each of the Seller and the Interim Eligible Lender Trustee for the benefit of the Seller authorizes the Eligible Lender Trustee for the benefit of the Purchaser to use a copy of the related Additional Bxxx of Sale, including the Loan Transmittal Summary Form attached to such Additional Bxxx of Sale (in lieu of OE Form 1074), as official notification to the applicable Guarantors of assignment to the Eligible Lender Trustee on behalf of the Purchaser of the Loans purchased pursuant hereto on the Purchase Date. The parties hereto intend that the transfer of Additional Loans described in the related Additional Bxxx of Sale and related Loan Transmittal Summary Form be, and be construed as, a valid sale of such Purchased Loans. However, in the event that notwithstanding the intention of the parties, such transfer is deemed to be a transfer for security, then each of the Interim Eligible Lender Trustee and the Seller hereby grants to the Purchaser and the Eligible Lender Trustee for the benefit of the Purchaser a first priority security interest in and to all Additional Loans described in the related Additional Bxxx of Sale and related Loan Transmittal Summary Form to secure a loan in an amount equal to the Purchase Price of such Purchased Loans.

  • Borrower’s Covenants 3.1 As and when he becomes, and for so long as he remains a shareholder of Borrower Company, Borrower covenants irrevocably that during the term of this Agreement, Borrower shall cause Borrower Company: 3.1.1 to strictly abide by the provisions of the Exclusive Option Agreement and the Exclusive Business Cooperation Agreement (“Exclusive Business Cooperation Agreement”) to which the Borrower Company is a party, and to refrain from any action/omission that may affect the effectiveness and enforceability of the Exclusive Option Agreement and Exclusive Business Cooperation Agreement. 3.1.2 at the request of Lender (or a party designated by Lender), to execute contracts/agreements on business cooperation with Lender (or a party designated by Lender), and to strictly abide by such contracts/agreements; 3.1.3 to provide Lender with all of the information on Borrower Company’s business operations and financial condition at Lender’s request; 3.1.4 to immediately notify Lender of the occurrence or possible occurrence of any litigation, arbitration or administrative proceedings relating to Borrower Company’s assets, business or income; 3.1.5 at the request of Lender, to appoint any persons designated by Lender as directors of Borrower Company; 3.2 Borrower covenants that during the term of this Agreement, he shall: 3.2.1 endeavor to keep Borrower Company to engage in its principle businesses; 3.2.2 abide by the provisions of this Agreement, the Power of Attorney, the Equity Interest Pledge Agreement (“Equity Interest Pledge Agreement”) and the Exclusive Option Agreement to which the Borrower is a party, perform his obligations under this Agreement, the Power of Attorney, the Equity Interest Pledge Agreement and the Exclusive Option Agreement, and refrain from any action/omission that may affect the effectiveness and enforceability of this Agreement, the Power of Attorney, the Equity Interest Pledge Agreement and the Exclusive Option Agreement; 3.2.3 not sell, transfer, mortgage or dispose of in any other manner the legal or beneficial interest in Borrower Equity Interest, or allow the encumbrance thereon of any security interest or the encumbrance, except in accordance with the Equity Interest Pledge Agreement; 3.2.4 cause any shareholders’ meeting and/or the board of directors of Borrower Company not to approve the sale, transfer, mortgage or disposition in any other manner of any legal or beneficial interest in Borrower Equity Interest, or allow the encumbrance thereon of any security interest, except to Lender or Lender’s designated person; 3.2.5 cause any shareholders’ meeting and/or the board of directors of the Borrower Company not to approve the merger or consolidation of Borrower Company with any person, or its acquisition of or investment in any person, without the prior written consent of Lender; 3.2.6 immediately notify Lender of the occurrence or possible occurrence of any litigation, arbitration or administrative proceedings relating to Borrower Equity Interest; 3.2.7 to the extent necessary to maintain his ownership of the Borrower Equity Interest, execute all necessary or appropriate documents, take all necessary or appropriate actions and file all necessary or appropriate complaints or raise necessary and appropriate defense against all claims; 3.2.8 without the prior written consent of Lender, refrain from any action /omission that may have a material impact on the assets, business and liabilities of Borrower Company; 3.2.9 appoint any designee of Lender as director of Borrower Company, at the request of Lender; 3.2.10 to the extent permitted by the laws of China, at the request of Lender at any time, promptly and unconditionally transfer all of Borrower Equity Interest to Lender or Lender’s designated representative(s) at any time, and cause the other shareholders of Borrower Company to waive their right of first refusal with respect to the share transfer described in this Section; 3.2.11 to the extent permitted by the laws of China, at the request of Lender at any time, cause the other shareholders of Borrower Company to promptly and unconditionally transfer all of their equity interests to Lender or Lender’s designated representative(s) at any time, and Borrower hereby waives his right of first refusal (if any) with respect to the share transfer described in this Section; 3.2.12 in the event that Lender purchases Borrower Equity Interest from Borrower in accordance with the provisions of the Exclusive Option Agreement, use such purchase price obtained thereby to repay the Loan to Lender; and 3.2.13 without the prior written consent of Lender, not to cause Borrower Company to supplement, change, or amend its articles of association in any manner, increase or decreases its registered capital or change its share capital structure in any manner.

  • Owner’s Covenants 13.1. The Owner covenants the following to the Lessee: 13.1.1. That the Lessee shall peaceably hold and enjoy the Leased Apartment during the Term of this Agreement and the Owner shall not interrupt or interfere with the Lessee’s lawful occupation, enjoyment or use of the Leased Apartment other than in an emergency or in the normal and lawful process of exercising or implementing the Owner’s rights and obligations under this Agreement. 13.1.2. To keep the Leased Apartment, and the Owner’s contents (if any), insured for such sums and on such terms as the Owner feels appropriate against fire and other risks normally covered by a comprehensive property insurance policy and any other such risks as the Owner considers necessary from time to time. 13.1.3. Except as otherwise herein provided, to keep the Leased Apartment and all internal parts thereof in good and substantial structural condition. 13.1.4. To take reasonable steps to ensure that the Leased Apartment, the installations therein for supply of water and electricity, and for sanitation, are safe, in proper working order and in repair both at commencement of, and during the term of, this Agreement. 13.1.5. To take reasonable steps to ensure that all smoke alarms, and security equipment (e.g. security cameras, security alarm system, etc) are kept in proper working order and in repair throughout the duration of this Agreement. 13.1.6. That all consents necessary to enable the Owner to enter into this Agreement (whether from superior landlords, mortgagees, insurers or others) have been obtained.
