THE RESIDENT AGREES. 1. To serve faithfully according to the terms and conditions of this Agreement during its Term. 2. To conduct himself/herself in a manner exhibiting good moral and ethical character, to maintain appearance and demeanor that is not disturbing to patients, to work cooperatively with others, and to perform in a professional manner satisfactory to the Program Director. 3. To develop a personal program of self-study and professional growth, with guidance from the teaching staff. 4. Under the supervision of the teaching staff, to provide safe, effective and compassionate patient care, commensurate with Resident’s level of education and experience. 5. To perform the duties prescribed by the Hospital’s medical staff or department in a competent, efficient, satisfactory, humanistic and courteous manner in strict accordance with the professional and ethical standards of the medical profession. 6. To participate fully in the educational and scholarly activities of the Program and, as authorized by the teaching staff, to assume responsibility for teaching and supervising other residents and students. 7. To adhere to established practices, procedures, and policies of SRHS, the Hospital, the Bylaws and Rules and Regulations of its Medical Staff, the Graduate Medical Education Committee, all applicable standards, rulings, regulations and requirements of the United States Department of Health and Human Services, the South Carolina Department of Health and Environmental Control, applicable accrediting agencies and any federal, state, or local government agency, third party payer or accrediting body having jurisdiction over or providing reimbursement for the services provided by physicians and any programs and services offered by SRHS and all rules and regulations of other institutions or clinical sites during rotations, and to consider that infractions thereof are full justification for termination of this Agreement with resulting dismissal from the Program. 8. As directed by the Program Director, to serve in all facilities, clinics and activities to which he/she is assigned as part of the Hospital’s teaching program. 9. To consider the compensation and the experience and instructions received as the sole remuneration to which he/she is entitled and in consequence, not to directly accept fees from patients, third parties payors, or to engage in any employment outside this Agreement. THE RESIDENT AGREES. The Resident agrees to pay all fees specific, to observe all policies and procedures of the Old Dominion University and abide by the terms and conditions of this agreement and other University publications, such as the Student Code of Conduct and the Housing & Residence Life Policies and Procedures Handbook.
THE RESIDENT AGREES. The Resident agrees to make payment of all housing and board fees when due. Students must observe all rules and regulations of The College of St. Scholastica and Residential Life which by reference are a part of this Contract, including anything that may be adopted and published by the College during the term of the Contract. The Resident also agrees to honor the terms and conditions stated in this contract.

The Resident assumes any and all liability for damages and cleanliness, including any misuse of access cards, keys or assigned premises by other parties. c. The Resident agrees to vacate the assigned room within 24 hours upon loss of status as an enrolled student during this agreement, if the Resident fails to register for credit course work and within 24 hours after their last exam.

THE RESIDENT AGREES. 1. To conduct themselves in a manner consistent with the mission of the University. 2. To abide by University policies and procedures, the rules and regulations contained in this license, and The Student Handbook (xxxx://xxxx.xxx.xxx/default.aspx?id=4256), as it may be amended from time to time. 3. To abide by all federal, state and local laws. 4. To reside in the assigned room with their assigned roommate(s) and to vacate and remove all personal property from the room or suite when the license expires or when otherwise directed by the University. 5. The University recommends that the resident contact an insurance carrier concerning the purchasing of insurance protection against such losses. 7. To abide by the Guest and Visitation Policy and be accountable and responsible for the conduct of any guests and visitors the Resident signs/brings into the residence hall. 8. In the event of a vacancy within a room, Resident(s) will ensure the room/suite is available, at all times, for the assignment of a new resident. 9. To abide by the policies listed in the Fire Safety Standards and Measures pamphlet posted online and distributed in hard copy during room check-in. 10. To maintain a minimum cumulative Grade Point Average (GPA) of 2.0. 11. To set up and use University Webmail account. Students are responsible for information sent to this official mean of University communication. 12. To keep the room, suite and/or apartment clean and fit for habitation. All University provided furnishing must remain in the room for the duration of the license. The Resident will be responsible for all damages done to the room including but not limited to walls, door, windows, flooring, furniture, appliances, plumbing, heating, air conditioning and ventilation systems as a result of the Resident’s neglect, regardless of whether the neglect was the committing of an act that caused the damage or the failure to do an act in order to prevent damages. THE RESIDENT AGREES. To pay all charges and fees specified; To observe all policies and procedures of New England College and Residential Life and Housing; To abide by the terms of this contract. Failure to fulfill the terms of this contract may lead to termination of this agreement, removal from College owned housing, and a review of the individual’s status as a student at New England College. If the resident displays behaviors that appear to represent a threat to the resident and/or to the community (i.e. suicidal gestures, drug/alcohol overdose, harassing, bullying, or intimidating other students etc.) the College reserves the right to remove said individual until a determination can be made, through a formal assessment or conduct process, that the resident no longer presents a threat. In the event of serious concerns about a resident’s health or safety, the College reserves the right to notify the resident’s parents/legal guardians.

  • Registered Office and Resident Agent The Registered Office and Resident Agent of the Company shall be as designated in the initial Articles of Organization/Certificate of Organization or any amendment thereof. The Registered Office and/or Resident Agent may be changed from time to time. Any such change shall be made in accordance with the Statutes, or, if different from the Statutes, in accordance with the provisions of this Agreement. If the Resident Agent shall ever resign, the Company shall promptly appoint a successor agent.

  • Resident Agent The Trust shall maintain a resident agent in the State of Delaware, which agent shall initially be The Corporation Trust Company, 0000 Xxxxxx Xxxxxx, Xxxxxxxxxx, Xxxxxxxx 00000. The Trustees may designate a successor resident agent, provided, however, that such appointment shall not become effective until written notice thereof is delivered to the office of the Secretary of the State.

  • Separate Counsel If any Action is asserted or commenced pursuant to which the indemnity provided in Section 9.4 hereof or the right of contribution provided in Section 9.5 hereof may apply, the Manager may take such action in connection therewith as it deems necessary or desirable, including retention of counsel for the Underwriters (“Syndicate Counsel”), and in its discretion separate counsel for any particular Underwriter or group of Underwriters, and the fees and disbursements of any counsel so retained will be allocated among the several Underwriters as determined by the Manager. Any such Syndicate Counsel retained by the Manager will be counsel to the Underwriters as a group and, in the event that: (a) the Manager settles any Action on a basis that results in the settlement of such Action against it and fewer than all the Underwriters, or (b)(i) a conflict develops between the Manager and the other Underwriters, or (ii) differing defenses are available to the other Underwriters and not available to the Manager, and as a result of either (b)(i) or (b)(ii) such Syndicate Counsel concludes that it is unable to continue to represent the Manager and the other Underwriters, then in each such case, after notification to the Manager and the other Underwriters, Syndicate Counsel will remain counsel to the other Underwriters and will withdraw as counsel to the Manager. The Manager hereby consents to such arrangement and undertakes to take steps to: (i) ensure that any engagement letters with Syndicate Counsel are consistent with such arrangement; (ii) issue a notice to all other Underwriters promptly following receipt of any advice (whether oral or written) from Syndicate Counsel regarding its inability to represent the Manager and the other Underwriters jointly; and (iii) facilitate Syndicate Counsel’s continued representation of the other Underwriters. Any Underwriter may elect to retain at its own expense its own counsel and, on advice of such counsel, may settle or consent to the settlement of any such Action, but only in compliance with Section 9.7 hereof, and in each case, only after notification to every other Underwriter. The Manager may settle or consent to the settlement of any such Action, but only in compliance with Section 9.7 hereof.

  • Corporate Separateness (a) Satisfy, and cause each of its Restricted Subsidiaries and Unrestricted Subsidiaries to satisfy, customary corporate and other formalities, including, as applicable, the holding of regular board of directors’ and shareholders’ meetings or action by directors or shareholders without a meeting, in each case, to the extent required by law and the maintenance of corporate offices and records. (b) Ensure that (i) no payment is made by it or any of its Restricted Subsidiaries to a creditor of any Unrestricted Subsidiary in respect of any liability of any Unrestricted Subsidiary, (ii) no bank account of any Unrestricted Subsidiary shall be commingled with any bank account of the Borrowers, Holdings or any direct or indirect parent of the Borrowers or any of their Restricted Subsidiaries, and (iii) any financial statements distributed to any creditors of any Unrestricted Subsidiary shall clearly establish or indicate the corporate separateness of such Unrestricted Subsidiary from the Borrowers, Holdings or any direct or indirect parent of the Borrowers or any of their Restricted Subsidiaries.

Any financial statements distributed to any creditors of any Unrestricted Subsidiary shall clearly establish or indicate the corporate separateness of such Unrestricted Subsidiary from Silgan and its Subsidiaries. Finally, neither Silgan nor any of its Subsidiaries shall take any action, or conduct its affairs in a manner, which is likely to result in the corporate existence of Silgan or any of its Subsidiaries or Unrestricted Subsidiaries being ignored, or in the assets and liabilities of Silgan or any of its Subsidiaries being substantively consolidated with those of any other such Person or any Unrestricted Subsidiary in a bankruptcy, reorganization or other insolvency proceeding.
