Resignation; Termination for Cause. If the Executive voluntarily terminates [his/her] employment with the Company without a Change in Control, or if the Company terminates the Executive’s employment with the Company for Cause without a Change in Control, then the Company shall (i) pay the Executive, in a lump sum in cash within 30 days after the Date of Termination, the sum of (A) the Executive’s annual base salary accrued and unpaid through the Date of Termination and (B) the amount of any compensation previously deferred by the Executive, in each case to the extent not previously paid, and (ii) timely pay or provide to the Executive the Other Benefits.
Resignation; Termination for Cause. If the Employee resigns or the Employee's employment with Tangram is terminated "For Cause" (as defined in the Employment Agreement), then any and all unvested Tangram Stock which would have vested through the end of the applicable vesting period in which Employee is terminated but for the termination in the applicable vesting period shall be forfeited on the Employee's last day of employment, and all of Employee's right, title, and interest pursuant to this Agreement as to the forfeited Tangram Stock shall terminate as of such date. If any Tangram Stock is forfeited as provided for herein, Employee acknowledges and agrees that Axial shall own all of the right, title, and interest in and to the forfeited Tangram Stock.
Resignation; Termination for Cause. If Executive resigns during the Employment Period or is terminated for Cause: (i) Executive will solely be paid his Salary and receive any Benefits accrued through the last day of his employment; (ii) Executive will not be entitled to receive his Salary or any Benefits for periods after the termination of the Employment Period, or any Bonus for the year in which employment terminated; and (iii) Executive’s rights with respect to vested and unvested stock options will be determined as provided in the applicable stock option plan; provided, however, if Executive resigns for Good Reason (as defined in Section 5) within twelve (12) months following the Effective Date (of the Transaction), Executive shall be entitled to the benefits described in Section 5.
Resignation; Termination for Cause. If Employee resigns from his positions with the Company or his employment shall be terminated by the Company for cause, the Company shall pay Employee his full salary through the date of resignation or termination at the rate then in effect and the Company shall have no further obligations to Employee under this Agreement.
Resignation; Termination for Cause. (a) The Corporation's Board of Directors may terminate the Executive's employment for cause at any time. Cause shall be defined as the Executive's personal dishonesty, incompetence, willful misconduct, breach of fiduciary duty involving personal profit, intentional failure to perform stated duties, willful violation of any law, rule or regulation (other than traffic violations or similar offenses that have no material detrimental effect on the Corporation) or final cease-and-desist order, or a material breach of any provision of this Employment Agreement. Notwithstanding the foregoing, the Corporation shall notify and counsel the Executive as to the nature of any instance of "cause" described above within 30 days of the Corporation's discovery of such neglect or misconduct and shall provide a reasonable probationary and cure period from the date of such notice and counseling, but this provision shall only apply to the first occurrence of any such circumstances and the Corporation in good faith may immediately terminate the Executive for such continued or additional instance of "cause" following the initial notice and counseling.
Resignation; Termination for Cause. Upon Employee’s resignation other than a Constructive Termination, or upon a Termination for Cause, (i) the Company shall (a) pay Employee’s Base Salary through the effective date of termination of Employee’s employment, (b) pay Employee for accrued but unused vacation time through the date of termination, payable within fifteen (15) days of the termination date, and (c) provide to Employee group health coverage, including eligible medical, dental and vision insurance that Employee was participating in at the time of termination, through the last day of the calendar month during which the termination occurs (group health coverage after such date being governed by COBRA), and (ii) Employee shall thereafter not be entitled to any Severance Payments or additional payments or benefits from the Company and all the agreements referred to in Paragraphs 5, 6, 7 and 8 shall apply as written.
