Right to Suspend Services. RightNow reserves the right to investigate any suspected violation of this Appendix. When RightNow becomes aware of possible violations, RightNow may initiate an investigation that may include gathering information from Customer, the end-user(s) involved and the complaining party, if any, and the examination of the Content on any servers in RightNow’s control. During the investigation, RightNow may suspend Customer, the end-user(s) involved and/or remove the material involved from such servers.

Right to Suspend Services. Notwithstanding anything to the contrary in this Agreement, neither Service Provider will be required to provide, and will incur no liability for not providing, all or any part of any Service to the extent: (a) the performance of such Service would require such Service Provider to violate any applicable Law, (b) a third party service provider or other third party asset used to provide any Service ceases to be, or otherwise is not, available to such Service Provider on commercially reasonable terms, or (c) prevented, frustrated, hindered or delayed as a consequence of circumstances of Force Majeure; provided that (i) in the case of clauses (a) and (b), (A) only to the extent reasonably necessary for such Service Provider to address the issue raised; (B) to the extent practicable, only after such Service Provider has applied commercially reasonable efforts to reduce the amount or effect of any such restrictions; and (C) if such Service Provider has delivered written notice thereof to the Service Recipient; and (ii) in the case of clause (c), only to the extent provided in Section 8.7.
Right to Suspend Services. HackTheBox may suspend access to the Services (in whole or in part) for the Subscriber and/or any or all of the Authorised Users if: (i) the Fees are not paid on the due date for payment; (ii) the Subscriber or an Authorised User is in breach of this Agreement or the Acceptable Use Policy; (iii) the Subscriber or an Authorised User is using the Services in violation of applicable laws; or (iv) HackTheBox reasonably believes in good faith that there is a threat or attack on the Services or other event that imminently threatens the security, integrity, or availability of the Services, and HackTheBox temporarily suspends the same or substantially similar access to its other substantially similarly situated customers. HackTheBox shall, wherever reasonably practicable, provide prior written notice of any Service suspension to Subscriber, and, in the event of a Service suspension pursuant to (i), (ii) or (iii), shall work with Subscriber to remedy the violation. HackTheBox shall provide updates regarding resumption of Services following any Service suspension under (iv). Subscriber shall not be entitled to service credits under the Service Levels in respect of any Service suspension under (i), (ii) or (iii).
Right to Suspend Services. If payment in full of any invoice (other than amounts disputed by a Party in good faith) is not received by the Due Date of such invoice, to the extent the aggregate amount of such overdue unpaid invoices exceeds $1,000,000, the Party to whom such payment is owed shall have the right, after giving 15 days’ prior written notice to the other Party, to suspend all or any portion of the Service or other obligations under this Agreement as to which such overdue payment relates until such time as all amounts then due, including any accrued interest, have been paid. After such payment in full is received, performance of the suspended Services and other obligations shall resume.
Right to Suspend Services. CrowdSense may suspend Customer’s use of the Services if CrowdSense reasonably and in good faith believes such suspension is necessary to prevent unauthorized use of the Services or to prevent an ongoing violation of any applicable laws or regulations. CrowdSense will use commercially reasonable efforts to notify Customer prior to any such suspension. Customer and its Authorized Users will use commercially reasonable efforts to cure any breach immediately upon notice. CrowdSense will only suspend the Services to the extent necessary to prevent such unauthorized use or violation.
Right to Suspend Services. If the Pipeline User does not pay any amount due to any of the Tubridgi Parties under the Agreement, or under any Related Haulage Agreement, within seven days after notice is given to the Pipeline User of that amount falling due in accordance with sub-clause 14.5, then the Tubridgi Parties may cease delivering Gas through any User Delivery Point to or for the account of the Pipeline User, and may cease performing any of their other obligations under the Agreement, until such time as the Pipeline User has paid in full all unpaid amounts due to the Tubridgi Parties together with any interest accrued on those amounts.
Right to Suspend Services. Sprout Social may suspend Subscriber’s or any Client’s use of the Services if Sprout Social reasonably and in good faith believes such suspension is necessary to prevent unauthorized use of the Services or to prevent an ongoing violation of any applicable laws or regulations. Sprout Social will use commercially reasonable efforts to notify Subscriber prior to any such suspension and will only suspend the Services to the extent necessary to prevent such unauthorized use or violation. In addition, if Subscriber fails to timely pay any fees in accordance with the terms of this Agreement and/or any Service Order, Sprout Social may, without limitation to any of its other rights or remedies, suspend performance of the Services until it receives all amounts due.

Right to Suspend Services. Without liability to any party, and without limiting any other right or remedy available to Bank, Bank shall be entitled to cease or suspend the Service, in whole or in part, in Bank’s sole and absolute discretion and with or without notice to Customer if Customer shall fail to properly perform its duties, obligations, and responsibilities in connection with the Service, or commit any act or omission which impairs Bank’s ability to provide or prevents Bank from providing the Service.
Right to Suspend Services. If payment in full of any Invoice is not received by Service Provider from Recipient on or prior to the applicable Payment Due Date, in addition to all other rights of Service Provider hereunder, Service Provider shall have the right, after giving 15 days’ prior written notice thereof to Recipient, to suspend all or any portion of the Services until such time as Recipient has paid in full all amounts then due, including any accrued interest. After such payment in full is received and as long as Recipient continues to perform hereunder, Service Provider shall promptly resume providing, or causing to be provided, the Services to Recipient until the Expiration Date, subject to earlier termination thereof in accordance with ARTICLE III.
