Rights of Authority. This JPA Amendment shall not be interpreted as limiting or restricting the rights of Authority under the Authority JPA. Nothing in this JPA Amendment is intended to alter or modify Authority Transportation Uniform Mitigation Fee (TUMF) Program, the PACE Program administered by Authority within the jurisdictions of its Regular Members, or any other programs administered now or in the future by Authority, all as currently structured or subsequently amended.

Rights of Authority i. If in the reasonable opinion of the Authority, the Concessionaire is in material breach of its obligations under this Agreement, the Authority may, without prejudice to any of its rights under this Agreement including Termination thereof, by notice require the Concessionaire to take reasonable measures for the fulfilling its obligations under this Agreement.
Rights of Authority.  The SFWGA will assign a Contest Director to the event. The Contest Director will have full authority of all activity in and around the contest areas for the duration of the event. Contest areas include the gymnasium, staging area, access doors and foyers, and warm up areas. Designated event time begins one hour prior to the first scheduled performance of any participant (color guard, percussion, solo, or exhibition) and ends one hour after the conclusion of the last performance of any participant.  No activities, solicitations, announcements, banners, ad hoc performances, or changes to traffic flow, seating, or facilities may occur without the prior written consent of the Contest Director.
Rights of Authority. If (i) the Concessionaire shall fail or neglect to commence the diligent Restoration of the Parking Garage System or the portion thereof so damaged or destroyed, (ii) having so commenced such Restoration, the Concessionaire shall fail to diligently complete the same in accordance with the terms of this Agreement, or (iii) prior to the completion of any such Restoration by the Concessionaire, this Agreement shall expire or be terminated in accordance with the terms of this Agreement, the Authority may, but shall not be required to, complete such Restoration at the Concessionaire’s expense and shall be entitled to be paid out of the Restoration Funds, but such payment shall not limit the Concessionaire’s obligation to pay the Authority’s reasonable Restoration expenses, less amounts received by the Authority from such Restoration Funds. In any case where this Agreement shall expire or be terminated prior to the completion of the Restoration, the Concessionaire shall (x) account to the Authority for all amounts spent in connection with any Restoration which was undertaken, (y) pay over or cause the Depositary to pay over to the Authority, within thirty (30) days after demand therefor, the remainder, if any, of the Restoration Funds received by the Concessionaire prior to such termination or cancellation, and (z) pay over or cause the Depositary to pay over to the Authority, within thirty (30) days after receipt thereof, any Restoration Funds received by the Concessionaire or the Depositary subsequent to such termination or cancellation. The Concessionaire’s obligations under this Section 13.3(b) shall survive the expiration or termination of this Agreement.

Rights of Authority. 4.1. The Lenders’ Agent and the SPC expressly agree that upon the issuance of a Lenders’ Notice of Default or Notice of Intention to Terminate and the applicable cure period for the same has expired without the notice/s being withdrawn/cured, notwithstanding the process of Substitution having been initiated as provided in Article 2 herein, the AUTHORITY shall have the right but not the obligation to take over the operation and maintenance of the Dry Port and operate and maintain the same in accordance with Good Industry Practice, at the risk and cost of the SPC until operation pursuant to Substitution under this Agreement or curing of such event of default, whichever is earlier.

Implementation of California HERO Program within County Jurisdiction. Boundaries of the California HERO Program within County Jurisdiction. County shall determine and notify Authority of the boundaries of the unincorporated territory within County’s jurisdiction within which contractual assessments may be entered into under the California HERO Program (the “Program Boundaries”), which boundaries may include the entire unincorporated territory of County or a lesser portion thereof.
