Rights of suspension. In any circumstance where the Region is reasonably of the view that the Services as performed by the Operator are either not in accordance with the requirements of this Agreement or pose any unacceptable risks to the safety of patients receiving the Services, the Region may immediately suspend performance of further Services on written notice to the Operator.

Rights of suspension. (a) Subject to clauses 15.1(b) and 15.1(c), the Multiplex Licensee may suspend this Agreement or the supply of the Multiplex Transmission Service (as the case may be), if in the reasonable opinion of the Multiplex Licensee: (i) the supply of a Multiplex Transmission Service poses: (A) a threat to the life of any person; (B) a danger or hazard (or a threat of danger or hazard) to any person or to equipment or property of any person, including that of the Multiplex Licensee; or (C) an imminent threat to the normal operation, access, integrity or security of the Multiplex Transmission Service; (ii) suspension is necessary to allow the Multiplex Licensee to repair, maintain, service or replace the Multiplex Transmission Service and it is not otherwise feasible to conduct the repair, maintenance, service or replacement of the Multiplex Transmission Service in accordance with the procedures and timeframes set out in the Operational Manual; (iii) the Access Seeker suffers an Insolvency Event; (iv) there is an emergency that requires suspension of the supply of the Multiplex Transmission Service; (v) the continued operation of this Agreement or the supply of the Multiplex Transmission Service would be unlawful; (vi) to the extent necessary for the Multiplex Licensee to comply with an order, instruction or request of a Regulator, an emergency services organisation or any other competent authority; (vii) upon the occurrence of any of the events described in clause 16.1 or 16.2(b) (as the case may be), where the Multiplex Licensee, acting reasonably and having regard to the circumstances, considers that suspension provides a more appropriate course of action than termination; or (viii) the Access Undertaking is suspended pursuant to clause 2.3 of the Access Undertaking. (b) The Multiplex Licensee may only suspend this Agreement or the supply of a Multiplex Transmission Service to the extent necessary to address the reason for the relevant suspension. (c) The Multiplex Licensee must, wherever it is reasonably possible to do so: (i) notify and consult with the Access Seeker prior to the suspension of this Agreement or the Multiplex Transmission Service (as the case may be); and (ii) provide the Access Seeker with a reasonable opportunity to rectify the matter the subject of a suspension notice (or potential suspension notice) prior to suspension of this Agreement or the Multiplex Transmission Service (as the case may be).
Rights of suspension. 14.1 Chess may, at its sole discretion and without prejudice to any other right which it might have under or in connection with this Agreement, elect to immediately suspend the provision of one or more Services if Chess: 14.1.1 has reasonable grounds to consider it is entitled to terminate this Agreement; 14.1.2 has an express right in this Agreement to do so; 14.1.3 is required to do so to comply with an order, instruction or request of a court, government agency, emergency service organisation or other administrative or regulatory authority; 14.1.4 has reasonable grounds to consider that any of the Services is being used fraudulently or illegally or otherwise in violation of this Agreement (whether by the Customer or any of its users); 14.1.5 has reasonable grounds to consider that the Customer shall not or is unable to make any payment which is due or is to fall due to Chess hereunder or the Customer exceeds any credit limit set pursuant to Clause 7.12; or 14.1.6 has reasonable grounds to consider that the Customer is or has been involved or connected with criminal activity or other activity, which is or may be detrimental to Chess. 14.2 If Chess exercises its right to suspend any of the Services pursuant to Clause 14.1.3 it shall, whenever reasonably practicable, give prior notice of such suspension to the Customer, such notice to state the grounds of such suspension and its expected duration. 14.3 If a Service is suspended as a consequence of the breach, fault, act or omission of the Customer or an user, the Customer shall pay to Chess all reasonable costs and expenses incurred by Chess in the implementation of such suspension and/or recommencement of the provision of the Services. Chess shall have no obligation to perform the Services during the period of suspension. 14.4 Chess shall not be liable for any loss, damage or inconvenience suffered by the as a result of any suspension made pursuant to this Clause 14.
