Scope of Deliverables. .1 The Vendor acknowledges and agrees that, in relation to the Deliverables, the Vendor: a) shall provide the Deliverables on the applicable Date(s) Required regardless of the date of acceptance of this Agreement by the Vendor; b) shall provide the Deliverables in a competent, professional, timely and efficient manner, consistent with the Standards, Specifications and provisions of this PO Agreement; c) unless otherwise agreed to in writing by BCIT, shall be solely responsible for providing all labour, materials, supplies, Vendor’s Equipment, facilities, approval and licenses necessary or advisable to perform its obligations in this PO Agreement and any maintenance, damage, loss or theft of Vendor’s Equipment; d) warrants that neither the supply of any Deliverables to BCIT nor the use of those Deliverables by BCIT will constitute an infringement of any patent, copyright, trade-mark, trade secret or other intellectual property of any third party; e) shall obtain BCIT’s prior written approval to any changes to the Purchase Order; f) shall assign all manufacturer warranties to BCIT for products manufactured by third party manufacturers and provided to BCIT by the Vendor pursuant to this PO Agreement, and shall take all necessary steps as required by such third party manufacturers to effect assignment of such warranties to BCIT. Payment by BCIT to the Vendor under this PO Agreement be deferred, as to all or part as BCIT may require, until the foregoing has been carried out to the satisfaction of BCIT; g) will abide by the Conflict of Interest provisions in BCIT’s Code of Conduct as if the Vendor were an employee of BCIT; and h) represents and warrants that is in the business of providing the type of Deliverables described in this PO Agreement. .2 Where Date(s) Required is/are stated in the Purchase Order, timely delivery is of the essence and the Vendor will be responsible to ensure that such delivery is made, and will notify BCIT immediately in writing of any anticipated delays and the reasons therefore. .3 The Vendor and BCIT agree to work cooperatively in carrying out the obligations set out in this PO Agreement, with a view to optimizing efficiency, achieving cost reductions, ensuring safety and minimizing inconveniences. .4 It is the responsibility of the Vendor to ensure that it has obtained all necessary employment authorizations for any foreign workers and contractors. Scope of Deliverables. The Contractor must provide the Zone 3 Colocation Services (Deliverables) specified in Part B (Deliverables) of this Annexure, in accordance with the functional, performance and other requirements specified in this Annexure and any Order. Proposed Data Centre Facilities must: be located in New South Wales (NSW) or Australian Capital Territory (ACT); have an average PUE 1.6 or less; have a minimum site designed capacity of at least 1 million Voltage Amps (MVA); meet or exceed the Uptime Institutes standard for a Tier 3 Data Centre; and be certified to PSPF Zone 3 or above, or be able to demonstrate that areas within the Data Centre Facility can be uplifted to be certified to PSPF Zone 3 of that area.

  • Ownership of Deliverables Unless otherwise agreed in this Agreement, Contractor hereby assigns to the JBE ownership of all Deliverables, any partially-completed Deliverables, and related work product or materials. Contractor agrees not to assert any rights at common law, or in equity, or establish a copyright claim in any of these materials. Contractor shall not publish or reproduce any Deliverable in whole or part, in any manner or form, or authorize others to do so, without the written consent of the JBE.

  • Contract Deliverables The Contractor shall provide information technology staff augmentation services, including comprehensive management of staff, as set forth in this Contract. The term “staff” refers to the temporary staff provided by the Contractor to render information technology services identified by Customers, but that staff shall not be deemed an employee of the State or deemed to be entitled to any benefits associated with such employment. Contracts resulting from this solicitation should not be structured as fixed-price agreements or used for any services requiring authorization for payment of milestone tasks. Contractor shall only provide information technology staff augmentation services for those Job Titles awarded to the Contractor and shall be paid on an hourly basis. The Department’s intent is for Contractor’s information technology staff to provide services closely related to those described in the Job Family Descriptions document. Detailed scopes of work, specific requirements of the work to be performed, and any requirements of staff shall be provided by the Customer in a Request for Quote. The Contractor shall possess the professional and technical staff necessary to allocate, outsource, and manage qualified information technology staff to perform the services requested by the Customer. The Contractor shall provide Customers with staff who must have sufficient skill and experience to perform the services assigned to them. All of the information technology staff augmentation services to be furnished by the Contractor under the Contract shall meet the professional standards and quality that prevails among information technology professionals in the same discipline and of similar knowledge and skill engaged in related work throughout Florida under the same or similar circumstances. The Contractor shall provide, at its own expense, training necessary for keeping Contractor’s staff abreast of industry advances and for maintaining proficiency in equipment and systems that are available on the commercial market. The Contractor shall be responsible for the administration and maintenance of all employment and payroll records, payroll processing, remittance of payroll and taxes, and all administrative tasks required by state and federal law associated with payment of staff. The Contractor shall, at its own expense, be responsible for adhering to the Contract background screening requirements, testing, evaluations, advertising, recruitment, and disciplinary actions of Contractor’s information technology staff. The Contractor shall maintain during the term of the Contract all licenses, permits, qualifications, insurance and approvals of whatever nature that are legally required to perform the information technology staff augmentation services.

  • Closing Deliverables (a) At or prior to the Closing, the Seller Representative shall deliver to Holdings the following: (i) all stock certificates held by the Sellers representing the Shares, to the extent such Shares are certificated at the time of Closing; (ii) a certificate, dated the Closing Date and signed by a duly authorized officer of the Target Company, that each of the conditions set forth in Section 8.2(a) and Section 8.2(b) have been satisfied; (iii) a certificate of the Secretary (or equivalent officer) of the Target Company certifying that (a) attached thereto are true and complete copies of all resolutions adopted by the Target Company Board authorizing the execution, delivery and performance of this Agreement and the Ancillary Documents and the consummation of the transactions contemplated hereby and thereby, and (b) such resolutions are in full force and effect and are all the resolutions adopted in connection with the transactions contemplated hereby and thereby; (iv) a certificate of the Secretary (or equivalent officer) of the Target Company certifying the names and signatures of the officers of the Target Company authorized to sign this Agreement, the Ancillary Documents and the other documents to be delivered hereunder and thereunder; (v) a good standing certificate (or its equivalent) from the secretary of state or similar Governmental Authority of the jurisdiction under the Laws in which the Target Company is organized; (vi) the Consideration Spreadsheet contemplated in Section 2.6; (vii) the FIRPTA Statement; and (viii) such other documents or instruments as Holdings reasonably requests and are reasonably necessary to consummate the transactions contemplated by this Agreement. (b) At the Closing, Holdings shall deliver to Seller Representative (or such other Person as may be specified herein) the following: (i) each of the Promissory Notes made payable to each Seller and in the principal amounts set forth in the Consideration Spreadsheet, duly executed by Holdings; (ii) stock certificates representing the portion of Holdings Equity allocated to each Seller in accordance with such Seller’s Pro Rata Share, as shown in the Consideration Spreadsheet;
