Scope of Transfer. 22.1.1 The developer shall maintain the complete project for 5 year after the completion of the project. During this period the developer will constitute a Residents Welfare Association (RWA) and will hand over the project to RWA. One time maintenance amount as decided by the Government/RHB in consultation with developer will have to be deposited by developer as a corpus amount in a separate maintenance fund after completion of the project, so that maintenance work is taken care of. Contribution by allottees of the houses can also be added to the corpus. 22.2.1 The "DEVELOPER" shall, at the end of this Period, hand over to the "RWS", the Project, Project Facilities, Premises and Assets, created during this Period, free and clear of any liability, charge and / or Encumbrances created or suffered by the "DEVELOPER" after the Effective Date and before the end of Period, all of the "DEVELOPER'S" right, title and interest in and to the Project, Project Facilities, Premises and Assets created by the "DEVELOPER" on the land. The "DEVELOPER" shall also deliver to the "RWS" on such date such operating manuals, plans, designs, drawings, records, documents, books of accounts, permissions from various departments, NOC and other information as may reasonably be required by the "RWS" to enable it to continue the operation of the PROJECT.

Scope of Transfer. If the Wet Plant is to be transferred to Seller pursuant to Section 22.1 or Section 22.2, the transfer of the Wet Plant to Seller shall be undertaken as follows: (a) SSS shall assign to Seller the Wet Plant, (b) SSS shall assign to Seller the D/B Contract, not to include any liabilities of SSS to D/B Contractor arising prior to the date of assignment, and (c) SSS shall assign to Seller all related books and records, any materials, real property interests, intellectual property interests, warranties, and related assets associated with the Wet Plant (collectively, the “Handover Assets”).

Scope of Transfer. 19.1.1 The Concessionaire shall at the end of the Concession Period or earlier termination of the Concession Agreement, as the case may be, forthwith and in any case not later than 90 days from expiry or earlier termination of the Agreement, hand over to the Authority, Project Site, Project Facility and all other Assets created/installed during the Concession Period by the Authority, free and clear of any liability, charge, lien, Encumbrances along with all of the Concessionaire’s right, title and interest in the assets constructed/installed free of cost on the Project Site. The Concessionaire shall also deliver to the Authority on such date operating manuals if any, plans, design drawings and other information as may reasonably be required by the Authority to enable it to continue the operation of the Project Facility; 19.1.2 All project agreements entered by the Concessionaire in respect of the Project shall specify the Transfer Date and its corresponding effect. Failure to specify the Transfer Date and its corresponding effect in the project agreements shall not adversely affect the Authority and the Concessionaire shall be solely responsible for handover of the Project Facility along with Project Site and Assets on the Transfer Date at its own risk and cost.

Scope of Transfer. 13.1.1 The Concessionaire shall at the end of the Concession Period or earlier termination of the Concession Agreement, as the case may be, forthwith and in any case not later than 60 days from expiry or earlier termination of the Agreement, hand over to the Authority or any other entity as directed by Authority , Project Site, Project Facility and all other Assets created/installed during the Concession Period by the Authority, free and clear of any liability, charge, lien, Encumbrances along with all of the Concessionaire’s right, title and interest in the assets constructed/installed free of cost on the Project Site. The Concessionaire shall also deliver to the Authority on such date operating manuals if any, plans, design drawings and other information as may reasonably be required by the Authority to enable it to continue the operation of the Project Facility; 13.1.2 All project agreements of the Concessionaire shall specify the Transfer Date & its corresponding effect. Failure to specify the Transfer Date & its corresponding effect in the project agreements shall not adversely affect the Authority and the Concessionaire shall be solely responsible for handover of the Project Facility along with Project Site and Assets on the Transfer Date at its own risk & cost.

Scope of Transfer. The Provider provides to the Recipient Samples and associated Personal Data as specified in Attachment 1 to this Agreement. Provider confirms that for the purposes of this MTA/DTA it is entitled to supply the Samples/and or Personal Data to the Recipient and that consent covering the intended use has been obtained from the relevant Donors/Data Subjects. Recipient agrees to use Samples and/or personal Data only for the purpose/s as described in Attachment 2 to this Agreement (“Permitted Use”) and not for any other purpose. Recipient confirms that all work using the Samples/Personal Data will be carried out in compliance and in accordance with applicable laws, regulations, policies, ethical requirements and approvals applicable to the research under the Project and handling and protection of samples and/or Personal data. In the event of a withdrawal of Donor consent, Provider shall immediately inform Recipient. Recipient shall take reasonable steps to destroy Samples for a given Data Subject when the Provider informs of such Data Subject has withdrawn his or her consent. Recipient confirms that it will deal promptly and appropriately with any withdrawals by Donors/Data Subjects which Provider notify to the Recipient.

Scope of Transfer. Party B agrees to transfer all the assets of the swap station listed in Annex 1 of this contract (hereinafter referred to as “swap station assets”) to Party A, and deliver the original documents listed in Annex 2 and the test report of the equipment and facilities listed in Annex 2 together. The certificates and qualifications listed in Annex 3 are all handled by Party A by themselves. If Party B needs to cooperate in the process, Party B shall provide support.

The Concessionaire shall also deliver to the Concessioning Authority or its nominated agency on such date such operating manuals, plans, design drawings and other information as may reasonably be required by the Concessioning Authority or its nominated agency to enable it to continue the operation of the Facility either directly or by its nominated agency. The personnel of the Concessionaire shall continue to be the employees of the Concessionaire and the transfer of the Project Assets and the Facility, excluding movable assets created by him, shall not in any manner affect their status as employees of the Concessionaire and they shall have no claim to any type of employment or compensation from the Concessioning Authority or its nominated agency.

The personnel of the Concessionaire shall continue to be the employees of the Concessionaire and the transfer of the Project Assets and the Facility, excluding movable assets created by him, shall not in any manner affect their status as employees of the Concessionaire and they shall have no claim to any type of employment or compensation from the Concessioning Authority or its nominated agency. All service contracts of the Concessionaire shall specify the transfer dates & its affect. Failure to do so shall not affect either transfer date or Concessioning Authority and the handover by the Concessionaire shall be at its own risk & cost.

Scope of Transfer. 2.2.1. The assignment of IPR to Work Results by the Assignor to the Company under the Outlined Terms includes the transfer to the Company of all author’s economic rights (as defined in the copyright laws) with respect to any Work Results. 2.2.2. By such transfer the Assignor grants the Company also the right to apply for the registration, in any part of the world, of a patent or an utility model or an industrial design or any other type of registrable right with respect to any Work Results. and to become the unrestricted owner of such rights.

Scope of Transfer. The assignment of IPR by the Assignor to the Company includes the transfer to the Company of all author’s economic rights (as defined in the copyright laws) with respect to any Results The Assignor will not exercise his moral rights to the IPR against the interests of the Company. The Assignor consents that the Company may utilise the IPR to the maximum possible extent, including making any amendments or modifications. By such transfer the Assignor grants the Company also the right to apply for the registration, in any part of the world, of a patent or an utility model or an industrial design or any other type of registrable right with respect to any Results. and to become the unrestricted owner of such rights. All transfers and waivers given or made under the Agreement are exclusive, irrevocable and unconditional.
