Service and System Control. Except as otherwise expressly provided in this Agreement, as between the parties:
(a) Provider has and will retain sole control over the operation, provision, maintenance and management of the Services and Provider Materials, including the: (i) Provider Systems; (ii) selection, deployment, modification and replacement of the Service Software; and (iii) performance of Support Services and Service maintenance, upgrades, corrections and repairs; and
(b) Customer has and will retain sole control over the operation, maintenance and management of, and all access to and use of, the Customer Systems, and sole responsibility for all access to and use of the Services and Provider Materials by any Person by or through the Customer Systems or any other means controlled by Customer or any Authorized User, including any: (i) information, instructions or materials provided by any of them to the Services or Provider; (ii) results obtained from any use of the Services or Provider Materials; and (iii) conclusions, decisions or actions based on such use.
Service and System Control. Except as otherwise expressly provided in this Agreement:
5.5.1. CentralSquare has and will retain sole control over the operation, provision, maintenance, and management of the Solutions; and
5.5.2. Customer has and will retain sole control over the operation, maintenance, and management of, and all access to and use of, the Customer Systems, and sole responsibility for access to and use of the Solutions by any Person by or through the Customer Systems or other means controlled by Customer or any Authorized User, including any reports or results obtained from any use of the Solutions, and conclusions, decisions, or actions based on such use.
Service and System Control. Except as otherwise expressly provided in this Agreement, as between the parties:
(a) NCIT has and will retain sole control over the operation, provision, maintenance and management of the Services and NCIT Materials, including the: (i) NCIT Systems; (ii) selection, deployment, modification and replacement of the Service Software; and (iv) performance of maintenance, upgrades, corrections and repairs; and
(b) Licensee has and will retain sole control over the operation, maintenance and management of, and all access to and use of, the Licensee Systems, and sole responsibility for all access to and use of the Services and NCIT Materials by any Person by or through the Licensee Systems or any other means controlled by Licensee or any Authorized User, including any information, instructions or materials provided by any of them to NCIT or Subcontractors.
Service and System Control. Except as otherwise expressly provided in this Agreement, as between the parties: (a) Company has and will retain sole control over the operation, provision, maintenance, and management of the Services; and (b) Customer has the responsibility for making all arrangements necessary for Customer to have access to the Website and ensuring that all persons who access the Website through Customer’s internet connection are aware of this Agreement, the Terms of Use, and the Privacy Policy, and comply therewith.
Service and System Control. Except as otherwise expressly provided in this Agreement, as between the Parties:
(a) Licensor has and will retain sole control over the operation, provision, maintenance and management of the Services and Licensor`s Materials, including the: (i) Licensor Systems; (ii) selection, deployment, modification and replacement of the Service Software; and (iii) performance of maintenance, upgrades, corrections and repairs; and
(b) Licensee has and will retain sole control over the operation, maintenance and management of, and all access to and use of, the Licensee Systems, and sole responsibility for all access to and use of the Services and Licensor`s Materials by any Person by or through the Licensee Systems or any other means controlled by Licensee or any Authorized User, including any information, instructions or materials provided by any of them to Licensor or Subcontractors.
Service and System Control. Except as otherwise expressly provided in this Agreement, as between the Parties:
(a) CiteRight has and will retain sole control over the hosting, operation, provision, management and maintenance of the CiteRight Services and CiteRight Materials, including the: (i) CiteRight Systems; (ii) location(s) where any of the CiteRight Services are performed; (iii) selection, deployment, modification and replacement of the CiteRight Service Software; and (iv) performance of Support Services and Service maintenance, upgrades, corrections and repairs; and
(b) Customer has and will retain sole control over the operation, management and maintenance of, and all access to and use of, the Customer Systems, and sole responsibility for all access to, and use of, the CiteRight Hosted Services and CiteRight Materials by any Person by or through the Customer Systems or any other means controlled by Customer or any Authorized User, including any: (i) information, instructions or materials provided by any of them to CiteRight; (ii) results obtained from any use of the CiteRight Services or CiteRight Materials; and (iii) conclusions, decisions or actions based on such use. Notwithstanding anything to the contrary in this Agreement, all CiteRight Services, including all Processing of Customer Data by or on behalf of CiteRight, shall be provided by CiteRight solely from within, and on computers, systems, networks and other infrastructure located in Canada.
Service and System Control. Between you and GiveCentral:
(a) GiveCentral has and will retain sole control over the operation, provision, maintenance and management of the Services and GiveCentral Materials, including the: (i) GiveCentral Systems; (ii) one or more locations where any of the Services are performed; (iii) selection, deployment, modification and replacement of the Service Software; and (iv) performance of Service maintenance, upgrades, corrections and repairs; and
(b) you have and will retain sole control over the operation, maintenance and management of, and all access to and use of your information technology infrastructure, including computers, software databases, electronic systems (including database management systems) and networks, whether operated directly by you or through the use of third-party services ("Your Systems"), and sole responsibility for all access to and use of the Services and GiveCentral Materials by any of your Authorized Users.
Service and System Control. Except as otherwise expressly provided in this Agreement or as may be required for installation and maintenance of the Service Software, as between the parties:
(a) HP and its licensors and Subcontractors, as authorized, have and will retain sole control over the operation, provision, maintenance and management of the Services and HP Materials, including the: (i) HP Systems; (ii) location(s) where any of the Services are performed; (iii) selection, deployment, modification and replacement of the Service Software; and (iv) performance of Support Services (as defined below in Section 5.3) and Service maintenance, upgrades, corrections and repairs; and
(b) Customer has and will retain sole control over the operation, maintenance and management of, and all access to and use of, the Customer Systems, and sole responsibility for all access to and use of the Services and HP Materials by any Person or through the Customer Systems or any other means controlled by Customer or any Authorized User, including any: (i) information, instructions or materials provided by any of them to the Services or HP; (ii) results obtained from any use of the Services or HP Materials; and (iii) conclusions, decisions or actions based on such use.
Service and System Control. Except as otherwise expressly provided in this Agreement:
5.4.1. Superion has and will retain sole control over the operation, provision, maintenance, and management of the Superion Solutions; and
5.4.2. Customer has and will retain sole control over the operation, maintenance, and management of, and all access to and use of, the Customer Systems, and sole responsibility for access to and use of the Superion Solutions by any Person by or through the Customer Systems or other means controlled by Customer or any Authorized User, including any reports or results obtained from any use of the Superion Solutions, and conclusions, decisions, or actions based on such use.
Service and System Control. Company has and will retain sole and exclusive ownership of, and all rights, title, and interest in, Services and the Site, including without limitation (a) Intellectual Property embodied or associated therein, and (b) all derivative works and copies thereof.
