Start Date and Term. (a) Your start date (“Start Date”) will be June 1, 2013. (b) The term of your employment shall continue for an initial period of five (5) years from your Start Date (the “Initial Term”). The Initial Term shall be extended thereafter for consecutive one (1) year terms (each a “Renewal Term”) at the end of the Initial Term and on each anniversary thereof unless the Company or you provide written notice to the other no less than sixty (60) days prior to the expiration of the Initial Term or Renewal Term, as applicable, that it or he does not desire such an extension. Notwithstanding the foregoing, your employment hereunder may be earlier terminated in accordance with Section 5 hereof. The date on which your employment hereunder shall terminate, for any reason, including, but not limited to, the non-extension of the Initial Term or a Renewal Term, as applicable, or a termination pursuant to Section 5, shall be referred to herein as the “Termination Date.” The period of time between the Start Date and the Termination Date shall be referred to herein as the “Term.”

The Company will inform the Employee without undue delay once the closing of the Transactions has occurred. Subject to the automatic termination as outlined above, this Agreement is concluded for an indefinite term. It may be terminated by either party upon nine months’ notice, effective as of the end of the month.

Start Date and Term. The Corporation agrees to employ the Executive and the Executive agrees to become employed with the Corporation on the terms and conditions set out in this Agreement commencing on May 8, 2008 (the “Start Date”). The Executive’s employment ends on the earliest of: (i) the date his employment is terminated pursuant to this Agreement; (ii) the first anniversary of the Start Date (unless the parties enter into a written agreement to extend this date); or (iii) the date a new Chief Executive Officer of the Corporation commences employment (the “Termination Date”).
Start Date and Term. (a) You have been employed since 1 January 2000 under another employment agreement and from 17 September 2013 (the “Effective Date”) the terms of this agreement will apply and replace all previous employment agreements. (c) You represent and warrant that: (i) you are not bound by or subject to any court order, agreement, arrangement or undertaking which in any way restricts or prohibits you from entering into this Agreement or from performing your duties under this Agreement; (ii) you are entitled to work in Switzerland and will continue to be so entitled throughout your employment with the Company; (iii) if you cease to be entitled to work in Switzerland you will inform the Company of such fact at soon as you become aware of it.
