Subcontractor Relationship. Ricoh acknowledges that Dealer, from time to time, may authorize subcontractors having complimentary and qualified skills to assist Dealer in promoting and obtaining project work opportunities for Services to Dealer customers. Ricoh desires to provide its professional skills and expertise to Dealer and its customers, and Dealer, as prime contractor, desires to engage Ricoh, as subcontractor, for such purpose.
Subcontractor Relationship. Nothing in this Agreement or otherwise shall create any contractual relationship between Federal and any Subcontractor of Hawker and no Sub-Contract shall relieve Hawker of its obligations should the Subcontractor fail to perform in a satisfactory manner. Hawker shall be responsible to Federal for all acts and omissions of persons directly or indirectly employed by Hawker in connection with the performance of the Services, including its Subcontractors, and Hawker shall insure the cooperation of all such persons with Federal for the expeditious, correct and satisfactory performance of the Services.
Subcontractor Relationship. The Rifter shall perform pursuant to the terms and conditions specifically set forth in this agreement and the session terms. In the session of a conflict between this agreement and the session terms, the terms and conditions of this agreement shall prevail. The Rifter, acting as an independent contractor and not as an agent for Rift, shall furnish all supplies, personnel and services and all things necessary for, or incident to, performance of the session, for the consideration designated in our published fee policy. It is understood and agreed that the Rifter shall not be considered Xxxx’s employee. Accordingly, the Rifter shall have sole responsibility for paying taxes applicable to the fees received by the Rifter and other amounts due under applicable laws and regulations.
Subcontractor Relationship. (a) The Parties agree that a Cooperating Party shall perform the Subcontracted Work on behalf of the Contracted Party, and shall not directly invoice the Identified Client for any work performed in connection with the Qualifying Project or discuss, negotiate or enter into any independent business arrangement with the Identified Client during the Project Exclusivity Period without the prior written consent of the Contracting Party. (b) The Parties agree that a Contracting Party shall have no obligations under this Agreement to the Cooperating Party under the following circumstances: (i) if a Project Invitation Notice is not executed by each of the Parties; (ii) upon the expiration or termination of the Right of First Offer; (iii) if the Contracting Party is not ultimately engaged by, or fails to enter into a binding arrangement with, the Identified Client with respect to a Qualifying Project. Absent the Contracting Party having been found guilty of gross negligence or intentional misconduct by the Identified Client, and as a result thereof the Identified Client having the right to withhold payment owed to the Contracting Party in connection with the Qualifying Project, the Contracting Party shall have no obligation to pay the Cooperating Party for the Subcontracted Work until the Contracting Party has actually received payment in full from the Identified Client for the Subcontracted Work performed by the Cooperating Party. (c) In connection with each Qualifying Project, each Party shall use its reasonable best efforts to: (i) conduct its business in a manner that reflects favorably at all times on the good name, goodwill and reputation of the Parties; (ii) avoid deceptive, misleading or unethical practices that are or might be detrimental to either Party, the Identified Client or the public; (iii) make no false or misleading representations to an Identified Client or any third party with regard to either Party; and (iv) not publish or employ, or cooperate in the publication or employment of, any misleading or deceptive advertising material with regard to either Party or engage in any activity or business transaction which could be considered unethical. (d) Each party shall comply, at its own expense, with the provisions of all applicable municipal requirements and those state, federal, and foreign laws and regulations that may be applicable to the performance of its obligations under this Agreement or with respect to any Qualifying Project and shall obtain ...
Subcontractor Relationship. Teacher has entered into a relationship with SOM, whereby SOM has contracted with Teacher to provide Services to SOM's clients or, as each situation may require, to assist SOM in providing said Services. It is specifically agreed and understood that all payment received from said clients for aforesaid Services shall be the sole property of SOM. All invoices, reports, documents, customer lists, trade secrets, proprietary information, contracts, or other documents which in any manner relate to Teacher's contracts with SOM's clients or SOM's communication of information to Teacher remain and are the sole property of SOM. Subcontractor Relationship. This Agreement covers the installation and provision of Services by Polar and the provision of Alarm Monitoring provided to you by Polar as an authorized dealer of a third‐party entity (“Subcontractor”). By signing this Agreement you understand that Polar is not itself a provider of Alarm Monitoring and you agree that the terms governing such Alarm Monitoring services are exclusively provided through a separate contract executed between you and the Subcontractor providing Alarm Monitoring services. In the event that either Polar or its Subcontractor notifies you that the Subcontractor is terminating its Alarm Monitoring, Polar reserves the right to offer you a replacement contract either directly or through a new Subcontractor. If you chose not to execute a replacement contract for Alarm Monitoring within 10 days of being offered such contract, Early Termination charges will apply.
Subcontractor Relationship. The Parties agree that neither Party is by this Agreement constituted or appointed the legal representative or agent of the other Party, and that neither Party has the right or authority to make directly or indirectly on behalf of the other Party any representation, warranty, guarantee, or commitment, or to assume, execute, or incur any liability or any obligation of any kind, whether express or implied. Subcontractor will not be eligible to participate in any vacation, group medical or life insurance, disability, profit sharing or retirement benefits, or any other fringe benefits or benefit plans offered by  Prime to its employees, and  Prime will not be responsible for withholding or paying any income, payroll, Social Security, or other federal, state, or local taxes, making any insurance contributions, including for unemployment or disability, or obtaining workers' compensation insurance on Subcontractor's behalf. Subcontractor will be responsible for, and will indemnify  Prime against, all such taxes or contributions, including penalties and interest. Any persons employed or engaged by Subcontractor in connection with the performance of the Services will be Subcontractor's employees or contractors and Subcontractor will be fully responsible for them and indemnify  Prime against any claims made by or on behalf of any such employee or contractor. Subcontractor will be free from direction and control over the means and manner of providing the Services, subject only to the right of  Prime to specify the desired results. Subcontractor will furnish any tools or equipment necessary for the performance of the requested Services, and Subcontractor has the authority to hire and fire employees who perform the Services.
Subcontractor Relationship. Nothing contained herein or in any agreement between Contractor and a Subcontractor or vendor shall create (1) any contractual relationship between the Authority and any Subcontractor at any time, or (2) any third-party beneficiary rights in any Subcontractor at any time. Contractor shall at all times be responsible for the work and conduct of its Subcontractors at any tier while performing services pursuant to this Agreement and shall ensure that its Subcontractors comply with all applicable terms and conditions of this Agreement. Nothing herein shall negate any rights of the Authority based upon a separate agreement with any Subcontractor or under any warranty under any agreement which is assigned to the Authority.
