Subtenant’s Covenants. The Subtenant acknowledges having received and read a copy of the Head Lease and covenants and agrees with the Sublandlord: (a) to perform all of the obligations of the Tenant under the Head Lease. (b) to abide by any rules and regulations governing the use of the Premises and the Building appended to the Head Lease, as the same may be amended from time to time; (c) to pay Rent and perform all of the obligations of the Subtenant under this Sublease; (d) not to do or omit to do any act in or around the Sublet Premises which would cause a breach of the Sublandlord’s obligations as Tenant under the Head Lease; (e) to promptly pay when due to the authorities having jurisdiction all Taxes (whether imposed upon the Subtenant or otherwise) attributable to the personal property, trade fixtures, business, income, or occupancy of the Subtenant or any other occupant of the Sublet Premises and to any leasehold improvements or fixtures within the Sublet Premises, and to the use by the Subtenant or its officers, employees, and invitees of any of the Common Facilities; and (f) to indemnify and save harmless the Sublandlord against and from any and all expenses, costs, damages, suits, actions, or liabilities arising or growing out of the failure of the Subtenant to perform any of its obligations hereunder and from all claims and demands of every kind and nature made by any person or persons to or against the Sublandlord for all and every manner of costs, damages, or expenses incurred by or injury or damage to such person or persons or his, her, or their property, to the extent such claims or demands arise out of the use and occupation of the Sublet Premises by the Subtenant or its officers, employees, or any other person authorized or permitted by the Subtenant to be on the Sublet Premises or in or about the Building or any of the above-mentioned, and from all costs, counsel fees, expenses, and liabilities incurred by reason of any such claim or any action or proceeding brought thereon.

Subtenant’s Covenants. Subtenant covenants to Sublandlord to perform all of the covenants and obligations to be performed by Sublandlord as Tenant under the Prime Lease as the same relate to the Subleased Premises and to comply with this Sublease and the applicable provisions of the Prime Lease, as modified by this Sublease, in all respects (including, without limitation, complying with all OSHA, environmental and other applicable laws, regulations and standards). If Subtenant shall fail to make any payment or perform any act required to be made or performed by Subtenant under the Prime Lease pursuant to Subtenant's assumption of Sublandlord's obligations thereunder as they relate to the Subleased Premises, and such default is not cured by Subtenant at least three (3) business days prior to the expiration of such Prime Lease cure period, Sublandlord, without waiving or releasing any obligation or default hereunder, may (but shall be under no obligation to) make such payment or perform such act for the account and at the expense of Subtenant, and may take any and all such actions as Sublandlord in its sole discretion deems necessary or appropriate to accomplish such cure. If Sublandlord shall reasonably incur any expense in remedying such default, Sublandlord shall be entitled to recover such sums upon demand from Subtenant as Additional Rent under this Sublease.
Subtenant’s Covenants. Subtenant covenants and agrees that Subtenant will not do anything which would constitute a default under the Xxxxxxxxx or omit to do anything which Subtenant is obligated to do under the terms of this Sublease and which would constitute a default under the Xxxxxxxxx.

In the event of the termination of the Sublandlord's interest as tenant under the Lease for any reason, then this Sublease shall terminate coincidentally therewith and, without any liability of the Sublandlord to the Subtenant, except where such termination of this Sublease arises from or is a result of the non-performance or breach of the terms, covenants and conditions of the Sublandlord under paragraph 7 hereof.

Subtenant’s Covenants. Subtenant shall not (without Owner’s prior written consent): (a) Pay any rent or additional rent more than one month in advance to any sublandlord under the Sublease (including Sublandlord); or (b) Terminate or surrender the Sublease, except as expressly provided in the Sublease (subject, however, to the provisions of this Agreement); or (c) Enter into any amendment or other agreement relating to the Sublease; or (d) Assign the Sublease or sublet any portion of the Sublet Premises, except as provided in the Sublease.
Subtenant’s Covenants. The Subtenant covenants with the Sublandlord: (a) pay Base Rent as provided herein; (b) to pay Additional Rent and any other amounts to the Sublandlord (or in accordance with its direction) as the Sublandlord is required to pay to the Head Landlord under in the Head Lease; (c) to keep the Premises clean and in good and tenantable condition in accordance with the Head Lease; (d) to repair the Premises in accordance with the Sublandlord's obligations under the Head Lease; (e) to observe and perform all covenants and obligations of the Subtenant under this Sublease; (f) not to do or omit to do any act or thing upon the Premises which would cause a breach of any of the Sublandlord's obligations under the Head Lease; (g) to perform or cause to be performed all of the covenants of the Sublandlord, as tenant, under the Head Lease as if it were the tenant thereunder including, without limitation, the performance of the Sublandlord's obligations with respect to the Premises; and (h) to provide to the Sublandlord all such information and documentation as the Sublandlord may reasonably require from time to time so as to permit the Sublandlord to monitor compliance by the Subtenant with the Head Lease.
Subtenant’s Covenants. All work shall be performed in conformity with a valid building permit when required, a copy of which shall be furnished to Sublandlord prior to the commencement of the work; (b) All work shall be performed in accordance with the reasonable rules and regulations of Prime Landlord which shall be applied uniformly to all contractors working in the Building; (c) Subtenant’s contractors’ construction material, tools equipment, and debris shall be stored on or within the Subleased Premises, or in areas reasonably designated for that purpose by Sublandlord. Subtenant will be responsible for all clean up with respect to the Subtenant Improvements, whether in the Subleased Premises themselves or in other areas utilized by Subtenant or its contractors, and agrees to reimburse Prime Landlord for any and all expenses incurred by Prime Landlord by reason of or as a result of inadequate clean up; (d) Construction of the Subtenant Improvements shall comply with all applicable laws and shall be subject to the general inspection of Sublandlord. 3.
