Supervision and Compensation. PMC shall select, employ, pay, supervise, direct and discharge all the personnel providing Termination Assistance Services under this Article XI. PMC shall be solely responsible for the payment of all benefits and any other direct and indirect compensation for PMC personnel assigned to perform services under this Article XI, as well as such personnel’s worker’s compensation insurance, employment taxes, and other employer liabilities relating to such personnel as required by law. PMC shall be an independent contractor in connection with the performance of Termination Assistance Services hereunder and the employees performing Termination Assistance Services in connection herewith shall not be deemed to be employees of the Cendant Member or any affiliate thereof.
Supervision and Compensation. Cendant Operations shall select, employ, pay, supervise, direct and discharge all the personnel providing Services hereunder. Subject to Section 1.7, Cendant Operations shall be solely responsible for the payment of all benefits and any other direct and indirect compensation for Cendant Operations personnel assigned to perform services under this Agreement, as well as such personnel’s worker’s compensation insurance, employment taxes, and other employer liabilities relating to such personnel as required by law. Cendant Operations shall be an independent contractor in connection with the performance of Services hereunder and the employees performing Services in connection herewith shall not be deemed to be employees of Xxxxxx Express.
Supervision and Compensation. Bio-Vascular will employ, pay, supervise, direct and discharge all Bio-Vascular personnel providing Services. Bio- Vascular will be solely responsible for the payment of benefits and any other direct and indirect compensation for Bio-Vascular personnel assigned to perform Services. Bio-Vascular also agrees to be responsible for the employees' worker's compensation insurance, employment taxes and other employer liabilities relating to such personnel.
Supervision and Compensation. A. Oneida Police Department Officers acting pursuant to this Agreement shall remain employees of the Nation and shall remain under the control and supervision of the Nation and the Oneida Police Department. Oneida Police Department Officers are not employees of the City of Green Bay. The Nation shall remain responsible for its employees’ salaries, insurance, and civil liability. Each Oneida Police Department Officer shall be deemed to be performing regular duties of the Oneida Police Department while performing services for the City pursuant to this Agreement. Oneida Police Department Officers shall not represent themselves as Officers of the Green Bay Police Department.
X. Xxxxx Bay Police Department Officers acting pursuant to this Agreement shall remain employees of the City and shall remain under
Supervision and Compensation. Avis Fleet shall select, employ, pay, supervise, direct and discharge all Avis Fleet personnel providing Services hereunder. Subject to Section 3.01, Avis Fleet shall be solely responsible for the payment of all fringe benefits and any other direct and indirect compensation for Avis Fleet personnel assigned to perform services under this Agreement, as well as be responsible for their worker's compensation insurance, employment taxes, and other employer liabilities relating to such personnel as required by law to be provided. Avis Fleet shall be an independent contractor in connection with the performance of Services hereunder and none of Avis Fleet's employees performing services in connection therewith shall be deemed employees of PHH.
Supervision and Compensation. For hourly technical support services, the Parties will assign responsibilities as between ITS and Contractor for supervision, direction and control of assigned personnel. In all cases, Contractor will be responsible for compensation of its personnel.

The Services shall be performed by the personnel as set forth more particularly in Exhibit C, attached hereto and incorporated herein by reference (the "Assigned Personnel"). BUYER shall have general oversight of the Services with a particular focus on the transition of Company clients to BUYER's platform. SELLER shall employ, pay and supervise Assigned Personnel. SELLER shall be solely responsible for the payment of all benefits and any other direct and indirect compensation for Assigned Personnel, as well as be responsible for their worker's compensation insurance, employment taxes, and other employer liabilities relating to such personnel as required by law to be provided. SELLER shall be an independent contractor in connection with the performance of Services hereunder and none of the Assigned Personnel shall be deemed employees of BUYER or COMPANY.

Subject to Section 3.01, Cendant shall be solely responsible for the payment of all benefits and any other direct and indirect compensation for Cendant personnel assigned to perform services under this Agreement, as well as be responsible for their worker's compensation insurance, employment taxes, and other employer liabilities relating to such personnel as required by law to be provided. Cendant shall be an independent contractor in connection with the performance of Services hereunder and none of Cendant's employees performing services in connection therewith shall be deemed employees of Avis Fleet.
Supervision and Compensation. Mayo and its Affiliates providing Services hereunder will have the right, in their discretion, to designate which personnel will be assigned to perform or provide the Services, including the right to remove and replace any such personnel at any time or to designate an Affiliate or a Third Party to perform or provide any or all of the Services. Except as otherwise set forth in this Agreement, Mayo shall be solely responsible for the payment of all benefits and any other direct and indirect compensation for Mayo personnel assigned and compensation to Third Parties engaged by Mayo to perform Services.
Supervision and Compensation. The Company will employ, pay, supervise, direct and discharge all Company personnel. The Company will be solely responsible for the payment of wages, salaries, benefits and any other direct and indirect compensation for Company personnel. Accordingly, the Company understands and agrees that it will be responsible for the Company's employees' worker's compensation insurance, employment taxes and other employer liabilities relating to such personnel. The Company expressly understands and agrees that it will be required to give all notifications to its employees as required by the WARN Act from time to time under this Transition Agreement. It is further expressly agreed that if the Company determines to terminate any of Company employees during the term of this Transition Agreement or thereafter, the Company shall be responsible for any WARN obligations and notifications and employee payments and costs required during any notice period; provided, however that if this Transition Agreement is terminated or altered in such a way as to change the timing of the WARN Act requirements (as determined by the Company) prior to July 31, 1997 as a result of Purchaser's request or conduct, Purchaser shall be responsible for any and all costs and expenses arising from the delivery of late WARN Act violations.
