Supervision of Participants. TEAM shall be responsible for the supervision of its participants. TEAM shall also be responsible for providing all necessary and appropriate safety instructions for participation in the event. If TEAM’s participants are under age 18, it shall be the TEAM’s responsibility to provide adult supervision at all times for participants.
Supervision of Participants. Subject to DSHS’ overall supervisory responsibility for any client services at Texas HHS facilities, the supervision of all participants, including, but not limited to, the welfare, control, discipline, and activities of all participants, will be the sole responsibility of Institution, and Institution shall make uniform and adequate provisions in accordance with Institution and DSHS policies. However, subject to Institution’s overall responsibilities mentioned in this Section, DSHS will assist Institution in providing a supervised learning experience for participants in accordance with the learning objectives, skill development areas, and intended learning outcomes mutually determined by both Parties.
Supervision of Participants. (i) VSC is solely responsible for VSC participants during all use times. All VSC participants will be under the direct supervision of either a parent/legal guardian or VSC personnel while in the Aquatic Center. No VSC participant is allowed in the pool facilities, including the pool deck, or in the locker rooms until the required supervision is present. VSC should instruct participants that if they arrive prior to a use time, that they are required to wait in the Aquatic Center lobby area until they are under direct supervision. VSC participants who are Community Center members are permitted to wait in and use other areas of the Center while they are waiting to be escorted to the pool facilities, in accordance with Center policies. (ii) If VSC participants are witnessed acting in an unsafe manner, or violating Center rules, on-site VSC personnel will be notified. If the unsafe or violative activities continue, it is the parties' intent to work together to address those activities. Borough staff will follow Center conduct policies in regard to those activities. If this does not permanently rectify the issue, the Borough reserves the right, at its discretion, to prohibit an offending participant's presence at the Center, or to impose additional staffing charges necessary to monitor the conduct of VSC participants, in accordance with paragraph 3(B)(vi). (iii) VSC shall ensure that all participants leave the Center at the end of each use, excepting a participant's use of the Center for personal use in accordance with the facility's membership rules. (iv) VSC is solely responsible for the collection of any VSC fees from participants, guests or invitees.

Supervision of Participants. A minimum of one adult per room (generally, one adult for every 8-10 participants) is required for overnight programs. The Ramapo staff member leading the program will determine the exact number of staff needed to supervise your group based on your accommodations. A minimum of one adult supervisor per 15 children is required for day programs. You are responsible for the active supervision of your group, participants, and staff during your entire stay. This includes remaining with your group at all activities and being accountable throughout the night. Quiet hours will be announced upon arrival and are enforced by supervising staff. All participants are required to remain in their housing buildings at night, unless supervised by a Ramapo staff member. Ramapo for Children maintains the right to request that groups with participants younger than 3 years of age provide adult supervision for these participants. Participants will be oriented upon arrival. An additional orientation for staff will occur shortly after the group’s arrival to discuss supervision of participants.

  • Provision of Services by the Administrator The Administrator shall directly, or indirectly through one or more Affiliates (as defined below) or third parties as described in Section 1(b), engage and maintain personnel for the purpose of providing the following services (collectively, the “Services”) to the Issuer and Masterworks Cayman: (i) Artwork-Level Services, including: (A) custodial and storage services for the Artwork; (B) maintaining asset-level insurance requirements for the Artwork; (C) managing transport for the Artwork in the ordinary course of business, including the display and exhibition thereof; (D) research services; (E) appraisal and valuation services; and (F) other services deemed necessary or appropriate by the Administrator at its discretion to maintain the Artwork; (ii) Entity-Level Services for the Issuer and Masterworks Cayman, including: (A) oversight and management of banking activities; (B) management of preparation and filing of SEC and other corporate filings; (C) financial, accounting and bookkeeping services, including retention of an auditor for the Issuer; (D) record-keeping, shareholder registrar, investor relations and regulatory compliance; (E) providing listing services, subject to the applicable law; (F) tax reporting services; (G) bill payment; (H) selecting and negotiating insurance coverage for the Issuer and Masterworks Cayman, including operational errors and omissions coverage and directors’ and officers’ coverage; (I) maintain the Issuer’s stock ledger and coordinating activities of the Issuer’s transfer agent, escrow agent and related parties; (J) software services; and (K) services related to Templum ATS trading. (iii) Non-Routine Services, including: (A) legal and professional transactional services; (B) negotiation of terms of potential sale of the Artwork or the Issuer and the execution thereof; (C) obtaining appraisals and statements of condition in connection with a sale transaction relating to the Artwork; (D) other transaction-related services, cost, payments and expenditures relating to the Artwork or the Issuer; (E) administrative services in connection with liquidation or winding up of the Issuer and Masterworks Cayman; (F) managing litigation, judicial proceedings or arbitration, including the defense and or settlement of any claims (regardless of whether or not the Issuer is named as a defendant or party in any such claim); (G) Conservation, restoration (as deemed necessary by the Administrator), reframing and other expenditures that increase the value of the Artwork; and (H) other non-routine or extraordinary services.

  • Compensation of the Adviser For all of the services to be rendered and payments to be made as provided in this Agreement, as of the last business day of each month, the Fund will pay you a fee at the annual rate of 1.50% of the average value of its daily net assets. The average value of the daily net assets of the Fund shall be determined pursuant to the applicable provisions of the Declaration of Trust of the Trust or a resolution of the Board, if required. If, pursuant to such provisions, the determination of net asset value of the Fund is suspended for any particular business day, then for the purposes of this paragraph, the value of the net assets of the Fund as last determined shall be deemed to be the value of the net assets as of the close of the business day, or as of such other time as the value of the Fund's net assets may lawfully be determined, on that day. If the determination of the net asset value of the Fund has been suspended for a period including such month, your compensation payable at the end of such month shall be computed on the basis of the value of the net assets of the Fund as last determined (whether during or prior to such month).

  • Retention of the Administrator The Trust hereby retains the Administrator to act as the administrator of the Portfolios and to furnish the Portfolios with the management and administrative services as set forth in Article 2 below. The Administrator hereby accepts such employment to perform the duties set forth below. The Administrator shall, for all purposes herein, be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent the Trust in any way and shall not be deemed an agent of the Trust.

  • Delegation of Services The Administrator may, at its expense, delegate to one or more entities some or all of the services for the Fund for which the Administrator is responsible under this Subcontract. The Administrator will be responsible for the compensation, if any, of any such entities for such services to the Fund, unless otherwise agreed to by the parties or with the Fund. Notwithstanding any delegation pursuant to this paragraph, the Administrator will continue to have responsibility and liability for all such services provided to the Fund under this Subcontract.
