Supplemental Programs. In addition to the Educational Services, Administrative Services and Technology Consulting Services provided by Manager to the School, the Parties may agree that Manager will provide additional services, terms of which shall be determined on a case- by-case basis, which may benefit the School by increasing its exposure in the community including, but not limited to, pre-kindergarten, summer school, academic camps, before and after school programs, vocational training, and latch-key programs to students and non-students of the School (the “Supplemental Programs”), provided that nothing herein shall require Manager to provide any such Supplemental Programs. If either Party proposes a Supplement Program, the Parties shall consider the same in good faith and, if the same be agreeable to both Parties, work cooperatively with each other to facilitate the Supplement Program’s development and implementation.

Supplemental Programs. It is acknowledged by Presenter that unless otherwise agreed to in writing by Sponsor, Presenter shall not participate in any supplemental program or event to be associated with the contracted program in such manner that it may be reasonable inferred that its engagement in such activities are being promoted or authorized by Sponsor, or that such activities are in any way a part of the contracted program. For it part, Sponsor, through its agent, at the time of the contracted program shall make known to the public by oral and/or written disclaimer that its promotion and authorization of the contracted program is restricted solely to the contracted program and that Sponsor shall not be bound by assertions made by anyone else to the contrary.
Supplemental Programs. The Company (or its subsidiaries) may produce and/or acquire programs whose primary use is exhibition on one or more of the Channels ("Supplemental Programs"). The Company will engage in such production or acquisition of Supplemental Programs in conjunction with PTV U.S., which will obtain the United States distribution rights, if any, to such programs. PTV U.S. will grant to PEGI the right to distribute such programming in the United States pursuant to the US Distribution Agreement. The budget for the production/acquisition cost of Supplemental Programs for each Fiscal Year will be set forth in the Annual Budget for such Fiscal Year; provided that such budget will not be less than $1,500,000. The Supplemental Programs will be consistent with the content, style and production values of the Existing Library Programs and the Output Programs provided by PEGI to the Company pursuant to the Program License Agreement. Upon dissolution of the Company, the Supplemental Programs will become property of PEGI, for a price to be negotiated by PEGI and the Company; provided that if the parties cannot reach agreement, the price will be determined through the dispute resolution procedure set forth in Article 16.
Supplemental Programs. The School Board agrees that the School will provide supplemental programs to students as presented in its Final Approved Application. The School Board agrees that the School will comply with all state and federal legal requirements in providing such programs, including, but not limited to, Title I of the ESEA and chapter 392-162 WAC (Special service program—Learning assistance) and chapter 392-164 WAC (Special service program—Chapter 1 Migrant of the Education Consolidation and Improvement Act of 1981).

Supplemental Programs a. DSL shall develop and administer supplemental programs (including “middle- tier” and “select”) and/or enter into service agreements with other third party non-profit organizations (collectively referred to as “Organizations”) for the purpose of ensuring programing options beyond what is considered general recreation as set forth herein. In the event that Dublin City School’s offer supplemental programs, those programs should receive priority as Dublin City School’s would be Dublin’s preferred provider.
b. Any Organizations providing services hereunder shall be organized exclusively for charitable, religious, educational, and scientific purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code. All Organizations shall be required to maintain a non-profit status and assure continued non-profit status during the entire term of any agreement with DSL.
c. DSL shall be prohibited from entering into or renewing any third party agreement until DSL and Dublin have received and reviewed copies of the Organizations’ financial status and 501(c)(3) status. Additionally, any sponsorship or any other agreements between the Organizations and any for- profit business are subject to review and approval of DSL.
d. Any and all Organizations, and their respective agreements, are subject to review and the approval of Dublin, in their sole discretion. If any event occurs which calls into question the financial standing or non-profit status of any of the Organizations, Dublin reserves the right to withdraw its approval and immediately terminate any agreement.
