Supplier Assistance. In the event requirements are not completely clear, or where special assistance is needed, Xxxxxx Machine Company LLC will provide qualified personnel to consult with the Supplier. Requests for assistance shall be made via the Xxxxxx Machine Company LLC’s Buyer or Quality Systems Department. If inquiries pertain to quality aspects of supplies or services being procured, Xxxxxx Machine Company LLC’s Procurement Quality Assurance Organization may be contacted.
Supplier Assistance. In the event that requirements are not completely clear, or where special assistance is needed, STRATA-G will provide personnel to consult with the Supplier. All communication and request for assistance shall be made via the STRATA-G Purchasing Department.
Supplier Assistance. The Supplier may, in its sole discretion, furnish to the Distributor marketing and promotional materials, with or without charge, in accordance with its national program for such materials. In the event that the Supplier receives requests for information relating to or purchase orders for the Products from customers or potential customers within the Territory, the Supplier shall promptly forward such requests or purchase orders to the Distributor.
Supplier Assistance. Supplier will work with Sprint and its third party suppliers and use its best efforts to ensure that (i) the Equipment operates and interoperates with the equipment provided by third parties and the System as a whole and (ii) the System operates in a manner that it will achieve Substantial Completion and Final Acceptance.
Supplier Assistance. At Sprint's request, Supplier will execute any papers or documents reasonably necessary to protect the rights of Sprint in the Sprint Marks and execute and deliver such other documents as may be reasonably requested by Sprint.
Supplier Assistance. (a) Upon receipt of a request for technical assistance from Sprint, the nature of the problem will be identified by Sprint, and a priority assigned by Sprint (upon discussion with Supplier which in no event will require the agreement and/or consent of Supplier).
(b) Following attempted corrective actions by Sprint in accordance with applicable operating and maintenance manuals provided by Supplier, when Supplier is notified by Sprint that the System or any part thereof fails to operate in accordance with the Specifications, Supplier will promptly commence and diligently pursue all reasonable efforts to correct the Defect.
(c) Supplier's correction of Defects in the System may take the form of new software codes, new or supplementary operating instructions or procedures, modifications of the software codes in Sprint's possession, or any other commonly used method for correcting software Defects, as Sprint and Supplier deem appropriate.
(d) When appropriate, Supplier will provide non-emergency technical support to Sprint via telephone, facsimile transmission, modem, or other acceptable means during Sprint's normal business hours.
(e) Supplier will provide emergency technical assistance to Sprint via a telephone number designated to Sprint in advance by Supplier, 24 hours per day, 365 days per year.
(f) Supplier will provide remote intervention and assistance capability to Sprint for remotely accessing operating Systems. Upon mutual agreement between the Parties, Supplier may remotely access operating Systems for the purpose of technical assistance.
Supplier Assistance. The Supplier agrees to give the Purchaser all assistance reasonably requested for any purpose associated with the Purchase Order or any review of the Supplier’s performance under the Purchase Order. This will include, but is not limited to, access to premises, material, records and personnel associated with the Goods and/or Services and the Agreement.
Supplier Assistance. As requested by Client, Supplier shall assist Client in defining information technology architectures and standards on an ongoing basis and in preparing long-term strategic information technology plans and short-term implementation plans on an annual basis. The assistance to be provided by Supplier shall include (1) active participation with Client representatives on permanent and ad-hoc committees and working groups addressing such issues; (2) assessments of the then-current information technology architectures, standards and systems; (3) analyses of the appropriate direction for such architectures, standards and systems in light of business priorities, business strategies and competitive market forces; and (4) recommendations regarding information technology architectures and platforms, software and hardware products, information technology strategies and directions, and other enabling technologies. With respect to each recommendation, Supplier shall provide: (A) cost projections and cost/benefit analyses; (B) the changes, if any, in the personnel and other resources required to operate and support the changed environment; (C) the resulting impact on Client’s information technology costs; (D) the expected performance, quality, responsiveness, efficiency, reliability and other service levels; and (E) high level plans and high level projected time schedules for development and implementation. To the extent the foregoing Services are not defined as being in- scope under a Service Agreement, such Services may be subject to the payment of additional Charges by Client.
Supplier Assistance. In the event of a Supply Failure Purchaser shall be entitled to select, at its sole discretion, an Alternate Supplier, and Supplier shall provide assistance and cooperation in accordance with Article 3.9.2.
Supplier Assistance. Company shall promptly provide Supplier network access to the appropriate install sites and configuration information for the related network equipment so that Supplier has a reasonable opportunity to diagnose and resolve Product issues within agreed upon service levels. Upon request, Company shall also provide reasonable access to all necessary personnel to answer questions about any problems reported by Company regarding the Products. Company shall promptly implement all Updates and error corrections provided by Supplier hereunder.
