SUPPLY OF PLACEMENT SERVICES AND CONTRACTOR SERVICES. 6.1 In consideration for the payment of the Maximum Contract Sum, the Supplier shall: 6.1.1 during the Contract Period, supply the Placement Services in accordance with the Customer's requirements, the Minimum Service Standard and in accordance with the obligations imposed on the Supplier in the Framework Agreement; 6.1.2 procure that the Contractor carries out the Contractor Services; and 6.1.3 ensure that the Contractor Conditions or provisions substantially similar to them are reflected in a written contract between the Supplier and the Contractor ("Contractor Agreement") and in the event that the Contractor Agreement includes other provisions then the Supplier shall ensure that the Contractor Agreement provides that the Contractor Conditions prevail over such other provisions. 6.2 If so requested by the Customer from time to time, the Supplier shall promptly provide the Customer with a copy of the Contractor Agreement. The Supplier shall notify the Customer if any variations are made to the Contractor Agreement after the Effective Date and if so requested by the Customer shall promptly provide to the Customer a copy of the Contractor Agreement as varied. 6.3 If so requested by the Customer from time to time, the Supplier shall procure that the Contractor enter into: 6.3.1 a direct confidentiality agreement with the Customer on terms substantially similar to those set out in clause 17.6 (Confidentiality); and/or 6.3.2 a direct agreement with the Customer on terms substantially similar to those set out in schedule 5 (Direct Contract) or such other terms as the Customer may notify to the Supplier from time to time. 6.4 The Supplier shall procure that the Contractor Agreement includes: 6.4.1 a provision which reserves for the Customer third party rights under the Contracts (Rights of Third Parties) Act 1999 which permit the Customer to enforce the terms of the Contractor Agreement as if it were the Supplier and the Supplier shall provide the Customer with such assistance as it may require from time to time in order to exercise such right including to enforce the Contractor Conditions. 6.4.2 A provision that permits the Customer to require the Contractor to provide the Customer with all information required to demonstrate that the Contractor complies and continues to comply with all obligations imposed upon them by the Contractor Legislation.   • Contractor Services Emerald has contracted, on an exclusive basis, with official contractors to provide certain services for the Event. Service companies other than the official contractors will not be allowed to perform any of these exclusive services. Non-exclusive services may be performed by exhibitor-appointed contractors (“EACs”) within certain guidelines. Please refer to the Exhibitor Service Manual for a listing of exclusive services and EAC guidelines.

  • Construction Management Services a. A-E may be required to review and recommend approval of submittals, shop drawings, Request for Information (RFI) and/or calculations for temporary structures such as trench shoring, false work and other temporary structural forms. b. A-E may be required to review and advise the County Representative on the overall project schedule, including staging and completion dates, duration, milestones, and interfaces. Immediately notify Representative if the proposed work schedule does not conform to the contract documents, including the plans, specifications, and permits or that may require special inspection or testing, or work stoppage. c. Review on a monthly basis the project schedule and/or Critical Path Method (CPM) schedule submitted by the Construction Contractor. Make recommendations concerning the Construction Contractor’s adherence thereto. Recommend possible solutions to scheduling problems so as to complete the project on time, within budget, and in accordance with the contract drawings and specifications. d. Review scope of work and identify potential contract change orders. Prepare independent cost estimates for any changes resulting from design revisions or change in field conditions. Prepare and recommend for approval all contract change orders. e. Evaluate the merit of any potential claims or requests for equitable adjustment submitted by the Construction Contractor. Prepare analysis of potential claims include recommendations regarding settlement of the claims. f. Assist County staff in project related issues with other Agencies, or departments, engineering and material testing support firms, CEQA consultants, utilities agencies, etc. g. Assist in community outreach meetings and media relations h. Review for acceptance/approval of Storm Water Pollution Prevention Plan (SWPPP) in accordance with the general Permit of Discharges of Storm Water Associated with Construction Activity (Construction General Permit, including dewatering/diversion plans per the State’s DeMinimus Permit).

  • Development Services During the term of this Agreement, the Provider agrees to provide to or on behalf of the Port the professional services and related items described in Exhibit A (collectively, the “Development Services”) in accordance with the terms and conditions of this Agreement. The Provider specifically agrees to include at least one Port representative in any economic development negotiations or discussions in which the Provider is involved concerning (i) a port-related business prospect or (ii) a business transaction which will ultimately require Port involvement, financial or otherwise.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Operator Services Operator Services consist of the following services. (a) Calling card - the Customer dials 0+ or 0 - and provides operator with calling card number for billing purposes. (b) Collect - the Customer dials 0+ or 0 - and asks the operator to bill the call to the called number, provided such billing is accepted by the called number. (c) Third number billed - the Customer dials 0+ or 0- and asks the operator to bill the call to a different number than the calling or called number. (d) Operator assistance - providing local and intraLATA operator assistance for the purposes of: (1) assisting Customers requesting help in completing calls or requesting information on how to place calls; (2) handling emergency calls; (3) handling person-to-person calls. (e) Operator Transfer Service (“OTS”) - calls in which the Customer dials “0”, is connected to an SBC ILLINOIS operator and then requests call routing to an IXC subscribing to OTS. The operator will key the IXC’s digit carrier identification code to route the Customer to the requested IXC’s point of termination. (f) BLV - Service in which operator verifies a busy condition on a line. (g) BLVI - service in which operator, after verifying a busy line, interrupts the call in progress.

  • OUR SERVICES As insurance intermediaries we generally act as the agent of our client. We are subject to the law of agency, which imposes various duties on us. However, in certain circumstances we may act for and owe duties of care to other parties, including the insurer. We will advise you when these circumstances occur, so you will be aware of any possible conflict of interest. We offer a wide range of products and services which may include: • Offering you a single or range of products from which to choose a product that suits your insurance needs; • Advising you on your insurance needs; • Arranging suitable insurance cover with insurers to meet your requirements; • Helping you with any subsequent changes to your insurance you have to make; • Providing all reasonable assistance with any claim you make. In some cases, we act for insurers under a delegated authority agreement and can enter into insurance policies, issue policy documentation and/or handle or settle claims on their behalf. Where we act on behalf of the insurer and not you, we will notify you accordingly and in relation to claims we will advise you of this fact when you notify us of a claim. Notwithstanding this, we endeavour to always act in your best interest. As intermediaries, we offer a wide range of insurance products and have access to many leading insurance companies and the Lloyd’s market. Depending on the type of cover you require and where we have provided advice based on a personal recommendation, we will offer you a policy from either: • a single insurer; • a limited range of insurers; or • a fair analysis that is representative of the insurance market. We will advise you separately as to which of these apply before we arrange your policy and where we have not undertaken a fair analysis of the market, we will provide you with a list of insurers considered. By purchasing motor insurance from us, you authorise Coversure and its agents to take all necessary actions to handle your claim including dealing with your insurers, third parties and their insurers and other service suppliers on your behalf. For all other policies, including optional additional products and premium finance (if relevant), before the insurance contract is concluded and after we have assessed your demands & needs, we will provide you with advice and make a personal recommendation. This will include sufficient information to enable you to make an informed decision about the policy that we have recommended, together with a quotation which will itemise any fees that are payable in addition to the premium. This documentation will also include a statement of your demands and needs. You should read this carefully as it will explain reasons for making the recommendation we have made.

  • Design Services The Engineer shall perform services during the schematic design phase, the design development phase, the contract documents phase, and the bidding period as hereinafter specified.

  • TRANSPORT SERVICES Upon the conclusion of such multilateral negotiations, the Parties shall conduct a review for the purpose of discussing appropriate amendments to this Agreement so as to incorporate the results of such multilateral negotiations.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).
