Suspension of Cloud Service. Qualtrics may suspend or limit use of the Cloud Service if continued use may result in material harm to the Cloud Service or its users. Qualtrics will promptly notify Customer of the suspension or limitation. Qualtrics will limit a suspension or limitation in time and scope as reasonably possible under the circumstances.
Suspension of Cloud Service. Lookout may at any time suspend any User’s access and use of the Cloud Service and/or remove or disable any Customer Data as to which Lookout reasonably and in good faith believes is in violation of this Agreement. Lookout agrees to provide Customer with notice of any such End User suspension or disablement before its implementation unless such suspension or disablement is necessary to comply with legal process, regulation, order or prevent imminent harm to the Cloud Service or any third party, in which case Lookout will notify Customer to the extent allowed by applicable law of such suspension or disablement as soon as reasonably practicable thereafter.
Suspension of Cloud Service. HRMANTRA may suspend use of the Cloud Service if continued use may result in material harm to the Cloud Service or its users. HRMANTRA will promptly notify Customer of the suspension. HRMANTRA will limit the suspension in time and scope as reasonably possible under the circumstances.

SMARTX will promptly notify Customer of the suspension or limitation. SMARTX will limit a suspension or limitation in time and scope as reasonably possible under the circumstances.
Suspension of Cloud Service. BHC TRAINING may suspend or limit use of the Cloud Service if continued use may result in material harm to the Cloud Service or its users. BHC TRAINING will promptly notify Customer of the suspension or limitation. BHC TRAINING will limit a suspension or limitation in time and scope as reasonably possible under the circumstances.
Suspension of Cloud Service. FARO may suspend use of the Cloud Service if continued use may result in material harm to the Cloud Service or its users. FARO will promptly notify Customer of the suspension. FARO will limit the suspension in time and scope as reasonably possible under the circumstances.
Suspension of Cloud Service. Notwithstanding anything in this Agreement to the contrary, Couchbase may suspend or terminate any Cloud Service subscription and delete any Customer Content relating to such account that may be stored within the Cloud Service immediately (i) without notice if Couchbase reasonably determines that Customer or any Authorized User of the Cloud Service threatens the security, integrity or availability of the Cloud Service, or (ii) on written notice if Customer fails to comply with Section 11, or in the event of the circumstances described in Section 15.2. If Couchbase suspends Customer’s right to access or use any portion or all of the Cloud Service, Customer remains responsible for all Fees and charges Customer has incurred up to and during the suspension and Customer will not be entitled to any credit or refund. Couchbase will use commercially reasonable efforts to restore your access to the Cloud Service promptly following resolution of the cause of your suspension.
Suspension of Cloud Service. Contractor may suspend access to or use of the Cloud Services if continued use may result in material harm to the Cloud Service or its users or materially impact the security of the Cloud Service or if District has violated any provision of Article 5 of these GTCs. Contractor will promptly notify District of such suspension. Contractor will limit the suspension in time and scope as reasonably possible under the circumstances. Except pursuant to a court order following litigation related to District’s uncured material breach of the Agreement, in no event will Contractor suspend District’s access to or use of the Cloud Services or District Data due to any District non-payment of fees due under this Agreement. In addition to and not in lieu of Contractor’s rights under this Section, and notwithstanding anything to the contrary, Contractor may terminate the Order Form or the Agreement for any uncured payment default pursuant to Section 10.2.1(i) herein.

RELISH will promptly notify Customer of the suspension or limitation in advance, to the extent reasonably practicable.
