So as to identify and manage the types of conflict of interests that may arise, in the context of providing the Group’s inv estment services, related services and other activ ities that might jeopardise the interests of its clients, HSBC Private Banking pays particular attention specifically to the following situations: - HSBC Private Banking is likely to make a financial gain or avoid a financial loss at the client’s expense; - HSBC Private Banking has a stake in the result of a service provided to the client or of a transaction carried out on their behalf which is different f rom the client’s stake in the result; - HSBC Priv ate Banking has an incentive, for financial or other reasons, to giv e priority to the interests of another client or group of clients as opposed to the interests of the client to whom the service is provided; - HSBC Priv ate Banking carries out the same professional activity as the client; - HSBC Priv ate Banking receives or will receive a benefit from a person other than the client in relation with the service provided to the client, in any f orm whatsoever, other than the commission or fees usually invoiced f or said service.   • Obligations relating to Change in Ownership 5.3.1 The Concessionaire shall not undertake or permit any Change in Ownership, except with the prior approval of the Authority.

Contractor agrees to provide information that District or the DCU may reasonably request to demonstrate Contractor’s compliance with this Section. OR

  • Events Beyond Our Control If an Event Beyond Our Control occurs and prevents Us from performing any of Our obligations under this Contract to any extent, then We are not required to perform that obligation to the extent and for as long as We are prevented by that Event Beyond Our Control. If such an Event Beyond Our Control occurs and We consider it appropriate to do so, We may notify You of the Event Beyond Our Control by any reasonable means, including by a public announcement.

  • Certain Agreements Related to Deposits Subject to Section 2.2, the Assuming Institution agrees to honor the terms and conditions of any written escrow or mortgage servicing agreement or other similar agreement relating to a Deposit liability assumed by the Assuming Institution pursuant to this Agreement.

  • OVERSEAS TRANSACTIONS 13.1 The Cardmember may use the Credit Card outside Malaysia where there are Authorised Merchants and/or Authorised Cash Outlets.

  • Program Requirements Provided At No Charge to the Judicial Council A. The Contractor shall provide the following items during the Program at no charge to the Judicial Council:

  • Authority to act on behalf of Concessionaire 36.2.1 During the period of Suspension, the Authority shall, on behalf of the Concessionaire, collect all Fee and revenues under and in accordance with this Agreement and deposit the same in the Escrow Account. The Authority shall be entitled to make withdrawals from the Escrow Account for meeting the costs incurred by it for remedying and rectifying the cause of Suspension, and thereafter for defraying the expenses specified in Clause 31.3.

  • Additional Procedures Applicable to High Value Accounts 1. If a Preexisting Individual Account is a High Value Account as of December 31, 2013, the Reporting [FATCA Partner] Financial Institution must complete the enhanced review procedures described in paragraph D of this section with respect to such account by December 31, 2014. If based on this review, such account is identified as a U.S. Reportable Account, the Reporting [FATCA Partner] Financial Institution must report the required information about such account with respect to 2013 and 2014 in the first report on the Account. For all subsequent years, information about the account should be reported on an annual basis.
