Technical Advice. Tenant acknowledges that any review, advice, assistance, recommendation or direction provided by Manager with respect to the design, construction, equipping, furnishing, decoration, alteration, improvement, renovation or refurbishing of the Managed Facility (a) is intended solely to assist Tenant in the development, construction, maintenance, repair and upgrading of the Managed Facility and Tenant’s compliance with its obligations under this Agreement; and (b) does not constitute any representation, warranty or guaranty of any kind whatsoever that (i) there are no errors in the plans and specification, (ii) there are no defects in the design of construction of the Managed Facility or installation of any building systems or FF&E therein or (iii) the plans, specifications, construction and installation work will comply with all Applicable Laws (including laws or regulations governing public accommodations for Individuals with disabilities). Accordingly, Tenant agrees that neither Manager nor its Affiliates shall have any liability whatsoever to Tenant or any third-party for any (A) errors in the plans and specifications; (B) defects in the design of construction of the Managed Facility or installation of any building systems or FF&E therein; or (C) noncompliance with any engineering and structural design standards or Applicable Laws.
Technical Advice. The Provider must: nominate Personnel to receive technical advice from the Department or the Department of Jobs and Small Business on the Department’s IT Systems, and to provide advice to the Department or the Department of Jobs and Small Business on technical issues arising from the deployment of the Department’s IT Systems (‘IT Contact’); ensure that the IT Contact: disseminates technical advice to any Subcontractor and Personnel of the Provider in order to minimise disruption to the Services; and provides advice, as requested by the Department: to assist in the resolution of the Department’s IT Systems technical issues; and in relation to the Provider’s readiness to deploy system upgrades to the Department’s IT Systems; and where that IT Contact changes, advise the Department accordingly.
Technical Advice. Without prejudice to Article 5.1.2, Elan shall, if requested, advise Acorda in any technical matters as may become necessary for the proper utilisation of the licence to Acorda pursuant to this Agreement and shall provide reasonable advice and assistance to Acorda with respect thereto without additional charge.
Technical Advice. Upon request, Seller may furnish such technical advice or assistance as it has available in reference to the use of deliverables. It is expressly understood, however, that all such technical advice or assistance is given AS-IS and the Seller assumes no obligation or liability for the advice or assistance given or results obtained, all such advice or assistance being given and accepted at Buyer's risk. Any manual in a language other than English has been translated as a convenience to Buyer, and Seller makes no warranty and accepts no liability with respect to any such translation.
Technical Advice. 15.1. Where the Company gives technical advice, it does so to provide helpful suggestions only. The Company assumes no obligation or liability for any technical advice so given. The Customer accepts such technical advice entirely at its own risk based on its own judgement and not in reliance upon the Company.
15.2. The Company's technical documentation comprises its Intellectual Property. The Customer may not alter such documentation for any purpose whatsoever.
Technical Advice. The Provider must: nominate Personnel to receive technical advice from the Department or the Department of Employment and Workplace Relations on the Department’s IT Systems, and to provide advice to the Department or the Department of Employment and Workplace Relations on technical issues arising from the deployment of the Department’s IT Systems (‘IT Contact’); ensure that the IT Contact: disseminates technical advice to any Subcontractor and Personnel of the Provider in order to minimise disruption to the Services; and provides advice, as requested by the Department: to assist in the resolution of the Department’s IT Systems technical issues; and in relation to the Provider’s readiness to deploy system upgrades to the Department’s IT Systems; and where that IT Contact changes, advise the Department accordingly.
Technical Advice. Seller shall not be responsible for the results of any technical advice or recommendation in connection with the design, installation or use of the Products sold hereunder.
Technical Advice. Any recommendation or assistance provided by Honeywell concerning the use, design, application, or operation of an Offering shall not be construed as representations or warranties of any kind, express or implied, and such information is accepted by Buyer at Buyer’s own risk and without any obligation or liability to Honeywell. It is the Buyer’s sole responsibility to determine the suitability of an Offering for use in Buyer’s application(s). The failure by Honeywell to make recommendations or provide assistance shall not give rise to any liability for Honeywell.
Technical Advice. No obligation or liability shall arise out of Seller’s rendering of technical advice in connection with Xxxxx’s order of products. Any technical advice furnished, or recommendation made by Seller or any employee or representative of Seller, concerning any use or application of any products or parts furnished under this Contract is believed to be reliable, but Seller makes no warranty, express or implied, of results to be obtained. Buyer assumes all responsibility for loss or damage resulting from the handling or use of any such products or parts in accordance with such technical advice or recommendation. The selection of the products ordered, or design of any custom products, shall be Buyer’s sole and ultimate responsibility, and Seller shall have no liability whatsoever for any design defects of custom products, or if the products ordered are unsuitable for Buyer’s intended use. Any advice or assistance provided by Seller to Buyer in connection with Xxxxx’s selection or design of the products is at Buyer’s risk, and Seller makes no representation or warranty whatsoever in connection with such advice or assistance.
Technical Advice. Any technical advice furnished or recommendation made by Seller or any representative of Seller concerning any use or application of any of the Goods is believed to be reliable, but SELLER MAKES NO WARRANTY, EXPRESSED OR IMPLIED, ON RESULTS TO BE OBTAINED. BUYER ASSUMES ALL RESPONSIBILITY FOR LOSS OR DAMAGE RESULTING FROM THE HANDLING OR USE OF ANY OF THE GOODS.
