Technical Guidance. The Contractor shall have the services of a trained horticulturist with experience in the climate and soil conditions found locally to give technical guidance to the Contractor's work force and to develop and guide the Contractor's programs for lawn and tree care.
Technical Guidance. Generally, Consultant is expected to utilize his/her skills and expertise independently to complete the services/work hereunder. To the extent technical guidance from ChromaDex may be necessary for the Consultant to complete the services/work hereunder, the Consultant shall receive technical guidance from Xxxxxx Xxxxx or his designees. The ChromaDex representative responsible for approval of Consultant’s work shall be Xxxxxx Xxxxx.
Technical Guidance. (1) Upon request of Licensee, Licensor shall dispatch its qualified technical engineers ("Engineers") to Licensee at Licensee' s facilities in order to render technical assistance to employees of Licensee or its sub-contractors in connection with the design, manufacture, assembly, installation, repair, inspection, maintenance, quality control or sale of the Products.
(2) Daily allowance for Engineers dispatched hereunder shall be determined by mutual consultation using Licensor's current allowance rate in its international business. Traveling, living and other expenses required for such dispatch shall be borne and paid by Licensee pursuant to terms and conditions to be separately agreed upon between the parties. Period, numbers and reasonable details of such dispatch shall be also separately agreed upon between the parties.
(3) Notwithstanding the foregoing paragraph, any and all allowance and expense of first two times dispatch shall be included in the initial royalty specified in the Article 7.(1).(a) to the extent that the period of such dispatch does not exceed totally twenty (20) days.
Technical Guidance. In the sole discretion of County, and in conformance with federal and state law, County may issue instructions, clarifications, or interpretations as may be required during work performance. Instructions may be provided in writing, and may be delivered by regular mail, electronic mail, digital media, or facsimile transmission. Any instruction issued by County will be incorporated into the contract by reference herein for all purposes when it is issued.

Technical Guidance. 1. If the Licensee makes a written request from time to time during the term of this Agreement and the Licensor considers such request appropriate, the Licensor shall dispatch a reasonable number of engineers (the "ENGINEERS") to the Licensee for the purpose of technical advice and guidance necessary for the implementation by the Licensee of the license with respect to the "A" and "B" Intellectual Property Rights or for other purposes mutually agreed between the parties hereof. The maximum term of the dispatching of such Engineers shall not exceed 30 days per annum for each Engineer; provided, however, that such maximum term may be extended for not more than 30 days subject to agreement between the parties, and the same shall apply thereafter.
2. The Licensee shall pay to the Licensor a dispatching fee in the amount per one Engineer agreed between the parties, and shall bear all the lodging expenses, traveling expenses and other expenses incidental thereto (including any amounts equivalent to consumption tax and local consumption tax necessary for the relevant expenses) which the Licensor reasonably requires in connection with the dispatching of its personnel.
3. The Licensee shall have the entire responsibility for undertaking all activities necessary to protect the life and property of the Engineers. Upon the reasonable request of the Engineers, the Licensee shall arrange at its own expense appropriate doctor and/or hospital facilities.
Technical Guidance. 1. Upon written request by the Licensee, the Licensor shall dispatch a reasonable number of its engineers (hereinafter referred to as the "Engineers") to the Licensee's factory in Japan to provide the Licensee's employees with technical guidance which is necessary for the manufacture, inspection and testing of the Products. The total period for which the Engineers are dispatched shall not exceed ( ) days per year.
2. The Licensee shall pay the Licensor a daily allowance of Yen (¥ ) per person per day and bear all costs and expenses in connection with the dispatch of the Engineers under the preceding paragraph, including but not limited to transportation, living and medical expenses, and any taxes and duties imposed in Japan.
3. The Licensee shall assist the Engineers in the immigration and customs clearance procedures for entry into and departure from Japan.
Technical Guidance. Company shall, from time to time, make available to Contractor the consulting services of engineering and manufacturing specialists of Company (hereinafter called “Engineers”) to assist Contractor in the manufacture in the Factory or to resolve specific problems identified by Contractor or Company.
