Term Extension and Termination. 7.1 Unless sooner terminated or extended as provided below, this Agreement shall expire two (2) years from the date of execution by both parties. At least one (1) month before the end of the term, Pfizer may extend this Agreement for one (1) year by giving written notice to Array.
7.2 Either party may terminate this Agreement if the other party fails in any material respect to perform or observe any term, covenant or understanding contained in this Agreement, and does not remedy such failure within thirty (30) days of being given notice.

ABB may terminate the Agreement if You fail to comply with the terms of this Agreement. The absence of usage does not impact the Warranty period or justify any termination of the current agreement. 7.2 Extension of TAs and the Agreement.
7.2.1 Each TA will specify the same termination date, which shall be twelve (12) months after the effective date of each TA (the “Initial Termination Date”). Furiex may extend specific individual TAs to continue past the Initial Termination Date but not past the Final Termination Date, up to two (2) times. Furiex shall, to the extent possible, give notice of extension in writing at least thirty (30) days prior to the expiration of the applicable term for such Service (as set forth in the applicable TA) or expiration of the first Extension Period (as defined below), as applicable. Each such extension must be mutually agreed to by both PPD and Furiex. Each extension will be in a six (6) month increment (an “Extension Period” or the “Extension Periods”) unless a shorter time is set forth in the applicable Extension Period request. This Agreement shall not terminate as long as an Extension Period is effective; provided however that in no case will this Agreement continue beyond the Final Termination Date.
7.2.2 In no event will PPD provide Services beyond the Final Termination Date.
7.3 This Agreement, any individual TA or any individual Service under any TA may be terminated earlier in accordance with any of the following provisions:
7.3.1 By mutual written consent of both PPD and Furiex.
7.3.2 By Furiex effective as of the last day of the month immediately following the month in which written notice is given.
7.3.3 By either party entitled to the benefit of the performance of any of the obligations under this Agreement (the “Non-Defaulting Party”), if the other party (the “Defaulting Party”) shall fail to perform or default in such performance in any material respect, subject to compliance with the remainder of this paragraph. The Non-Defaulting Party shall give written notice to the Defaulting Party specifying the nature of such failure or default and stating that the Non-Defaulting Party intends to terminate this Agreement with respect to the Defaulting Party if such failure or default is not cured within thirty (30) days after receipt of such written notice. Term Extension and Termination. 10.1. This Agreement will commence on until September 30th, 2027. INPUT DATE and will continue in effect
10.2. The term of this Agreement may be extended by mutual agreement of all parties to this Agreement.
10.3. Upon expiry of this Agreement pursuant to article 10.1, if the Parties have neither terminated the Agreement pursuant to article 10.4, nor extended the term of this Agreement in accordance with article 10.2, the provisions of this Agreement shall remain in effect with the Minister’s Funding at the rates in effect at that time until such time as the Parties agree upon a new longitudinal family medicine agreement, or the continuing effect of the provisions of this Agreement is terminated by any Party in accordance with the terms of this Agreement.
10.4. Any party to this Agreement may terminate this Agreement, without cause, by giving the other parties to this Agreement at least three (3) months prior written notice of termination.
10.5. If the Physician fails to comply with the terms and conditions of this Agreement, the Minister may terminate this Agreement with immediate effect by giving written notice to the other Parties. The Minister shall consult with the Nova Scotia Health Authority and Doctors Nova Scotia prior to giving such notice.
10.6. In the event this Agreement is terminated, effective on the date of termination, the Physician shall be eligible to enroll in the MSI fee-for-service system of payment, subject to the terms, conditions and requirements of that system, including the MSI Physician’s Manual and MSI Bulletins.
10.7. Any warranty, representation, guarantee, indemnity, obligation of confidentiality, obligation to maintain records, obligation to report, obligation to repay money, and any other term which by its nature is intended to survive the expiry or termination of this Agreement shall survive any expiry or termination of this Agreement.
