TERMINATION FOR GOOD REASON OR OTHER THAN FOR CAUSE. In the event Executive's employment is terminated by the Company other than for Cause or by Executive with Good Reason, she shall be entitled to the following benefits:
(i) the Company shall pay Executive in equal monthly installments, over the period specified below, beginning 30 days after the Termination Date, the sum of the following amounts the: (A) Severance Bonus and (B) Termination Payment Amount; provided, however, if Executive so elects, such sum shall be payable in a single lump sum payment on the 30th day following the Termination Date. The Termination Payment Amount shall mean the sum of:
(A) the Base Salary multiplied by the number of full years remaining in the Term after the Termination Date plus the pro-rata amount of the Base Salary for the remainder of the year during which the Termination Date occurred;
(B) the average of the annual incentive bonus awarded to Executive for the three (3) years (or such shorter period as Executive has been in the employ of the Company) preceding the Termination Date (not including the Severance Bonus) multiplied by the number of full years remaining in the Term after the Termination Date; and
(C) an amount equal to the long term incentive award granted to Executive with respect to the performance period commencing in the calendar year 2000, as reflected in the Statement of Long Term Incentives maintained by the Company, multiplied by the number of full years remaining in the Term after the Termination Date less the value as of the date of grant of any restricted stock (other than restricted stock issued as a restricted stock match under any incentive plan) that has vested as of the Termination Date, as such value is reflected in the Statement of Long Term Incentives maintained by the Company;
(ii) for the full period remaining in the Term after the Termination Date, the Company shall continue to provide medical and dental benefits to Executive and Executive's family at least equal to those which would have been provided to them if Executive's employment had not been terminated, in accordance with the applicable medical and dental benefit plans in effect on the Termination Date and in which Executive participated as of such date or, if more favorable to Executive and her family, in effect generally at any time thereafter with respect to other peer executives of the Company and its Affiliates; provided, however, that if Executive becomes reemployed with another employer and is eligible to receive medical an...
TERMINATION FOR GOOD REASON OR OTHER THAN FOR CAUSE. In the event the Executive's employment hereunder is terminated (A) by the Executive for Good Reason or (B) by the Company other than for Cause or Disability (including, without limitation, by giving the Executive a Non-Renewal Notice pursuant to Section 1(a) hereof), the Executive shall be entitled, in addition to the other compensation and benefits herein provided for, to severance compensation in an aggregate amount equal to three (3) times his Base Salary at the rate in effect on the termination date, payable in thirty-six (36) substantially equal monthly installments commencing at the end of the calendar month in which the termination date occurs; provided, however, that if the Executive's employment is terminated within one (1) year following a Change in Control (other than a termination because of the Executive's death) or is terminated by the Company other than for Cause or Disability (including, without limitation, by giving the Executive a Non-Renewal Notice pursuant to Section 1(a) hereof) in anticipation of a Change in Control, the severance compensation payable to the Executive (i) shall be increased by an amount equal to three (3) times the average annual total bonuses paid by the Company to the Executive during the three-year period (or such shorter period as the Executive may have been employed by the Company) preceding the date on which the notice of termination is given and (ii) shall be payable in one lump sum on the effective date of such termination; and provided, further, that if the Executive's employment is terminated within one (1) year following a Change in Control for Disability, the Executive must return to the Company any disability insurance proceeds actually paid to the Executive or for his benefit during the three-year period following the effective date of such termination (but only those proceeds from disability insurance provided by the Company to the Executive pursuant to Section 4(a) hereof).
TERMINATION FOR GOOD REASON OR OTHER THAN FOR CAUSE. In the event the Executive’s employment hereunder is terminated (A) by the Executive for Good Reason or (B) by the Company other than for Cause or Disability, the Executive shall be entitled, in addition to the other compensation and benefits herein provided for, to severance compensation in an aggregate amount equal to two (2) times his Base Salary at the rate in effect on the termination date, payable in twenty-four (24) substantially equal monthly installments commencing at the end of the calendar month in which the termination date occurs. The preceding amounts shall be reduced to one (1) times his Base Salary if the termination is a result of or after a Non-Renewal Notice by the Company.
TERMINATION FOR GOOD REASON OR OTHER THAN FOR CAUSE. If the Executive terminates this Agreement for Good Reason pursuant to Section 5(c) or the Corporation terminates this Agreement other than pursuant to Section 5(b) for Cause, then the Corporation shall pay to the Executive, in a lump sum in cash within 30 days after the date of Termination, an amount equal to two hundred fifty percent (250%) of the salary that the Corporation would have been obligated to pay the Executive pursuant to Section 3(a) during the Calculation Period if the Agreement had remained unterminated until the end of the Calculation Period plus the amount of all bonuses set forth on Exhibit B, except for any bonus for which the deadline for achievement has passed that was not earned on such deadline, and less any salary that has already been paid.
TERMINATION FOR GOOD REASON OR OTHER THAN FOR CAUSE. If the Executive shall terminate his employment for Good Reason or the Company shall terminate the Executive's employment for any reason other than Cause, including Disability, or if such employment shall be terminated by reason of death, the Executive shall be entitled to the following benefits:
i) Parent or the Company shall pay to the Executive a lump sum amount in cash equal to the sum of (A) the Executive's Base Salary through the Date of Termination to the extent not theretofore paid, (B) any compensation previously deferred by the Executive (together with any accrued interest or earnings thereon) and any accrued vacation pay and (C) any other amounts due the Executive as of the Date of Termination, in each case to the extent not theretofore paid. (The amounts specified in clauses (A), (B) and (C) shall be hereinafter referred to as the "Accrued Obligation"
TERMINATION FOR GOOD REASON OR OTHER THAN FOR CAUSE. In the event the Executive's employment hereunder is terminated (A) by the Executive for Good Reason or (B) by the Company other than for Cause or Disability (including, without limitation, by giving the Executive a Non-Renewal Notice pursuant to Section 1(a) hereof), the Executive shall be entitled, in addition to the other compensation and benefits herein provided for, to severance compensation in an aggregate amount equal to three (3) times his Base Salary at the rate in effect on the termination date, payable in thirty-six (36) substantially equal monthly installments commencing at the end of the calendar month in which the termination date occurs.
TERMINATION FOR GOOD REASON OR OTHER THAN FOR CAUSE. If your employment by the Company shall be terminated by the Company other than for Cause, Retirement or Disability or by you for Good Reason, then you shall be entitled to the benefits provided below:

In the event the Executive's employment hereunder is terminated (A) by the Executive for a Good Reason or (B) the Company other than for Cause, the Executive, in addition to any other benefits provided for in this Section 5, shall be entitled immediately to any remaining unpaid portion of the Commencement Bonus and, in addition, to severance compensation in an aggregate amount equal to the product of (I) one-twelfth of his Base Salary times (II) the lesser of (A) thirty-six (36) or (B) the number of full calendar months remaining in the Employment Period but for such termination, payable in substantially equal monthly installments (in the number determined under Part (II) of the formula immediately above) commencing at the end of the calendar month in which the termination date occurs; provided, however, that if the Executive's employment is terminated following a Change of Control or is terminated by the Company other than for Cause in anticipation of a Change of Control, the severance compensation referred to above shall be payable in one lump sum on the date of such termination.
TERMINATION FOR GOOD REASON OR OTHER THAN FOR CAUSE. If the Executive shall terminate his employment for Good Reason or the Bank shall terminate the Executive's employment other than for Cause, death or Disability, the Executive shall be entitled to the following benefits:
(i) the Bank shall pay to the Executive a lump sum amount in cash equal to the sum of (A) the Executive's Annual Base Salary through the Date of Termination to the extent not theretofore paid, (B) an amount equal to the short-term incentive compensation target benefit under the short-term incentive plan described in Section 3(b) of this Agreement for the fiscal year that includes the Date of Termination multiplied by a fraction the numerator of which shall be the number of days from the beginning of such fiscal year to and including the Date of Termination and the denominator of which shall be 365, and (C) any compensation previously deferred by the Executive (together with any accrued interest or earnings thereon) and any accrued vacation pay, in each case to the extent not theretofore paid. (The amounts specified in clauses (A), (B) and (C) shall be hereinafter referred to as the "Accrued Obligation"
